COMPLAINT
Plaintiff, Pratt & Miller Engineering & Fabrication, Inc. (“Plaintiff” or “Pratt & Miller”),by its attorneys Butzel Long, for its Complaint against Defendants Farnbacher LolesMotorsports, LLC (“FL Motorsports”), Farnbacher Loles Racing, LLC (“FLRacing”)(hereinafter together “Defendants Farnbacher Loles”) and Gregory Loles (“ DefendantGreg Loles”) (all together “Defendants”), states as follows:
JURISDICTION AND VENUE

Pratt & Miller is a Michigan corporation with its principal place of business at29600 William K Smith Drive, New Hudson, Michigan 48165.2.
 
Defendant FL Motorsports, LLC is a Connecticut limited liability company withits principal place of business at 45 A Miry Brook Road, Danbury, Connecticut, 06810.

Defendant FL Racing, LLC is a Connecticut limited liability company with itsprincipal place of business at 89 Triangle Street, Danbury, Connecticut, 06810.4.
 
Defendant Greg Loles is, upon information and belief, a resident of the State of Connecticut.5.
 
The amount in controversy in this action exceeds $75,000.00, exclusive of interestand cost. Jurisdiction is therefore proper under 28 U.S.C. § 1332.6.
 
Venue is proper in this district by reason of 28 U.S.C. § 1391(a).7.
 
A substantial part of the events and omissions giving rise to Plaintiff’s claimsoccurred in southeastern Michigan.
GENERAL ALLEGATIONS

Pratt & Miller is a full-service engineering and manufacturing company,specializing in motorsports, OEM automotive, aerospace, and defense industry design,development and manufacturing.9.
 
Defendant FL Racing and Defendant FL Motorsports are professional race teamoperations that manage, operate and compete in sanctioned motorsports events held throughoutNorth America and elsewhere.10.
 
Defendant Greg Loles is the managing member of Defendant FL Racing andDefendant FL Motorsports.11.
 
On September 8, 2009, FL Racing and Defendant Greg Loles entered into aVehicle Sales Agreement with Pratt & Miller for the design and manufacture of two GAGT-BMW-M3R race vehicles, known as GAGT-BMW-M3R-008 and GAGT-BMW-M3R-009 (the

“FLR Vehicles”), together with body component molds and tooling (hereinafter the “VehicleSales Agreement”).

The Vehicle Sales Agreement was negotiated with Plaintiff’s Michiganheadquarters. Drafts of the Vehicle Sales Agreement were provided to Plaintiff at its Michiganheadquarters.13.
 
The Vehicle Sales Agreement expressly provides that “the sole jurisdiction andvenue for any litigation arising from or relating to this Agreement shall be in an appropriatefederal or state court located in Michigan.”

Pursuant to the Vehicle Sales Agreement, FL Racing agreed to purchase the FLRVehicles from Pratt & Miller. The price per completed vehicle is $340,000.00. In addition, FLRacing is also responsible for paying for the vehicle components.

Pursuant to the terms of the Vehicle Sales Agreement, FL Racing was to make aninitial payment of $200,000.00. A second installment of $400,000.00 was due on or beforeOctober 1, 2009. The remainder of $329,750.00 was due upon vehicle delivery.

On September 10, 2009, Defendant Greg Loles and Defendant FL Motorsportspresented Pratt & Miller, at its Michigan headquarters, with the $200,000.00 initial paymentunder the Vehicle Sales Agreement in the form of a check drawn on a FL Motorsports’ checkingaccount. The check was endorsed by Defendant Loles.17.
 
Pratt & Miller deposited the check into Pratt & Miller’s bank account.
