ofJuly15,2012,betweenTHESCHOOLDISTRICTOFPHILADELPHIA(the"SchoolDistrict")actingbyandthroughitsSchoolReformCommission(the"SRC"),withitsprincipalplaceofbusinesslocatedat440NorthBroadStreet,Philadelphia,Pennsylvania19130,andDr.WilliamRite("Dr.Rite").WITNESSETH:WHEREAS,theSchoolReformCommission("SRC")wishesDr.Hite("Dr.Rite"or"Superintendent")toserveastheSuperintendentoftheSchoolDistrictandActingExecutiveDirectorofthePhiladelphiaIntermediateUnit(the"IntermediateUnit");andWHEREAS,Dr.RitewouldliketoservetheSchoolDistrictandIntermediateUnitinsuchcapacities;NOW,THEREFORE,inconsiderationofthepromisesandthemutualcovenantsandagreementssetforthherein,theSchoolDistrictandDr.Rite,intendingtobelegallybound,herebyagreeasfollows:Section1.Employment.TheSchoolDistrictherebyemploysDr.Rite,andDr.Riteherebyacceptsemployment,beginningonorbeforeOctober1,.2012asSuperintendentofSchoolsoftheSchoolDistrict,Secretary/TreasureroftheSRC,andActingExecutiveDirectoroftheIntermediateUnit,inaccordancewiththetermsandconditionshereinaftersetforth.DuringtheperiodfromJuly15,2012tothedateonwhichDr.HitecommenceshisemploymentasSuperintendent,butnolaterthanOctober1,2012,Dr.RitewillconsultwiththeSRCandDistrictadministrationfortransitionpurposes..Section2.TermofEmplovment.ThetermofthisAgreementshallbefromJuly
15,
2012,toAugust31,2017(the"Term"),unlessearlierterminatedpursuanttoanyeventsetforthinSection10below.TheperiodbeginningeachSeptember1andendingeachAugust31shallbereferredtoasa"Year."TheTermmaybeextendedbymutualagreementoftheparties.Section3.DutiesandResponsibilities.3.1.Superintendent.Dr.RiteshallservetheSchoolDistrictinthecapacityofSuperintendentofSchools.
In
suchcapacity,Dr.Riteshallhaveallthepower,authority,dutiesandresponsibilitiesofaSuperintendentunderthePennsylvaniaPublicSchoolCodeandtheEducationSupplementtothePhiladelphiaHomeRuleCharter.Theseshallinclude:havingchargeoftheadministrationoftheSchoolDistrictunderthepolicydirectionoftheSRC;carryingouttheadministrationandsupervisionoftheSchoolDistrict,includinginstitutingref01TI1Sandsystemicchanges,suchascurriculumandprogramofferings,astheSuperintendentfindsnecessaryorexpedient,inordertoeffectchangesintheSchoolDistrictinaccordancewithpolicydirectionfromtheSRC;directing,assigningandtransferringteachers,principals,

andotheremployeesunderhissupervision;orgaruzmg,reorgamzmgandarrangingadministrativeandsupervisorystaff,includinginstructionandbusinessaffairs,asbestservestheSchoolDistrict;selecting,assigningandtransferringpersonnel;suggestingpolicydeemednecessaryfortheSchoolDistrictandreasonablyinterpretingpolicies,regulations,rulesandprocedures;directingthefinancialplanningoftheSchoolDistrict,includingthepreparationoftheannualbudgetandthesubmissionofthebudgettotheSRCforreviewandapproval;makingadministrativerecommendationsonitemsofbusinessconsideredbytheSRCastheSuperintendentdeemsnecessaryfortheefficientandeffectiveoperationoftheDistrict;actingastheliaisonbetweentheSchoolDistrictandthecommunity;directingaprogramofpublicrelationsforthepurposeofcreatingandmaintainingacooperativeworkingrelationshipbetweentheschoolsandthecommunity;attendingSRCmeetings
and
meetingsofSRCCommitteesorworkinggroups,exceptexecutivesessionstodiscussDr.Hite'sperformance;establishingandimplementingaprocess,includingameansandtimeparameters,forkeepingtheSRCup-to-dateondevelopments,initiativesandissuesintheSchoolDistrict;andstayingabreastofeducationaltrendsanddevelopmentsbyparticipating
in
professionaldevelopmentandprofessionalorganizationsatthelocal,stateandnationallevels.Dr.HiteunderstandsandagreesthattheGeneralCounselandtheOfficeofCharterSchoolslPortfolioManagementhaveadualreportingstructure,directlytotheSRCandtotheSuperintendent.3.2.Secretary/TreasurerofSRC.Dr.HiteshallserveasSecretary/TreasureroftheSRCandinthatcapacityshallberesponsiblefor(a)executingpublicsecuritiesandinstrumentsofpaymentonbehalfoftheSchoolDistrict;(b)providingstatusreportstotheSRContheSchoolDistrict'sbudgetandmakingmulti-yearprojections;and(c)generalsupervisionofallbusinessaffairsoftheSchoolDistrict.3.3.ActingExecutiveDirectorofIntermediateUnit.Dr.HiteshallperformallservicesrequiredofanExecutiveDirectoroftheIntermediateUnitunderthePublicSchoolCodeuntilsuchtimeastheSRCappointsanExecutiveDirector.3.4.SuggestionsandCommunications.TheSRC,individuallyandcollectively,agreetbattheywillpromptlyrefertotheSuperintendentanyandallcriticism,complaints,suggestions,communicationsorcommentsregardingtheSuperintendent'sperformanceofhisdutiesforreview,investigationandrecommendation,IndividualmembersoftheSRCwillnotgivedirectiontotheSuperintendantregardingthemanagementoftheSchoolDistrict,unlessactingonbehalfoftheSRC.TheSuperintendentagreesthathewillcommunicate,conferandconsultonaregularbasiswiththeSRCsoastoeffectuatehisresponsibilities.Section4.CompensationandPerformanceEvaluation.4.1.BaseCompensation.Asbasecompensationforhisserviceshereunder,effectiveonoraboutOctober1,2012,oronthedateDr.HitecommencesemploymentasSuperintendent,theSchoolDistrictshallpayDr.HiteanannualsalaryofTLU'eeHundredThousandDollars($300,000),payableininstallmentsatsuchtimesastheSchoolDistrictpaysotherSchoolDistrictemployees.BeginningSeptember1,2013,andeachsubsequentYearof2

tillsAgreement,theSuperintendent'sannualbasecompensationshallbereviewedandadjustedasdeterminedbytheSRC.BeginningJuly15,2012,Dr.HitewillbeonsiteintheSchoolDistricttoconsult
with
theSRCandSchoolDistrictadministrationonascheduledbasisofapproximatelytwo(2)daysperweek.ForconsultingworkperformedbetweenJuly15,2012andJuly25,2012,DrHitewillbereimbursedforhisreasonabletravelexpenses.Forconsultingworkperformedduringtheperiod,July25,2012,throughthedateonwhichDr.HitecommencesemploymentasSuperintendent,butnolaterthanOctober1,2012,Dr.Hitewillbecompensatedathisdailyrateandreimbursedforhisreasonabletravelexpenses.4.2.WithholdingfromCompensation.Dr.HiteherebyagreesthattheSchoolDistrictmaydeductandwithholdfromthecompensationpayabletorumallSocialSecurityandpayrolltaxes,pensiondeductions,andsuchotherwithholdingsasshallberequiredbyanystatute,regulationorordinanceheretoforeorhereafterenacted.4.3.PerformanceCompensation.BeginningSeptember1,2013andeachYearthereafter,Dr.Hiteshallbeeligibletoearnperformancecompensationinanamountuptotwentypercent(20%)ofhisthenannualsalaryasdeterminedbytheSRC.ByMay1,2013andbyJune1ofeachsubsequentYearofthisAgreement,thereasonable,measurableandobjectivecriteriaforbeingawardedsuchcompensationshallbedeterminedbytheSRCandDr.Hite,CriteriaforassessingDr.Hite'sperformancewillincludebywayofexample:
(1)
progressbystudentsmeasuredbytrackingthesamecohortofstudentsfromyeartoyearonthePSSA,orotherappropriatetests;(2)improvementingraduationrates;(3)reductionintheachievementgapbetweenCaucasianandLatinostudentsandbetweenCaucasianandAfricanAmericanstudents;(4)reductioninteacherabsenteeism;and(5)otherelementstobemutuallydetermined.AdeterminationoftheachievementofthecriteriaandthecompensationtobepaidshallbemadenolaterthanAugust1,2014andbyAugust1eachfollowingYearofthisAgreement.Anyperformancecompensationpaymentsshallbemade

morethan90daysaftertheYearforwhichperformancecompensationmaybeawarded.4.4.PerformanceEvaluation.TheSRCandDr.HiteshallagreeuponatimeineachYearofthisAgreementtoconductinexecutivesessionoftheSRCanevaluationoftheSuperintendent'sperformanceandtheworkingrelationshipoftheSuperintendentandtheSRC.TheevaluationshallbebaseduponperformancecriteriamutuallydeterminedbytheSRCandDr.HiteassetforthinSection4.3.TheevaluationshallbereducedtowritinginaformmutuallyagreeduponbyDr.HiteandtheSRC.Priortotheevaluation,Dr.HiteshallreporttotheSRCillsaccomplishmentsandattainmentofgoals.Thereafter,theSRCwilldeliberate

executivesessionandshallprovideDr..HitewithacopyofthewrittenevaluationatleasttendayspriortotheexecutivesessionoftheSRCscheduledtodiscusssuchevaluationwithDr.Hite.Section5.Residency.Dr.Hiteagreesthatwithinone-hundredandtwenty(120)daysofexecutionofthisAgreementbytheParties,hewillestablishresidencyintheCityofPlliladelphia,Section6.Certification.Assoonaspossible,Dr.Hiteshallpossessandthereafter
