andDr.ArleneAckerman("Dr.Ackerman").WITNESSETH:WHEREAS,theSchoolReformCommission("SRC")wishesDr.AckermantoserveastheChiefExecutiveOfficeroftheSchoolDistrictandExecutiveDirectorofthePhiladelphiaIntermediateUnit(the"IntermediateUnit")uptothepresentdate;andWHEREAS,Dr.AckermanwouldliketoservetheSchoolDistrictandIntermediateUnitinsuchcapacities;NOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantsandagreementssetforthherein,theSchoolDistrictandDr.Ackerman,intendingtobelegallybound,herebyagreeasfollows:Section1.Employment.TheSchoolDistrictherebyemploys

Ackerman,andDr.Ackermanherebyacceptsemployment,asChiefExecutiveOfficeroftheSchoolDistrictandExecutiveDirectoroftheIntermediateUnit,inaccordancewiththetermsandconditionshereinaftersetforth.Section2.TermofEmployment.ThetermofthisAgreementshallbefromJune1,2008,toJune30,2013(the"Term"),unlessearlierterminatedpursuanttoanyeventsetforthinSection8below.TheperiodendingeachJune

AckermanshallservetheSchoolDistrictinthecapacityofChiefExecutiveOfficer("CEO").

Ackermanshallhaveallthepower,authority,dutiesandresponsibilitiesofaSuperintendentunderthePublicSchoolCodeandtheEducationSupplementtothePhiladelphiaHomeRuleCharter.Theseshallinclude:havingchargeoftheadministrationoftheSchoolDistrictunderthepolicydirectionoftheSRC;carryingouttheadministrationandsupervisionoftheSchoolDistrict,includinginstitutingreformsandsystemicchanges,suchascurriculumandprogramofferings,asthe

CEOfindsnecessaryorexpedient.inordertoaffectpositivechangesintheSchoolDistrict;directing,assigningandtransferringteacher,principals,andotheremployeesunderhersupervision;organizing,reorganizingandarrangingadministrativeandsupervisorystaff,includinginstructionandbusinessaffairs,asbestservestheSchoolDistrict;selecting,assigningandtransfeningpersonnel;suggestingpolicydeemednecessaryfortheSchoolDistrictandreasonablyinterpretingpolicies,regulations,rulesandprocedures;directingthefinancialplanningoftheSchoolDistrict,includingthepreparationoftheannualbudgetandthesubmissionofthebudgettotheSRCforreviewandapproval;makingadministrativerecommendationsonitemsofbusinessconsideredbytheSRCastheCEOdeemsnecessaryfortheefficientandeffectiveoperationoftheDistrict;actingastheliaisonbetweentheSchoolDistrictandtheconununity;directingaprogramofpublicrelationsforthepurposeofcreatingandmaintainingacooperativeworkingrelationshipbetweentheschoolsandthecommunity;attendingSRCmeetings;establishingandimplementingaprocess,includingameansandtimeparameters,forkeepingtheSRCup-to-dateondevelopments,initiativesandissuesintheSchoolDistrict;andstayingabreastofeducationaltrendsanddevelopmentsbyparticipating
in
professionaldevelopmentandprofessionalorganizationsatthelocal,stateandnationallevels.3.2.
Secretarvffreasurerof
SRC.Dr.AckermanshallserveasSecretary/TreasureroftheSRCandinthatcapacity,shallberesponsiblefor(a)executingpublicsecuritiesandinstrumentsofpaymentonbehalfoftheSchoolDistrict;(b)providingstatusreportstotheSRContheSchoolDistrict'sbudgetandmakingmulti-yearprojections;and(c)generalsupervisionofallbusinessaffairsoftheSchoolDistrict.3.3.
ExecutiveDirectorofIntermediateUnit.Dr.
AckermanshallperformallservicesrequiredofanExecutiveDirectoroftheIntermediateUnitunderthePublicSchoolCode.3.4.
SuggestionsandCommunications.
TheSRC,individuallyandcollectively,agreethattheywillpromptlyrefertotheCEO,orallyorinwritingwherepracticable,forherstudyandrecommendation,anyandallcriticism,complaints,suggestions,communicationsorcommentsregardingtheCEO'sperformanceofherduties.IndividualmembersoftheSRCagreethattheywillnotgivedirectiontotheCEOoranystaffmemberregardingthemanagementoftheSchoolDistrictorsolutionofspecificproblemsandthattheyshallreferallpersonnelissues,appeals,complaints,andothercommunicationsconcerningtheadministrationoftheSchoolDistricttotheCEOforinvestigationandreporttotheSRC.
Section4.CompensationandPerformanceEvaluation.
4.1.
BaseCompensation.
Asbasecompensationforherserviceshereunder,effectiveJune1,2008,theSchoolDistrictshallpayDr.AckermananannualsalaryofThreeHundredTwenty-FiveThousandDollars($325,000),payableininstallmentsatsuchtimesastheSchoolDistrictpaysotherSchoolDistrictemployees.BeginningJulyI,2009andeachsubsequentYearofthisAgreement,theCEO'sannualbasecompensationshallbeincreasedatthesametimeandatthesamepercentagerateasforfulltimeteachingpersonnel,asprovidedinthecollectivebargainingagreementbetweentheSchoolDistrictandthePhiladelphiaFederationofTeachers.2

4.2.WithholdingfromCompensation.
Dr.
AckermanherebyagreesthattheSchoolDistrictmaydeductandwithholdfromthecompensationpayabletoherallSocialSecurityandpayrolltaxes,pensiondeductions,andsuchotherwithholdingsasshallberequiredbyanystatute,regulationorordinanceheretoforeorhereafterenacted.4.3.PerformanceCompensation.InadditiontothebasecompensationinSubsection4.1,Dr.Ackermanshallbeentitled
to
anannualperformancecompensationinanamountuptotwentypercent(20%)ofherthenannual
salary.
BySeptemberIofeachYearofthisAgreement,thereasonableobjectivecriteriaforbeingawardedsuchcompensationshallbedeterminedbyagreementoftheSRCand

Ackerman.AdeterminationoftheachievementofthecriteriaandthecompensationtobepaidshallbedeterminednotlaterthanAugustI,2009andbyAugust1eachfollowingYearofthisAgreement.Anycompensationpaymentsshallbemadenomore
than
90daysaftertheYearforwhich
a,
bonusmaybeawarded.4.4.PerformanceEvaluation.TheSRCandtheCEOshallagreeuponatimeineachYearofthisAgreementtoconductanevaluationinexecutivesessionoftheCEO'sperformanceandtheworkingrelationshipoftheCEOandtheSRC.TheevaluationshallbebaseduponperformancecriteriamutuallyagreeduponbytheSRCandtheCEO.TheevaluationshallbereducedtowritinginaformmutuallyagreeduponbytheCEOandtheSRC.Priortotheevaluation,theCEOshallreporttotheSRCheraccomplishmentsandattainmentofgoalsandobjectives.Thereafter,theSRCwilldeliberateinexecutivesessionandshallprovidetheCEOwithacopyofthewrittenevaluationatleasttendayspriortotheexecutivesessionoftheSRCscheduledtodiscusssuchevaluationwiththeCEO.TheperformanceevaluationshallbekeptconfidentialbytheSRC.
In
additiontotheannualperformanceevaluation,theSRCandtheCEOmaymeetonaquarterlybasistodiscussissuesofinterestorconcernthatcouldproperlybethesubjectmatteroftheCEO'sevaluation,andiftheSRCdesirestoreduceanysuchdiscussiontowriting,theSRCwillfollowtheproceduressetforthfortheannualperformanceevaluation.4.5.RetentionBonus.
Dr.
AckermanwillbeentitledtoaretentionbonusifsheremainsintheemployoftheSchoolDistrictthroughJune30,2011intheamountofOneHundredThousandDollars($100,000)payableontheregularpayperiodfollowingJuly30,2011.ByJuly30,2011,theCEOandtheSRCshalldiscussretentionbonusestodeterminepossibleretentionbonusesforsubsequentyearsofthisAgreement.Section5.Benefits.5.1.Vacations.Dr.Ackermanshallbeentitledto34daysofvacationannually.Vacationdaysmaybeaccumulatedforuptosixty(60)days'worthofvacationdaysandusedinsubsequentyears.Dr.Ackermanshallbecompensatedforanyvacationdaysunusedattheterminationofheremployment,inaccordancewiththeformulathenineffectfortheSchoolDistrict'semployeesatthelevelofDirectorandabove.AtDr.Ackerman'soption,theSchoolDistrictwillreimburseDr.Ackermanannuallyforuptofour(4)unuseddaysofvacationatherdailyratebasedonherthenannualsalary.
