BE IT ENACTED AND IT IS HEREBY ENACTED
as a by-law of [Name of Corporation](herein called the "Corporation") as follows:
ARTICLE 1 - INTERPRETATION
1.1
Definitions
In this by-law and all other by-laws of the Corporation, unless the context otherwiserequires:(a)"
Act
" means the [Name of Act or Legislation Pursuant to which the Corporationwas formed] and any Act that may hereafter be substituted therefor, as from timeto time amended;(b)"
Articles
" means the Articles incorporating the Corporation as from time to timeamended and supplemented by supplementary Articles;(c)"
Board
" means the board of directors of the Corporation;(d)"
By-laws
" means this by-law and all other by-laws, of the Corporation asamended from time to time and which are, from time to time, in force and effect;

Corporation
" means [Name of Corporation];(f)"
Member
" means a Member of the Corporation; and(g)"
person
" includes a partnership, unincorporated association, trust, body corporateor any other similar entity and an individual.
1.2
Rules
In the interpretation of this by-law, unless the context otherwise requires, the followingrules shall apply:(a)words importing the singular number include the plural and vice-versa;(b)words importing the masculine gender include the feminine and neuter genders;(c)any reference to a percentage of Members or directors for quorum and othevoting purposes shall mean the smallest whole number that is not less than therelevant percentage of Members or directors indicated; and(d)any reference to a vote by a percentage of Members or directors shall mean such percentage of the votes cast by Members or directors present at the relevantmeeting and shall not mean the percentage of all the Members or direct ors thatmay be authorized by the By-laws or actually appointed or elected at the time othe vote.
ARTICLE 2 - MEMBERS
2.1
Qualifications for Principal Membership
In order to qualify as a Principal Member, a person must, at all relevant times:(a)[Set out Qualification(s) for Principal Membership in the Corporation (ie. be asenior over 65 years old residing in the Hidden Valley Community)]
2.2
Other Classes of Members
The Board may from time to time, by resolution, establish other classes or categories of members, including but not limited to Associate Members, Affiliate Members, ConsortiaMembers, Special Members, Honorary Members and members ex officio, as may bedeemed appropriate, and may also from time to time by resolution admit to any suchother class or category of members so established, such persons as subscribe to theobjects, purposes, aims and objectives of the Corporation and as the directors in their discretion determine to accept into membership.

2.3
Conditions Attaching to Other Classes
Classes and categories of other members may be established and persons admitted tomembership therein upon such terms and conditions and for such a period of time andwith such rights, privileges, duties and obligations as the Board may from time to timedetermine.
2.4
Restrictions on Voting, Attendance
 No person admitted to membership in any class or category of membership other than asa Principal Member shall have any right to vote at any meeting of the Members, and inestablishing such other classes and categories of members, the Board may restrict or  prohibit attendance at meetings of the Principal Members and may provide for separate or no meetings of the members of such other classes and categories.
2.5
Admission to Principal Membership
The Board may accept for and admit to Principal Membership in the Corporation any person which or who satisfies the Board of its or his ability to perform the functions andobligations required of Principal Members and(a)delivers to the Corporation an application for Principal Membership in the formrequired by the Board from time to time and fulfills all of the qualifications setforth for such Membership as set forth in the Articles and the By-laws;(b)has agreed to be a Principal Member and to be bound by the terms and conditionsof the By-laws;(c)has paid an initiation or admission fee in the amount prescribed by the Board fromtime to time; and(d)agrees to reimburse the Corporation for any reasonable out-of-pocket expensesincurred by the Corporation in connection with the admission of the applicant.
2.6
Admission to Principal Membership
The affirmative vote of not less than two-thirds (2/3) of the Board is required to admitany applicant to Principal Membership.
2.7
Notification
Each Member, of whatever class or category, shall be promptly notified by the Secretaryof its or his admission to membership in the Corporation.
