TO ZYNGA INC. AND ITS COUNSEL OF RECORD:PLEASE TAKE NOTICE THAT
on January 18, 2013, at 9:00 a.m., or as soon thereafteras counsel may be heard, in the courtroom of the Honorable Susan Illston, located in the UnitedStates Courthouse, 450 Golden Gate Avenue, San Francisco, California 94102, Plaintiff andCounter-Defendant Electronic Arts Inc. (“EA”) will and hereby does move this Court to Strike theCounterclaim of Counter-Claimant Zynga Inc. (“Zynga”) pursuant to California Code of CivilProcedure § 425.16 (the “anti-SLAPP statute”).This Motion is made upon the following grounds:Zynga’s first claim for relief, for alleged breach of contract, asserts that EA breached theterms of certain settlement agreements between the parties by filing its Complaint for CopyrightInfringement in this action. EA’s filing of its complaint is a core protected activity under the anti-SLAPP statute, such that Zynga is required to establish a probability of prevailing on its breach of contract claim in order to survive EA’s motion to strike. The plain and unambiguous terms of thesettlement agreements neither released the copyright infringement claim asserted by EA norrestricted EA’s filing of its complaint. Zynga therefore cannot establish a probability of prevailingon its first claim for relief.Zynga’s second claim for relief charges EA with having violated California Business andProfessions Code § 17200 by threatening to file an action against Zynga in connection with itspractices in soliciting, recruiting, and hiring EA employees. EA’s alleged threats to initiatelitigation arise from its constitutionally protected right to petition for redress of grievances and areprotected activities under the anti-SLAPP statute, such that Zynga is required to establish aprobability of prevailing on its Section 17200 claim in order to survive EA’s motion to strike.Zynga cannot make that showing. EA’s alleged threats are protected by California’s litigationprivilege and therefore cannot serve as a basis for Zynga’s Section 17200 claim. Moreover, evenin the absence of that privilege, Zynga can neither plead nor prove any “unlawful” or “unfair”business practice within the meaning of Section 17200.Because each of Zynga’s claims for relief is directed at protected activities underCalifornia’s anti-SLAPP statute, and because Zynga cannot establish a probability of prevailing on

either claim, Zynga’s Counterclaim must be stricken in its entirety. EA is further entitled torecover all of the attorneys’ fees and costs it incurs in connection with this motion and theaccompanying motion to dismiss.
