In any event, it does necessitate a response.I don’t know that a charter must be adopted at an organizational meeting. The CentralCommittee obviously had a set of bylaws in effect at the time of the January 6, 2009,meeting. I don’t find in the bylaws that they die automatically at the end of the previoustwo year cycle.In any event, the bylaws were presented as “amended” bylaws and Article XII, Section 2,requires “no amendment may be considered unless fourteen days’ written notice of thetext or the proposed amendment was mailed, hand-delivered or e-mailed to all Regular and Ex-officio Members of the County Central Committee”. These amended bylawsclearly were not delivered by any means to all members.Had bylaws presented not have been amended, they could have been adopted accordingto the agenda. However, it appears that there are two or three versions of the bylawsfloating around so one can’t be sure which set is correct. But if you don’t INTEND TOfollow the bylaws, I guess it doesn’t matter what set is in place.Agreed, the bylaws permit a deviation from the pro forma agenda with a two-thirds voteof the committee. Unless I was asleep in the meeting, this departure was never laid out tothe committee nor was it voted on. I checked with several others in attendance at themeeting and they confirm there was no explanation and no vote.Yes, there was a parliamentarian there. Whether he knew the bylaws is not clear. He wasthere as parliamentarian and was consulted several times about Robert’s Rules of Order.He was not consulted about the bylaws themselves nor did he comment on them. It wasnot his role to see that the bylaws themselves were followed.
