“Rip the Runway Amateur Model Search” Contest --- Official Rules.

OFFICIAL RULES
NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.
OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE
DISTRICT OF COLUMBIA (EXCLUDING PUERTO RICO, THE U.S. VIRGIN
ISLANDS, AND OTHER COMMONWEALTHS, TERRITORIES AND
POSSESSIONS), 18 YEARS OR OLDER.

1. HOW TO ENTER: This Contest begins at 6:00pm ET on January 29, 2009 and
ends on February 19, 2009. To enter the Contest, all contest entrants must (i)
log on to www.BET.com/contests and enter the registration information (ii) read
and acknowledge that they understand and will comply with these Official Rules,
(iii) agree to and sign any other documentation required by Sponsor (as defined
below) in connection with their participation in the Contest, and (iv) upload a
headshot and full body shot for the Contest on www.106andpark.com
(collectively, the “Submission”).

The Submission must comply with the following standards:

a) Submission must include only the entrant and not anyone

else and the entrant may not be a professional model;
b) Submission must be 100% original and not infringe upon any
copyrights, trademarks or other intellectual property;
c) Submission may not contain nudity, sexually explicit or
derogatory images; or objectionable content of any form;
and
e) Submission must not mock, ridicule or disparage the
Sponsor, or their products or services, or any ethnic,
religious or national group, gender, or sexual orientation.

The Sponsor reserves the right, in its sole and absolute

discretion, to disqualify any entrant that violates these
standards.

Sponsor assumes no responsibility for any computer, technical, telephone, cable,

network, satellite, electronic or Internet hardware or software malfunctions,
failures, connections, availability, or garbled or jumbled transmissions, or service
provider/Internet/website/use net accessibility or availability, traffic congestion, or
unauthorized human intervention. Sponsor reserves the right to modify, suspend
or terminate the promotion in whole or in part by giving such notice, in any form
and manner deemed appropriate by Sponsor. Should promotion be modified,
suspended or terminated as aforesaid, the prize mayl nevertheless be awarded
from all eligible entries received prior to (or after, if applicable) the modification,
suspension or termination and in accordance with these Official Rules.

2. ELIGIBILITY: PROFESSIONAL MODELS ARE NOT ELIGIBLE TO

PARTICIPATE IN THIS CONTEST. This Contest is open only to legal residents
of the 50 United States and the District of Columbia (excluding Puerto Rico, the
U.S. Virgin Islands, and other commonwealths, territories, and possessions) 18
YEARS OR OLDER as of January 29, 2009. Employees, and their immediate
families (spouses, parents, children, siblings, and their respective spouses),
including household members of Black Entertainment Television LLC, and BET
Interactive, LLC and their respective affiliates, subsidiaries, divisions, advertising
and promotion agencies are not eligible to enter. VOID IN PUERTO RICO,
OUTSIDE OF THE UNITED STATES, AND WHERE PROHIBITED BY LAW.
This Contest is subject to all federal, state and local laws of the 50 United States
and the District of Columbia. By entering this Contest, each entrant agrees to
release and hold harmless the Sponsor and its respective parent companies,
affiliates, subsidiaries, agencies, employees¸ officers, directors, representatives,
and advertising and promotion agencies from any injury, loss, death, damage,
action, claim, demand or other liability that may occur from entrant’s participation
in this Contest or from the acceptance or use of any prize awarded, or
attendance at any event. Sponsor reserves the right to verify eligibility
qualifications of any winner. U.S. law governs this Contest. Sponsor further
reserves the right, in its sole discretion, to modify these rules as necessary. By
entering, entrants agree to be bound by these Official Rules. In the event there
is a discrepancy or inconsistency between disclosures or other statements
contained in any Contest materials and the terms and conditions of the Official
Rules, the Official Rules shall prevail, govern and control. Sponsor not
responsible for any typographical or other error in the printing of the offer,
administration of the Contest or in the announcement of the prizes.

3. CONDITIONS OF ENTRY: An eligible entry must be received via online as

described above. Incomplete entries are void. By entering, entrants agree to
comply with these Official Rules, including all eligibility requirements. To enter, your
computer must accept cookies, or any successor or similar technology (now known
or hereafter devised or discovered), which may be used by Sponsor for the
purposes of entry tracking and as set forth in BET.com’s Privacy Policy. Entry will
be deemed to have been submitted by the authorized account holder of the e-mail
address from which the entry is made. Proof of online submission will not be
deemed to be proof of receipt by Sponsor. Sponsor is not responsible or liable for
lost, stolen, mutilated, incomplete, incorrect, delayed, late, interrupted, illegible or
misdirected entries. All entries become the property of Sponsor and will not be
acknowledged or returned.

4. PRIZES: One (1) winner (the “Winner”) will receive an invitation to appear on
BET’s Rip the Runway (the “Show”) as the 2009 Amateur Model and prior to
appearing on the Show, will have their hair and makeup professionally done, by
stylists selected by Sponsor, in its sole discretion. The Show will be taped in
New York City on February 21, 2009. The Winner agrees to (i) be in New York
City and to be available, at times designated by Sponsor, between the dates of
February 19, 2009 and February 21, 2009 in connection with their preparation for
and their appearance on the Show, and (ii) to pay all costs and other expenses in
connection with (1) their travel to and stay in New York including, without
limitation, airfare and accommodations, and (2) their appearance on the Show
(excluding hair and make-up costs). The date of the taping of the Show is
subject to change. Prize package has no cash redemption value. If Winner
cannot travel on any specified dates and/or be available during the times
designated by Sponsor, prize will be forfeited and the prize may be awarded to
an alternate winner. Winner is responsible for obtaining all necessary and
required travel documents. For information visit the U.S. State Department’s
website: www.travel.state.gov. Securing and providing passport documentation,
if applicable, is the sole responsibility of the Winner and his or her guest, if any.
ANY FEDERAL AND STATE TAXES ON A PRIZE ARE THE SOLE
RESPONSIBILITY OF THE WINNER. No substitution or transfer of prizes
permitted, except at the sole discretion of Sponsor. If prize, or any portion of a
prize is unavailable, Sponsor reserves the right to substitute that prize or portion
of the prize with a prize of equal or greater value. All prizes will be awarded,
provided they are properly claimed.

5. DETERMINATION OF WINNERS:
Phase 1: By February 13, 2009, Sponsor shall select from among all eligible
online entries five (5) finalists (the “Finalists”) to compete to be the 2009 Amateur
Model on the Show. Sponsor shall select the Finalists based upon their overall
appearance, style and charisma, as determined by Sponsor, in its sole discretion.
Sponsor will announce the Finalists online at www.106andpark.com on February
13, 2009 by 6pm ET. Sponsor may contact Finalists by phone and/or email. If a
Finalist cannot be reached after a reasonable effort has been exerted, if he/she is
found to be ineligible of if he/she cannot or does not comply with these Official
Rules, said Finalist will be disqualified and an alternative Finalist may be selected
at Sponsor’s sole discretion.

Phase 2: The Finalists shall travel to New York City, at their own expense, to
participate in the live taping of 106 & Park on February 19, 2009. During the
taping of the 106 & Park, the Finalists shall be required to participate in
challenges determined by Sponsor, in its sole discretion. The 106 & Park
audience will have an opportunity to rate the performance of each Finalist. The
Winner will be chosen by a panel of judges, selected by Sponsor, during the
taping of 106 & Park.

6. GENERAL CONDITIONS: Potential winners (their parent/legal guardian if

potential winners are residents of a jurisdiction that deems them to be minors)
will be required to sign and return any applicable documents sent by Sponsor
related to the Contest, which may include, but are not limited to a Letter of Prize
Acceptance and an Affidavit, Waiver of Liability, Publicity and Travel Release
within five (5) days of notification. Failure to return documents as specified or if
prize notification is returned as undeliverable will result in entry being
disqualified, and an alternate potential winner being selected. Where permitted
by law and BET’s Privacy Policy, winners (except in the case of a minor) agree to
grant to Sponsor and Sponsor’s licensees, affiliates and assigns, the right to
print, publish, broadcast and use, worldwide, in any media now known or
hereafter developed, including but not limited to the world wide web, at any time
or times, the winner’s name, portrait, picture, voice, likeness and biographical
information as news or information and for advertising and promotional purposes
without additional consideration; and further without such additional
compensation, appear for, or provide biographical information for use in, any
presentation or other activity which may include filming/audio/video/electronic or
other recordings and/or interviews as may be determined by Sponsor. Failure to
grant such rights may result in disqualification with an alternate winner or
potential winner selected. Further, by accepting a prize, winners (their
parent/legal guardians if potential winners are residents of a jurisdiction that
deems them to be minors) agree to release and hold harmless Sponsor, its
parent, subsidiaries, licensees, affiliates, subsidiaries, advertising and promotion
agencies, and their respective directors, officers, employees, representatives,
and agents from any and all liability for any injuries, loss, or damage of any kind
to person, including death, and property arising whole or in part, directly or
indirectly, from acceptance, possession, use or misuse of a prize, participation in
any Contest related activity, or participation in this Contest Odds of winning
depend on the number of eligible entries received. IN NO EVENT WILL
SPONSOR, ITS PARENT, SUBSIDIARY, LICENSEES, AND OR AFFILIATES
AND RELATED COMPANIES, THEIR SPONSORS, ADVERTISING OR
PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS,
EMPLOYEES, REPERESENTATIVES, AND AGENTS, BE RESPONSIBLE OR
LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING
DIRECT, INDIRECT INCIDENTAL, CONSEQUENTAL OR PUNITIVE DAMAGES
ARISING OUT OF YOUR ACCESS TO USE OF INTERNET SITE
www.BET.COM OR THE DOWNLOADING FROM AND/OR PRINTING
MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE
FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED “AS IS” WITHOUT
WARRANTY OF ANY KIND, EITHER EXPRESS, OR IMPLIED, INCLUDING
BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS, FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME
JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF
LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ABOVE
LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR

Sponsor reserves the right, at its sole discretion, to disqualify any individual it
finds, in its sole discretion, to be tampering with the entry process or the
operation of the Contest or Website; to be in violation of the Terms of Service of
the Sponsor’s web site, to be acting in violation of the Official Rules; or to be
acting in a non-sportsmanlike or disruptive manner, or with intent to annoy,
abuse, threaten or harass any other person. Any use of robotic, automatic,
macro, programmed, or like entry methods will void all such entries by such
methods. In the event of a dispute as to entries submitted by multiple users
having the same email account, the authorized subscriber of the email account
used to enter the Contest at the actual time of the entry will be deemed to be the
participant and must comply with these rules. Authorized account subscriber is
deemed to be the natural person who is assigned an email address by an
Internet access provider, online service provider or other organization, which is
responsible for assigning email addresses email, addresses or the domain
associated with the submitted email address.

7. DISPUTES: As a condition of participating in this Contest, entrant agrees

that any and all disputes which cannot be resolved between the parties, and
causes of action arising out of or connected with this Contest, shall be resolved
individually, without resort to any form of class action, exclusively, before a court
located in the State of New York having competent jurisdiction, which Court shall
apply the laws of the State of New York without regards for doctrines of Conflict
of Law. Further, in any such dispute, under no circumstances will entrant be
permitted to obtain awards for, and hereby waives all rights to claim punitive,
incidental, nor consequential damages, or any other damages, including
attorney’s fees, other than entrant’s actual out-of-pocket expenses (i.e., costs
associated with entering this Contest), and entrant further waives all rights to
have damages multiplied or increased.

8. WINNERS’ LIST: For a list of prize winners, available after March 19, 2009,
mail a self-addressed stamped envelope to: “Rip the Runway Amateur Model
Search” Contest to BET Interactive, LLC, 1540 Broadway 27th Floor, New York,
NY 10036. Washington and Vermont residents may omit return postage when
requesting list of prize winners.
