MACQUARIE MUSICAL SOCIETYCONSTITUTION
As amended October 2006
1. Name of Society
Name of the Society shall be the Macquarie Musical Society.
2. Objectives
(a) The objectives of the Society shall be to promote and produce works ofmusical theatre on campus, this includes but is not limited to, musicals,cabarets and concerts.(b) The property and income of the Society shall be applied solely towards thepromotion of these objectives.(c) No part of the property or income of the Society may be paid or otherwisedistributed, directly or indirectly, to members, except in good faith in thepromotion of these objectives.
3. Definitions
 For the purposes of this Constitution, the following terms shall mean:
Society
means the Macquarie Musical Society.
SAM
means Students at Macquarie, the trading name of Macquarie UniversityUnion Limited.
AGM
means the Society’s Annual General Meeting.
General Meeting
means the Society’s Annual General Meeting andExtraordinary General Meeting.
Executive
means the Elected Executive Committee of the Club.
Executive Meetings
means the meetings held by the Executive undersection 10.
MacMS
means Macquarie Musical Society.
Member
means a member of the Club.
University
means Macquarie University.
Shows
means all performances, including but not limited to, musical theatre,cabarets and reviews.

Simple Majority
means one half (50%) of the present and voting members(with voting rights) plus one (1) where an abstention is not counted as a vote.
4. Membership
 (a) Membership is opened to all students of the University.(b) Membership is opened to non-students of the University, provided that theSociety Member base consists of at least 2/3 students at all times.(c) Members must sign to show that they have registered with the Society andagree with this constitution.(d) All Members must pay a membership price. The membership price will bedetermined by Executive.(e) All Members are to abide by this constitution.(f) All Members have the right to attend and vote at any General Meeting.(g) Membership entitlement exists for a period of one calendar year.Membership must be reinstated at the commencement of first semester of theUniversity.(h) A Member may resign their membership at any time by providing a signed,written notice to any of the Executive.(i) If a Member has significantly impeded the purpose of the Society, orsignificantly disobeyed the Society’s rules and directives, that Member maybedismissed under section 12(e).(j) Any Member may raise an expulsion motion by notifying the Secretary atleast 14 days before the next General Meeting.
5. Annual General Meetings
(a) The Executive shall convene an Annual General Meeting on or before thelast academic day in second semester each year.(b) The AGM must be held on the University campus.(c) The ordinary business of the annual general meeting will be:(1) to confirm the minutes of the preceding annual general meeting andany general meeting held since that meeting;(2) to receive from the President reports on the Society’s activitiesduring the preceding year;(3) to receive from the Treasurer a report on the Society’s financesover the preceding year;(4) the election of the new Executive of the Society; and

(5) to amend this constitution.(d) Notice of the AGM must be reasonably advertised at least 7 days prior tothe meeting and the notice must specify when and where the meeting is to beheld.(e) Any proposed amendments to the constitution must be given to theSecretary at least 5 days prior to the meeting.(f) The Secretary shall at least 3 days prior to the meeting post written noticeof:(1) Particulars of the business to be transacted at the General Meeting;and(2) The intention to propose any motion to amend this constitution andthe particulars of such proposed motion.
6. Quorum and Procedure at General Meetings
(a) The Executive shall, within 21 days of receiving a written request from atleast 3 Members, convene an extraordinary General Meeting of the Society’sMembers. The Members making a request under this section shall:(1) specify in the request the purpose for which the Meeting is required;(2) sign the request; and(3) serve the request upon the Secretary.(b) If the Executive fails to convene a General Meeting within 21 days asreferred to under section 6(a), the Members who made the request mayconvene a General Meeting(c) The quorum at all General Meetings shall be equivalent to 50% of the totalnumber of Members or twenty 20 Members, whichever is less.(d) If within 1 hour from the time appointed for the meeting a quorum is notpresent the Chair shall postpone the meeting for at least 7 days but no morethan 21days.(e) Only Members may vote at a General Meetings.(f) All Members shall have one equal vote.(g) There shall be no voting by proxy at any Meeting of the Society.(h) A resolution, other than a resolution to amend this constitution or removean Executive Member from office, shall be passed by a Simple Majority.(i) A resolution to amend this Constitution shall be passed by 2/3 majority ofthe Members voting.
