Namely,thereissubstantialevidencethatHerbalife Ltd. isanillegal pyramidschemeoperatingundertheguiseofahealthproductscompany.Uponinvestigation, however, Herbalifepaysmoremoneytoparticipantsinitsbusinesstorecruitnewparticipants thanitdoesforsaleofitsproducts.Thisisillegal.See,e.g.,Websterv.OmnitritionIntern.,Inc., 79F.3d776(9thCir.1996). eBayisaidingHerbalifeinmaintainingandperpetuatingthatschemeandthus,mayitself beliableforinjurycausedbyit.Specifically,eBayplaysacriticalroleintheHerbalifepyramid schemebyprovidinganoutletforparticipantsintheschemetosellunwantedproducts.Without thatoutlet,theschemewouldlikelycollapsesoonerbecausetheparticipantswouldnotbeableto liquidatetheirproductsinordertoputmorecashbackintotheschemetokeepitalive. Assoonaspractical,pleaseconfirmtomethatyouhaveinvestigatedtheseissuesand ceasedallinvolvementwithorsupportofHerbalife's pyramidscheme.Ifyouchoosenotto investigateHerbalifeornottoceaseyourinvolvementtherewith,pleaseprovidemethelegal basisjustifyingyourdecision,includingatminimumtheopinionletterfromyourcounselupon whichyourely.IbelieveyouhaveafiduciarydutytomeandothershareholderstoensureeBay is notinvolvedwithcriminalactivity.
