It is submitted to you in confidence, on the condition that you and your representatives have, by receiving it, agreed not to reproduce or copy it, in whole or in part, or to furnish such information to others, or to make any other use of it except for the evaluation purposes stated above, and to return it to Digital Surveillance Solutions, Inc. upon request. The previous statement shall not apply to the extent that such statement violates any federal or state laws requiring such information to be made available to the public. In the event this document results in a contract, you may retain this document for use, including making any necessary copies related to the products and services covered by such contract. Background
The Saratoga Springs Police Department has expressed a desire to deploy Video Surveillance at the numerous areas in the city. By deploying Video Surveillance, there is an expressed desire to protect the people and assets of the community by deterring unwanted behavior, enable real-time monitoring and to increase the likelihood of having forensic evidence in the event that unwanted behaviors occur. Digital Surveillance Solutions, Inc. would like to take this opportunity to qualify the scope and engagement of work at the Saratoga Springs Police Department for achieving a quality solution.

The PCCs responsibilities will include: Serve as the interface between Digital Surveillance Solutions, Inc. and Saratoga Springs Police Department. Identify, schedule and confirm availability of support staff and management for onsite meetings (if necessary) and training. Schedule meeting/training rooms as necessary. Work with Digital Surveillance Solutions, Inc. to administer the Project Change process. Obtain and provide information, data, decisions and approvals, within 1 working day of Digital Surveillance Solutions, Inc.s request, unless both parties agree to an extended response time. Resolve deviations from project plans that may be caused by Saratoga Springs Police Department. Help resolve project issues, and escalate issues within the Saratoga Springs Police Department. Monitor and report project status on a regular basis with the Saratoga Springs Police Departments management.

Engagement Scope
Digital Surveillance Solutions, Inc. will provide professional integration services to install an IP video surveillance system for the Saratoga Springs Police Department in Saratoga Springs, NY. This engagement will focus on the following high level activities: Scope Item 1: Scope Item 2: Scope Item 3: Scope Item 4: Scope Item 5: Server Configuration of Exacq Professional Software. Configuration and Installation of IP Cameras. End User and Administrative Training. Knowledge transfer to identified staff. Documentation creation and turnover to identified officials resources.
The scope of this Statement of Work is to provide Saratoga Springs Police Department with a working understanding of the steps to implement an IP video surveillance system and the cost associated with such. This initiative is estimated to be approximately six (6) weeks in duration, including Digital Surveillance Solutions, Inc. prep time prior to on-site installation.
Deliverables
This engagement is focused specifically to provide Saratoga Springs Police Department with a completely functioning IP Video Surveillance Solution. Given this, Digital Surveillance Solutions, Inc. will deliver all services necessary to complete the following deliverables: Deliverable Item 1: Completely installed and configured IP Video Surveillance System. Deliverable Item 2: Train identified individuals as End Users and/or Administrators. Deliverable Item 3: Complete documentation on the configured system.

Exclusions
The following areas are not included in the scope of this engagement: 1. Genetec Licensing for 1 wired cameras (E1) Unused camera licenses are available to date 2. Confidentiality
Digital Surveillance Solutions Inc. agrees to keep confidential all Deliverables and all technical, product, business, financial, and other information regarding the business and software programs of Saratoga Springs Police Department (the "Confidential Information"), including but not limited to programming techniques and methods, research and development, computer programs documentation, student and staff identity, and business methods. Digital Surveillance Solutions Inc. shall at all times protect and safeguard the Confidential Information and agrees not to disclose, give, transmit or otherwise convey any Confidential Information, in whole or in part, to any other party. Digital Surveillance Solutions Inc. further agrees not to attempt to ascertain the source code of any Saratoga Springs Police Department computer programs by unauthorized access or review, reverse engineering, decompilation, disassembly, or any other technique or method. Digital Surveillance Solutions Inc. agrees that it will not use any Confidential Information for its own purpose or for the benefit of any third party and shall honor the copyrights of Saratoga Springs Police Department and will not copy, duplicate, or in any manner reproduce any such copyrighted materials. The provisions of this Confidentiality shall survive termination or expiration of this Agreement or any Statement of Work hereunder.

Logistics
Completion Criteria
The project will be considered complete when the deliverables described in this Statement of Work have been fulfilled and have been delivered to the Saratoga Springs Police Department PCC. A final Acceptance Form will be presented to the Saratoga Springs Police Department PCC for agreement and execution indicating completion of the project.
Project Change
It may become necessary to amend the Statement of Work for reasons including, but not limited to, the following: Discretionary changes to the project schedule. Discretionary changes in the scope of the project. Requested changes to the work hours of Digital Surveillance Solutions, Inc. personnel. Environmental or architectural impediments that cannot be foreseen. Lack of access to client personnel, data or facilities necessary to complete project
In the event that it is necessary to change this Statement of Work, Digital Surveillance Solutions, Inc. will initiate the Change Control process with the Saratoga Springs Police Department PCC as outlined in Appendix A: Project Change Control Procedure.
Estimated Schedule
This engagement is slated to be approximately six (6) weeks including lag time (product procurement). With respect to task execution, Digital Surveillance Solutions, Inc. expects 65% of all activities and tasks to be performed on-site at Saratoga Springs Police Department location, with the remainder being performed by Digital Surveillance Solutions, Inc. personnel at locations designated by Digital Surveillance Solutions, Inc.

Staffing
Digital Surveillance Solutions, Inc. has identified the following staffing requirements to successfully complete this project in the allotted time frame: - System Engineer/Project Manager: Will be the point person for the Saratoga Springs Police Department Primary Client Contact. Will configure the identified server. Configure and install the identified cameras for the IP Video Solution. Provide knowledge transfer throughout the project to Saratoga Springs Police Department Staff. Will train end users and administrators.
- Project Engineer/Technician: Will assist in the installation and configuration of cameras for the IP Video Solution.

Charges
Digital Surveillance Solutions, Inc. has estimated the product and work involved to deliver the installation services to Saratoga Springs Police Department on a separate addendum. We have provided an itemized quote for cameras, servers, software and installation services associated with the project. Server, storage and network specifications/recommendations have been provided in a separate addendum. If there is a change identified that will affect this project, it will be documented utilizing the Project Change Request noted in Appendix A: Project Change Control Procedure. All price changes associated with changes to the Statement of Work will be defined and submitted for acceptance prior to implementation of the changes.
Payment Structure

In the event that it is necessary to change this Statement of Work, the following process will be followed: A Project Change Request (PCR) will be the vehicle for communicating change. The PCR must describe the change, reasons for the change, and the effect the change will have on the project, which may include scheduling changes, pricing, etc. A PCR may be initiated by either Digital Surveillance Solutions, Inc. or client based on the situation. The designated Project Manager of the requesting party will review the proposed change and determine whether to submit the request to the other party. Both Project Managers will review the proposed change and approve it or reject it. If further investigation on the part of Digital Surveillance Solutions, Inc. is requested in order to determine the scope of the change, any charges for that investigation will be outlined. Both Project Managers will sign the PCR, indicating the acceptance of both parties to the changes, which may affect pricing, schedules, and contractual commitments. Upon acceptance of the change request by both project managers, the scope of work and costs will be modified appropriately, and the changes will be incorporated into the project. The Purchase Order affected by the change will be indicated on the PCR, and the PCR Number will be referenced when invoicing for any additional charges against the Purchase Order. 1. PRINTED AGREEMENT None of the PRINTED AGREEMENT or its terms and conditions may be altered without the express written approval of an officer of Digital Surveillance Solutions, Inc. 2. Digital Surveillance Solutions, Inc., hereinafter SELLER agrees to install specified system on premises and to make any necessary inspections and tests to deliver system to purchaser in operating condition in accordance with standard installation procedures of seller. The installation will be completed within a reasonable length of time based on the conditions inherent in the premises and sellers installation schedule. 3. FULL 180 DAY WARRANTY Seller promises to furnish a replacement part for any portion of your Video system which proves to be defective in workmanship or material under normal use for a period of 180 DAYS from the date of installation. We reserve the right to use reconditioned parts in fulfillment of this warranty. This warranty only applies to products that were purchased from Seller. We will furnish the labor to remove and replace the defective part during the same 180 Day Period. Seller makes no other warranty except as herein specifically set forth, particularly any warranty of merchantability or fitness for any particular purpose, either express or implied in law. GENERAL: Furnishing of parts and labor as described above shall constitute fulfillment of all Seller obligations with respect to this warranty, and replacement parts will be warranted only for the unexpired portion of the original warranty. A bill of sale, cancelled check or payment record should be kept to verify purchase date and establish warranty period. To obtain service, call the office listed on the Purchase Agreement you signed at the time of purchase of your system. Ready access to the system for service is the responsibility of the purchaser. We will perform service during normal working hours. For emergency service, we will charge you an emergency service labor premium. We will endeavor to perform service within 48 hours after notification of a problem by the purchaser. EXCLUSIONS This warranty applies only to systems sold and retained within the continental USA. This warranty does not apply to the product or parts that have been damaged by accident, abuse, lack of proper maintenance, unauthorized alterations, misapplication, fire, flood or acts of God. This warranty does not cover service calls which do not involve defective workmanship or materials. IN NO WAY WILL SELLER BE RESPONSIBLE FOR CONSEQUENTIAL DAMAGES. 4. SELLER NOT AN INSURER It is understood and agreed: That Seller is not an insurer; that insurance, if any, shall be obtained by Purchaser; that the payment for system provided for herein is based solely on the value of the system as set forth herein and are unrelated to the value of the Purchasers property or premises; THAT SELLER MAKES NO GUARANTEE OR WARRANTY INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS THAT THE EQUIPMENT OR SERVICES SUPPLIED WILL AVERT OR PREVENT OCCURRENCES OR THE CONSEQUENCES THEREFROM WHICH THE SYSTEM IS DESIGNED TO DETECT, RECORD or AVERT. Purchaser acknowledges that it is impractical and extremely difficult to fix the actual damages, if any, which may proximately result from a failure to perform any of the obligations herein, or the failure of the system to properly operate with resulting loss to Purchaser because of, among other things: (a) The uncertain amount of value of Purchasers property or others kept on premises which may be lost, stolen, destroyed, damaged or otherwise affected buy occurrences which the system or service is designed to detect or avert. (b) The uncertainty of the response time of any police or fire department, should the police or fire department be dispatched as a result of a signal being received. (c) The inability to ascertain what portion, if any, of any loss would be proximately caused by Sellers failure to perform or by failure of its equipment to operate. (d) The nature of the service to be performed by Seller, Purchaser understands and agrees that if Seller should be found liable for loss or damage due from a failure of Seller to perform any of the obligations herein, including but not limited to installation, maintenance, or service which results in the failure of the system or equipment in any respect whatsoever, Sellers liability shall be limited to Two Hundred Fifty ($250.00) Dollars and this liability shall be exclusive; and that the provisions of this Section shall apply if loss or damages, irrespective of cause or origin, results directly or indirectly from performance or nonperformance of the obligations imposed by this contract, or from negligence, active or otherwise, of Seller, its agents, assigns or employees. In the event that the Purchaser wishes Seller to assume greater liability, Purchaser may, as a matter of right, obtain from Seller a higher limit by paying an additional amount proportioned to the increase in damages, but such additional obligation shall in no way be interpreted to hold Seller as an insurer. 5. INDEMNIFICATION Purchaser agrees to and shall indemnify and save harmless the seller, its employees and agents for and against third party claims, lawsuits and losses arising out of or in connection with the operation or upon alleged intentional conduct or active or passive negligence on the part of seller, its agents, servants or employees or upon alleged intentional conduct or active or passive negligence on the part of Seller, its agents, servants or employees.
The Seller assumes no liability for delay in installation of the system, or interruption of service due to strikes, riots, floods, fires, acts of God or any cause beyond the control of the Seller including the interruption in telephone service or internet service. Seller will not be required to supply service to the Purchaser while interruption of service due to any such cause shall continue. 6. Except as otherwise herein provided, this Agreement shall remain in force in perpetuity until either party informs the other in writing that it wishes to end the agreement. This notice shall be sent at least thirty (30) days prior to the expiration of the current support period. 7. NETWORK and INTERNET CONNECTIONS Seller will assist purchaser in making necessary arrangements to secure Network and Internet service connections for system. The charge for the installation and continuation of this service will be the responsibility of the purchaser. 8. TESTING It is the responsibility of the Purchaser to test the system for proper operation periodically but not less than weekly unless the Purchaser has entered into a support agreement with the Seller. 9. RETENTION OF TITLE AND RIGHT OF ACCESS The system shall remain the personal property of Seller until fully paid for in cash by purchaser and purchaser agrees to perform all acts which may be necessary to assure the retention of title to the system by seller. Should purchaser default in any payment for the system or part, then purchaser authorizes and empowers seller to remove the system or part from the premises. Such removal, if made by seller, shall not be deemed a waiver of sellers right to damages seller sustains as a result of purchasers default and seller shall have the right to enforce any other legal remedy or right. Furthermore, seller shall be in no way obligated to restore the premises to its original condition, or redecorate same in the event the system or part is removed as a result of purchasers default in payment. Risk of loss of the system, or any part of the same, shall pass to purchaser upon delivery to the premises of such system or part. 10. RIGHTS AND COST OF COLLECTION Costs of collection of accounts overdue including reasonable attorneys fees shall be borne by the purchaser. Any action taken under paragraph six and/or paragraph twelve shall in no way prejudice sellers right to collection of unpaid charges and costs herein enumerated. 11. NOTICE TO PURCHASER Under the Mechanics Lien Law, any person who helps to improve your property and is not paid has the right to enforce his claim against your property. Under law, you may protect yourself against such claims either by filing with the Court a No Lien Agreement or a payment bond, depending upon the law of the state where your property is located. 12. The Purchaser agrees that any person or persons, unauthorized by the Seller, will not be permitted to alter, remove, or tamper with the equipment necessary for the system to function. This equipment as well as maintenance thereof remains the responsibility of Seller while the Purchaser maintains the equipment under a support contract with the Seller. 13. ENTIRE AGREEMENT This instrument contains the entire agreement between the parties hereto with respect to the transactions described herein and supersedes all previous negotiations, commitments and writing pertaining hereto. Only an officer of the Seller is authorized to sign this agreement. If any of the terms or provisions of this agreement shall be determined to be invalid or inoperative, all of the remaining terms and provisions shall remain in full force and effect. Executive Overview
The City of Saratoga Springs Police Department currently has a Genetec IP Video Camera System that provides the Police Department with surveillance video. The coverage consists of mostly interior video surveillance with limited views of areas outside of the City Hall building. The cameras are hardwired for network connectivity and physically secured to the building. It is the desire of Saratoga Springs city officials and the Police Department to create a design plan that extends camera coverage to many of the major streets in the city. It is the objective of Digital Surveillance Solutions, Inc. (DSS) to make the best use of the allotted budget while at the same time achieving a robust and reliable system that will require minimal maintenance. DSS recommends that the system be broken into two phases. The first phase is Priority 1 (Red); including cameras that are high priority for which budget currently exists. Phase 2 cameras or Priority 2 (yellow) cameras will be added in the future as budgets allows. Budgeting for both phases is addressed in this design plan. The main considerations in providing this system proposal are to:
Provide a comprehensive design that depicts all engineering details of the system Allow sufficient network security to cameras and recording system Provide ease of use for the Saratoga Springs Police Department Provide a scalable system so that cameras can be added at a later time Create a design which has a minimal aesthetic impact on the current city environment Provide detailed equipment and installation pricing that meets current budget Provide all equipment, labor and support sourced through DSS NYS OGS Contract

Cameras
Saratoga Springs PD has specified camera locations and camera types for this project. The selected cameras for the street surveillance project include fixed lens and PTZ (pan, tilt & zoom). Specified cameras are manufactured by Axis Communications, a world leader in high quality, best of breed surveillance equipment. With respect to the size of the areas to be covered, type of traffic activity, and the surrounding environment, DSS has recommended 3 Megapixel and 5 Megapixel fixed units that will provide a constant stream of recorded fixed images in their fields of view. Some digital zoom capability will be possible with the fixed cameras for both live and recorded video. For pinpoint views, the dispatch operator can manually control the PTZ cameras to monitor suspicious behavior. PTZ cameras provide HDTV (2 Megapixel) resolution with 20x optical and 12x digital zooming capability. All cameras are outdoor ready, day/night cameras with the capability of SD card or edge recording. All cameras will be supplied with 32GB SD cards for onboard storage. This feature allows cameras to record video locally if wireless transmission is disrupted. All cameras have a 3 year manufacturers warranty. For all cameras located in Saratoga Springs public areas, it has been noted that an unobtrusive camera look is desired. The cameras to be mounted in and around the city are as aesthetically neutral as possible. The specified dome form factor cameras provides a discreet appearance while offering some measure of deterrence. All cameras include IP66 weather rated enclosures. The enclosures will be necessary to house any power or network connectivity associated with the wireless nodes or radios that will be located on poles. The enclosures will then be mounted to the appropriate heights (15-20) on the poles. This approach provides a streamlined look to the entire camera, enclosure and radio assembly.

Network Connectivity
Network connectivity from each camera to the Saratoga City Hall is critical for proper operation of the video surveillance system. In order to achieve network connectivity from the City Hall roof into the Police Department network and recording NVR, DSS has specified an Allied Telesis PoE (Power over Ethernet) switch to be installed indoors at the roof level. A data drop will be required to connect the wireless network to the Exacq NVR. The PoE switch will be mounted inside an enclosure which will be located in the attic space of City Hall. 110v power and mounting location is available near the hatchway to roof. 9
Wireless Network
DSS has specified wireless radio equipment manufactured by Ubiquiti Networks. Ubiquiti radios are a point to point or point to multi-point wireless solution. The units are PoE powered. The Ubiquiti adapter utilizes outdoor rated Category 5E cable. Ubiquiti radios can transmit on multiple frequencies (900Mhz, 2.4Ghz, 3Ghz, 5Ghz+) at sufficient bandwidth. The Ubiquiti NanoStation M5 radios provide a 43 degree horizontal beam of coverage as well as a 41 degree vertical beam of coverage which make them suitable for the pointto-multi-point applications proposed. Ubiquiti has a variety of mounting options and a low profile. With an easy to use web interface, the radios can be easily monitored and configured. DSS specifies the use of NanoStation M5 for this application. The NSM5 operates on the 5Ghz+ range to provide maximum bandwidth capabilities.

Priority 1 Wireless Bandwidth For all Priority 1 wireless cameras DSS estimates a range of 13.25 16.78 Mbits/s (Megabits per second) will be reaching the Ubiquiti radios at City Hall. This is within range of the specified receiving capability of the NanoStation M5 radios. For both wired and wireless Priority 1 cameras the total bandwidth estimated at the City Hall network to be recorded on the new Exacq server will range from 22.3 28.26 Mbit/s.
Priority 2 Wireless Bandwidth For all Priority 2 wireless cameras DSS estimates a range of 14.2 17.92 Mbits/s.
All Wireless Cameras Bandwidth For all wireless cameras the calculated bandwidth range will be 27.45 34.7 Mbits/s. This is within range of the capabilities of the Ubiquiti radios transmission and receiving capabilities at the 5Ghz frequency.

On-site Logistics during Installation - vehicle traffic, pedestrian traffic and weather A bucket truck or man lift is required to install the cameras and wireless devices. DSS will coordinate with Saratoga Springs PD and Saratoga DPW to be sure the work site is safe. While an effort will be made to complete all work required at each location with a single visit, it should be expected that multiple visits may be required to optimize wireless signal strength as the wireless network grows. Interference from other wireless devices may affect signal strength values on the wireless network. Weather can play a large factor in this type of installation, specifically wind and moisture. The cameras and enclosures should be assembled and installed in dry weather conditions.

The City of Saratoga Springs would like to have this camera system operational by early summer of 2013. In order for this to occur, DSS recommends the following timeline: February 2013 Complete application and attachment requirement process for the Phase 1 Camera Project with National Grid and Verizon. March 2013 - Procurement of equipment will begin with delivery of cameras, accessories, enclosures and wireless equipment. March 2013 - Coordination will begin with Saratoga DPW and The Traffic Department to ensure all Phase 1 locations have the proper power requirements and connections installed ensuring they are ready for installation of camera equipment. March 2013 Equipment pre-assembly, testing and configuration. April 2013 - The installation of equipment will commence.
The timeline for the priority 1 cameras would take approximately four weeks to complete with signal adjustments and modifications. DSS anticipates sign-off for completion of the Phase 1 project by the end of June 2013.

Next Steps
1. Saratoga PD submits project to Saratoga Design Review Board for approval (if needed). 2. City of Saratoga Springs enters contractual agreement with DSS for project. 3. DSS will work with the City to finalize any application forms and documentation with National Grid and Verizon that are required. Approval is required in order to proceed. 4. DSS will coordinate with The Saratoga Springs Traffic Department to have 110v power installed at the two designated traffic signal poles on Broadway. 5. DSS will coordinate with The Saratoga Springs Department of Public Works to provide a constant 110v power feed for the camera location at the Parking Garage at Phila and Putnam Streets. 6. DSS will work with Saratoga Springs City officials and staff to coordinate any remaining details in the scope of this project.

Summary
The proposed city wide surveillance system will provide Saratoga Springs with critical video surveillance requested at the onset of this project. Given budget considerations, DSS has researched and specified cameras and wireless solutions that are reliable, rugged and will provide years of service for the City. The Exacq NVR and network configuration will provide the required network security that the Saratoga IT Department has requested. The Exacq NVR is an intuitive and easily managed system. Storage requirements for Phase 2 expansion have been included. Phase 2 cameras can be added to the system in upcoming budget cycles as funds become available. DSS anticipates the City of Saratoga Springs will experience marked benefits in having high quality camera coverage to help protect the City of Saratoga Springs, its property, residents and visitors.
