DELETED ADDEDMCCPTA BylawsAdopted September 23, 2002; Amended April 26, 2005Article I: Name
The name of this organization is the Montgomery County Council of Parent Teacher Associations, Inc., (MCCPTA), a Council of theMaryland PTA, a branch of the National PTA.
#Article II: Purposes
Section 1. The purposes of MCCPTA, in common with those of the National PTA and the Maryland PTA, are: a. To promote the welfare of children and youth in home, school, community, and place of worship. b. To raise the standards of home life.c. To secure adequate laws for the care and protection of children and youth.d. To bring into closer relation the home and the school, that parents and teachers may cooperate intelligently in the education of children andyouth.e. To develop between educators and the general public such united effort as will secure for all children and youth the highest advantages in physical, mental, social and spiritual education.
 
Section 2. The purposes of the National PTA, the Maryland PTA, and MCCPTA are promoted through an advocacy and educational programdirected toward parents, teachers, and the general public; are developed through conferences, committees, projects, and programs; and aregoverned and qualified by the basic policies set forth in Article III. Section 3. The organization is organized exclusively for the charitable, scientific, literary or educational purposes within the meaning of Section 501(c)3 of the Internal Revenue Code or corresponding Section of any future tax code (hereinafter referred to as "Internal RevenueCode").
#Article III: Basic Policies
The following are basic policies are MCCPTA, in common with those of the National PTA and the Maryland PTA: a. The organization shall be noncommercial, nonsectarian, and nonpartisan.  b. The organization or members in their official capacities shall not endorse a commercial entity or engage in activities not related to promoting the purposes of the organization.Section deleted by Maryland PTA Template.
 
c.(g) The organization shall not- directly or indirectly- participate or intervene (in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to, any candidate for public office; or devote more than aninsubstantial part of its activities to attempting to influence legislation by propaganda or otherwise. d.(b) The organization shall work with the schools and community to provide quality education for all children and youth and shall seek to participatein the decision-making process establishing school policy, recognizing that the legal responsibility to make decisions has beendelegated by the people to the boards of education, state education authorities, and local education authorities. e. The organization shall not enter into membership with other organizations except such international or national organizations as may beapproved by the National PTA Board of Directors. MCCPTA, or any of its divisions, may cooperate with other organizations and agenciesconcerned with child welfare, but a PTA/PTSA representative shall make no commitments that bind the group he represents. Section deleted by Maryland PTA Template.
 
f. ( d) No part of the net earnings of this organization shall inure to the benefitof, or be distributed to its members, directors, trustees, officers,or other private individuals except that the organization shall be authorized and empowered to pay reasonable compensation for servicesrendered and to make payments and distributions infurtherance of the purposes set forth in Article II hereof. g. (e) Notwithstanding any other provision of these articles, MCCPTA shall not carry on any other activities not permitted to be carried on (i) by an organization exempt from federal income taxunder Section 501(c)3 of the Internal Revenue Code, or (ii) by an organization,contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code. h. (f) Upon the dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, theremaining assets shall be distributed to one or more nonprofit funds, foundations, or organizations which have established their tax exemptstatus under Section 501(c)3 of the Internal Revenue Code.
(c.) The organization shall work to promote the health and welfare of children and youth and shall seek to promotecollaboration between parents, schools, and the community at large.

 #Article IV: Relationship with National PTA and Maryland PTA
Section 1. MCCPTA shall be organized and chartered under the authority of the Maryland PTA in the area in which MCCPTA functions, inconformity with such rules and regulations, not in conflict with the National PTA bylaws, as the Maryland PTA may in its bylaws prescribe.The Maryland PTA shall issue to MCCPTA an appropriate charter evidencing the due organization and good standing of MCCPTA. MCCPTA, as a council in good standing, is one that: a. Adheres to the purposes and basic policies of the PTA; b. Has bylaws approved according to the procedures of the state PTA; andc. Meets other criteria as may be prescribed by the Maryland PTA.
c. submits the name and address of the council president to the Maryland PTA office by designated date;
 
d.
 
has an EIN (Employer Identification Number) from the Internal Revenue Service(IRS)on file with the Maryland PTA;e.
 
maintains its status as a corporation; andf. files the appropriate 990 tax forms with the IRS if the council’s gross receipts average $25,000 over a three year  period.
Section 2. The articles of organization of MCCPTA include (a) the bylaws of such organization, and (b) its certificate of incorporation or articles of such organization (in cases in which the or ganization is a corporation) or the articles of association by whatso-ever name (in casesin which the organization exists as an unincorporated association). Section 3. MCCPTA shall adopt such bylaws for the government of the organization as may be approved by the Maryland PTA. Such bylawsshall not be in conflict with the National PTA bylaws or the bylaws of Maryland PTA. Section 4. MCCPTA shall include in its bylaws provisions corresponding to the Maryland PTA Bylaws as are identified herein by a poundsign (#).
Section 2. This PTA council shall adopt such bylaws for the government of the organization as may be approved by the Maryland PTSuch bylaws shall not be in conflict with the National PTA Bylaws or the bylaws of Maryland PTA. Section 3. Bylaws of this PTA council shall include an article on amendments. Section 4. Bylaws of this PTA council shall include a provision establishing a quorum. Section 5. Each officer or board member of this PTA council shall be a member of a local PTA within its area. Section 6. The bylaws of this PTA council shall prohibit voting by proxy, mail (including electronic communications), or absentee. Section 7. All PTA councils shall be incorporated. Section 8. All PTA councils shall have bonding and liability insurance. Section 9. All PTA councils shall submit a copy of the treasurer’s annual report, reviewed by an auditing committee, to Maryland PT Section 10. A PTA member shall not serve as a voting member of this PTA council’s board while servingas a paid employee of, or under contract to, this PTA council. Section 11. The members of the nominating committee for officers of this PTA council shall be elected by the general membership. Section 12. Each PTA council shall designate a representative to serve on the Maryland PTA Board of Directors according to councilguidelines.Section 13. The charter of a PTA council may be removed in the manner and under the circumstances provided in Maryland PTA bylaws, Article V, #Section 10 and #Section 11. Section 14. This PTA council is obligated, upon withdrawal of its charter by the Maryland PTA:a.
 
to yield up and surrender all of its books and records and all of its assets and property to the Maryland PTA or to suchagency as may be designated by the Maryland PTA or to another PTA council organized under the authority of theMaryland PTA;
 
 b.
 
to cease and desist from the further use of any name that implies or connotes association with the National PTA or theMaryland PTA or status as a constituent organization of the National PTA; andc.
 
to carry out promptly, under the supervision and direction of the Maryland PTA, all proceedings necessary or desirable f the purpose of dissolving the MCCPTA. Section 15. The articles of organization of this PTA council include (a) the bylaws of such organization and (b) the certificate of incorporation or articles of incorporation of such organization. Section 16. This PTA council shall keep such permanent books of account and records as shall be sufficient to establish the items of gross income, receipts, and disbursements of the organization, including, specifically the number of its members and the dues collectefrom its members. Such books of account and records shall at all reasonable times be open to inspection byan authorized representativeof the Maryland PTA or, where directed by the committee on state, council, and local relationships, by a duly authorized representativof the Maryland PTA. 
Article V: The Purposes of MCCPTA
Section 1. The purposes are: a. To unify and strengthen local PTAs comprising the council.  b. To provide for the conference and cooperation of the local PTAs/PTSAs in MCCPTA membership so as to create a public opinionfavorable to the interest of child welfare; to encourage child welfare projects in the various local units; and to assist in the formation of newPTAs according to the plan of the Maryland PTA. c. To promote the interest of the National PTA and of the Maryland PTA within its territory. #d. MCCPTA shall not legislate for local PTAs 
#Section 2. Authority: PTA councils shall not dictate to local PTAs; legislate for the local PTAs, including taking action involvingmember PTAs and setting up rules for them without their consent; duplicate the work or program of the localPTAs; compete with localPTAs; compel local PTAs to enter into council projects; or assess local PTAs for funds without their consent.
 #Section 2. Each officer or board member of MCCPTA shall be a member of a local PTA within its area. #Section 3. Each officer or board member of a local PTA shall be a member of such local PTA.
 
#Section 4. Only members of local PTAs who have paid dues for the current membership year may participate in the business of thatassociation.#Section 5. Bylaws of MCCPTA shall include a provision establishing a quorum. #Section 6. MCCPTA shall keep such permanent books of account and records as shall be sufficient to establish the items of gross income,receipts, and disbursements of this organization, including, specifically, the number of its members and the dues collected from its members.Such books of account and records shall at all reasonable times be open to inspection by an authorized representative of the Maryland PTA.
 
#Section 7. The bylaws of MCCPTA shall prohibit voting by proxy (unless proxy voting is specified by applicable state law), mail, or otherwise.#Section 8. A PTA member shall not serve as a voting member of MCCPTA's board while serving as a paid employee of or under contract toMCCPTA.#Section 9. Only members of MCCPTA who have paid dues for the current membership year may participate in the business of MCCPTA.#Section 10. The members of the nominating committee for officers of MCCPTA shall be elected by membership, Board of Directors/Managers, Executive Board, or Executive Committee. #Section 11. The charter of MCCPTA shall be subject to withdrawal and the status of such organization as MCCPTA shall be subject totermination, in the manner and under the circumstances provided in the bylawsof the Maryland PTA. #Section 12. MCCPTA is obligated, upon withdrawal of its charter by the Maryland PTA:
