The purpose
of
this Agreement
is
to:
(a) set forth the terms uponwhich UW-MADISON will provide services
and
deliverables
to
NUA(collectively, the "Services"),
as
outlined in Attachment A attachedhereto and incorporated herein
by
reference; and (b) set forth NUA's
responsibilitie~
for UW-MADISON
to
successfully provide NUA theServices,
as
outlined
in
Attachment
B,
attached hereto andincorporated herein by reference.BUSINESS TERMS

All amounts set forth herein
are
stated in United States Dollars.TheServices Fee charged
by
UW-MADISON hereunder
is
exclusive andnet
of
any
taxes, duties or additional governmental charges. Except asotherwise required
by
applicable law, NUA will
be
responsible for,and indemnify and hold harmless UW-MADISON with respect to, allapplicable Kazakhstani taxes, duties or additional governmentalcharges and all required filings with respect thereto, including, withoutlimitation, withholding, sales, use, wage, stamp, nonprofit, valueadded taxes or any amounts levied
in
ljeu thereof imposed
by
anygovernmental entity for products or services provided under thisAgreement; provided, however, NUA will have
no
responsibility forU.S. taxes based on UW-MADISON's net income and provided, that,this Section
is
based upon NUA having represented
to
UWMADISON that NUA
is
not subject
to
any taxes, duties or additional·govemmental charges and
all
required filif!gs with respect thereto, orany amounts levied in lieu thereof, imposed
by
any non-Kazakhstanigovernmental entity for products or services provided . under thisAgreement ("Other Taxes"). In the event NUA
is
subject
to
suchOther Taxes, they will notify UW-MADISON immediately
and
NUAand UW-MADISON shall mutually agree upon who shall bear thefinancial burden
of
such Other Taxes. UW-MADISON shall furnish aduly executed (apostillized) Certificate
of
Residence
of

C. Any tangible written report and/or summary prepared by UWMADISON specifically for NUA and that
is
set forth
as
a deliverableunder Attachment A shall
be
owned
by
NUA. NUA will use thewritten report and/or summary noted above solely for purposes
in
furtherance
of
the business purposes set forth
in
Attachment
A.
Allintellectual propertY rights
in
the methodologies, methods
of
analysis,ideas, concepts, know-how, models, tools (includlng anyquestionnaires, power point presentations, or similar templates),techniques, skills, knowledge and experience owned or possessed byUW-MADISON before the commencement
of,
or
developea oracquired by UW-MADISON during or after, the performance
of
theServices, including without limitation,
all
systems, software,specifications, documentation and other materials created, owned orlicensed.and used by UW-MADISON
or
its affiliates orsubcontractors
in
the course
of
providing the Services, shall
be
ownedby UW-MADISON
or
its affiliates,
as
applicable.This Agreementdoes not constitute the grant
to
NUA
of
a license
in
or
to
any
of
UWMADISON's trademarks.
OTHER
TERMS
A.
The term
of
this Agreement will begin
on
the Effective Date and willcontinue for a period
of
3
months
from
the Effective Date, unlesstenninated earlier
as
provided below.
B.
(i) Either party may terminate this Agreement at any time, uponwritten notice
to
the other party,
if
the other party: (a) breaches anypayment obligation hereunder that
is
not cured within ten (I 0)daysafter receiving
WTitten
notice
of
such payment breach; or (b) materiallybreaches this Agreement (other than for a payment obligation) andfails
to
cure such breach within
thirtY
(30) days after receiving writtennotice
of
such breach froin the non-breaching party.(ii) In addition,UW-MADISON may terminate this Agreementat anytime upon written notice
to
NUA: (a)
if
there are any changes in theregulatory, licensure
or
accreditation requirements qr standards that,
in
the reasonable judgment

fulfill its obligations under this Agreement

MADISON's non-profit mission
is
jeopardized, or (b)
in
the even
that,
UW-MADISON
in
its sole and reasonable discretion,
belithat
ccintinuing its relationship with NUA

pose a significant

risk
to
UW-MADISON,
inclu<!ing
duetothe lack
ofNUA
adhering
to
the quality and professional standards
of
care it possessedupon the Effective Date.NUA may terminate this Agreement
at
anytime upon written notice
to
UW-MADISON
if
there are any changes
in
the regulatory, licensure, accreditation requirements, or standardsthat, in the reasonable judgment
of
NUA, materially affect its ability
to
fulfill its obligations under this Agreement.(iii) The termination or expiration
of
this Agreement will not relieveeither party
of
any obligations under any
of
the surviving provisions.In the event
of
a termination
of
this Agreement by UW-MADISONpursuant
to
Section B (i), Other Tenus, UW-MADISON shall have
no
further obligations
to
provide Services or refund any pre-paid amounts
to
NUA and NUA shall pay UW-MADISON an amount equal
to
thesum
of
all fees, costs and expenses accrued
to
or incurred by
OW-
MADISON through the date
of
termination. In the event
of
atennination
of
this Agreement by NUA pursuant
to
Section
B.
(i), orby UW-MADISON
or
NUA pursuant
to
Section B (ii) above, OWMADISON will either: (a) provide
to
NUA any Services for whichUW-MADISON has been paid but which it has not rendered
to
NUAprior
to
the date
of
tennination, or
(b)
refund
to
NUA that portion
of
the Services Fee that corresponds
to
those Services not rendered.
C.
Each party acknowledgesthe proprietary
and
confidential
oature
of
any documentsand
of
all commercial, organizational,
business,
frnancial,technical
and
legal information received from any oiherpartypursuant
to
the
~rms
of
this Agreement, and agrees
to
treat allsuch documents and information
as
confidential and privileged, andwill only use such infonnation only
as
necessary
to

this Agreement. Notwithstanding the foregoing, each party will
be
entitled
to
disclose
in
its normal course
of
business the existence andgeneral nature
of
this Agreement (i.e., that NUA and UW-MADISONhave entered.into a services arrangement), butneither
party
willdisclosethe specifictermsor conditions
of
his Agreement
to
any
third
party
without
the
prior
written
consent
of
the other party.Notwithstanding theforegoing,a party may disclose this Agreement
as
follows:
(i)
to regulatory and accreditation bodies and
as
otherwiserequired by law; (ii)
to
its own legal counsel; (iii)
in
connection withthe enforcement
of
this Agreement; and (iv)
in
confidence toaccountants, banks and financing sources (including shareholders andinvestors), and to
thei~
advisors.D. (i) This Agreement has been prepared
ir{
th~
English and Russianlanguages and both versions have legal power. However,
in
case
of
any disputes, controversy or claim, the Englishversion
of
thisAgreementshall prevail for purposes
of
ts performance, interpretatioJland settlement
of
dis_puta.Subject to Section
D
(ii), Other Terms,any dispute, controversy
or
claim arising out
of
or
in
connection withthis Agreement, or any breach thereof, including any questionregarding its existence, validity or termination (hereinafter "Dispute"),shall
be
referred
to
and fmally resolved in Rules
of
Arbitration
of
theInternational Chamber
of
Commerce (the "Rules"), which Rules aredeemed to be incorporated by reference into this Agreement. Thepanel
of
Arbitrators shall consist
of
three (3) arbitrators appointed
in
accordance with the Rules. The seat
or
legal place
of
arbitration shallbe London, England. The language
to
be used in the arbitrationproceedings shall be English.The construction and performance
of
this Agreement will be governed by the rules
of
substantive law
of
Wisconsin, USA, excluding the conflicts
of
laws provisions thereof.(ii) Prior to submitting any Dispute to arbitration
as
described
in
Section
D
(i), resolution
of
such Dispute shall be negotiated
by
theparties
in
good faith for a period
of
ninety
(90)
days (the "ResolutionPeriod").
In
the event
of
the failure
of
the 'parties
to
resolve any suchDispute during the Resolution Period, such unresolved matter shall bereferred
to
and finally resolved by arbitration
as
described
in
s·ection
D(i).
E.
Force Majeure.(i) If, because
of
a Force Majeure, either party
is
unable to perform
in
whole or in part its obligations
as
set forth
in
thisAgreement, then such party will give the other party prompt writtennotice
of
such cause, and will be relieved
of
those obligations
to
theextent it
is
unable
to
perform for
as
long
as
such cause continues or forthirty
(30)
days, whichever is shorter."ForceMajeure"
shall
meanany
aatural
disaster,
tornado, hurric:aae, earthquake, fire or other
acfs
of
God,
riot, war, act
of
terrorism, formal restrictions on travelimposed by a governmental agency,political instability,orpandelll'ic that, in the reasonable opinion
of
a party, renders it undesirable
to
travel to a destination to render Services.
If
after thirty

days,the
party
affected
by
such
Force MaJeure
is
unable
to
continueperformance, the other party may terminate this AgreementNeitherparty will be liable for any loss, injury, delays
or
damages suffered orincurred by the other party due
to
the above causes or
to
thetermination
of
the Agreement pursuant
to
this Section
E,
Other Terms.(ii) The termination or expiration
of
ihis Agreement pursuant toSection E will not relieve either party
of
any obligations under any
of
the surviving provisions.
In
the event
of
a"ermination
of
thisAgreementby either
party
punuaot
to
Section·
E,
NUA
shall
ayUW-MADISON an amount equal to the sum
of
all fees, costsand
expenses
accrued to

incurred by UWcMADISON throughe date
of
termination,and UW-MADISON will either: ·(a) provide
to
NUAany Services for which UW-MADISON has been paid but which ithas not rendered to
NUA
prior to the date
of
termination, or (b)refund

NUA that portion

the Services Fee that corresponds tothose Services not rendered.
