BY-LAWS
 Amended as of October 15, 2005
 ARTICLE I: NAME
 The name of this organization shall be
FLORIDA-NEPAL ASSOCIATION,INC..
 
 ARTICLE II: AIM & OBJECTIVE
 1. To promote close cooperation and friendship among Nepaleseand friends of Nepal in the United States with particularemphasis on people residing in Florida, and the neighboringstates.2. To promote educational, charitable, social, and culturalactivities.3. To promote close relations with other similar associationsin North America.4. To promote the concept of a single nationwide organizationin the United States.
 ARTICLE III: MEMBERSHIP AND DUES
 1. MEMBERSHIP:The membership is open to all persons who are of Nepaliorigin, related to Nepalese by marriage, adoption or birth,or persons demonstrating a sincere interest in Nepal andNepalese people. Such persons may become members aftercompleting a Membership Application, obtaining the approvalof the Executive Committee (as defined in Article IV), andpaying the dues as determined by the Executive Committee.The categories of membership are as follows:(i). Family: only the adults (18 years or older) mayhold office or may vote.(ii). Single(iii). Student

2. HONORARY MEMBERSHIP:The honorary membership shall be given by the ExecutiveCommittee to persons or organizations who have madesubstantial contribution towards the aim and objective ofthe Association. Honorary members need not pay anymembership dues.3. RESIGNATION/TERMINATION:Any member may resign by giving notice in writing to theExecutive Committee. Membership dues already received bythe Association will not be refunded. Membership may alsobe terminated due to nonpayment of dues. Any person may berelieved of his/her membership, if there is substantiveevidence that such person is acting against the aim andobjective of the Association.
 ARTICLE IV: EXECUTIVE COMMITTEE
 The Executive Committee shall consist of the following officers:A. PresidentB. Vice-PresidentC. General SecretaryD. TreasurerE. Information SecretaryF. Two Members-at-largeThese Officers shall be elected at the Election Meeting, held onalternate Annual Meetings, of the Association. All Officersshall serve without compensation. Election shall be held everytwo years. No Officers shall serve more than two consecutiveterms in the same position.
 ARTICLE V: DUTIES OF OFFICERS
 A. President:The president shall preside at all business meetings of theAssociation and shall have general leadership of theAssociation. The President shall perform such duties andhave such powers as the Executive Committee may delegate himor her.B. Vice President:In the absence of the President, the Vice-president shallperform the duties of the President.

 C. General Secretary:The General Secretary shall keep the minutes of all thebusiness meetings of the Association. The General Secretaryshall be responsible for notifying all members of generalmeetings of the Association and notifying Executive Membersof the Executive Committee meetings. The General Secretary,in cooperation with the Treasurer, shall maintain an up-to-date roster of the membership of the Association.D. Treasurer:The Treasurer shall be the custodial of all funds of theAssociation. The Treasurer shall receive all the funds andshall pay all the bill upon authorization by the ExecutiveCommittee. The Treasurer will maintain a bank account inthe name of the Association. The Treasurer shall maintainup-to-date roster of the membership of the Association.E. Information Secretary:The Information Secretary shall collect and disseminaterelevant information of its general membership.F. Members-At-Large:Duties of Members-At-Large will be as such given by theExecutive Committee.
 ARTICLE VI: DUTIES OF THE EXECUTIVE COMMITTEE
 1. The Executive Committee shall exercise general supervisionof the business of the Association. A majority of theCommittee shall constitute a quorum and a majority of thosepresent shall decide issues.2. The Executive Committee shall have the authority to formstanding and ad hoc committees, define the duties of thesecommittees, and appoint members to these committees.3. The Executive Committee shall appoint members to fillvacancies occurring in the Executive Committee.
 ARTICLE VII: MEETINGS
