ACKGROUND
1.1 It is proposed that subject to and in accordance with Part VII of the FSMA each Customer Relationship shall by the Order transfer from Bank of Scotland to Lloyds TSB on and witheffect from the relevant Customer Effective Date or on and with effect from the FinalTransfer Date in accordance with the terms of this Scheme.1.2 The Customer Relationships comprise the entire business of Bank of Scotland in respectof Customers.1.3 As at 22 March 2011, the entire issued ordinary share capital of Bank of Scotland islegally and beneficially owned by HBOS plc and the entire issued ordinary share capital of HBOS plc is legally and beneficially owned by Lloyds TSB.2.

NTERPRETATION
 
The definitions and principles of interpretation set out in Schedule 1 shall apply in thisScheme.
