We are going to get into that later, but a lot has been written that is not true. Ithink that what we are going to do now is examine the various allegations. Lets start atthe beginning, really the beginning of Absolute Poker and the management team. You arehere, what’s your background?
 Paul L
 – Well my background is mainly in technology. Prior to coming onboard withTokwiro, I was working for a publicly traded company out of Ontario, ParlayEntertainment. Susan
– At the end of the day, online poker is really about technology, isn’t it? I mean yesyou got to play the game, but the whole system depends on people understanding thetechnology.
 Paul L
- That’s correct. From the games to the marketing everything is very based intechnology.

 Paul L
– Absolutley
Question #5
Susan
– So, How’d you meet Joe Norton?
 Pau Ll
– I met Joe Norton through some colleagues in the industry, we both work in thegaming industry, so friends of ours put us in touch. He was looking for some people tohelp him with the merging of these two businesses that he had acquired in October 2006.I come on board lat August of 2007 and I started helping him with projects and initiativeslike the merging of the two brands onto one software platform, how to improve customer service, some online marketing initiatives, and things of that nature.
Question #6

Susan
– Part of the problem and part the talk, the chatter, has been about the corporateorigins of both Absolute Poker and UltimateBet. How did they all get started and how didthey all end up under one roof?
 Paul L
– Like you said, I haven’t been around for very long. But since October 2006Tokwiro acquired both of these businesses, and amalgamated them under one ownershipstructure. Since then they have been operated as one company.
Question #7
Susan –
You know, often people sell companies but they retain some ownership; theyretain shares, any of the original owners of these sites, are they at all connected with thesites today?
 Paul L
– No original owners are involved in Tokwiro, or the management, or ownership. The companies were bought in October 2006, like we said, and at the same time therewere promissory notes to pay off for the purchase of the companies. That’s the onlyinvolvement. Again, there is nobody that is from the previous ownership that are inanyway involved with Tokwiro at this time.
Question #8
Susan
– Who owns Tokwiro?
 Paul L
– Tokwiro is owned by, solely owned by Joe Norton
Question #9
Susan
 – So Tokwiro wasn’t involved at all in the initial formation or start-up of AbsolutePoker or UltimateBet? It bought these businesses in 2006. Why? Why did Joe Norton buythese businesses?
 Paul L
– I think mainly because he saw an opportunity. It was a time in the industrywhere a lot of people, where there’s a lot of uncertainty and Joe saw an opportunity toacquire these two great businesses, and essentially get a very good deal, and launch intoor completely remove himself from public life and move into private business.
Question #10
Susan
– What did he (Joe Norton) know about the online gaming industry?
 Paul L
– Well Joe Norton was the Chief of the Mohawk Council of Kahnawake and whilehe was Chief, they established the government regulation of online gambling. There wasalso a major hosting facility (MIT) that was started on the Kahnawake Reservation.Through those business dealings he became very familiar with the industry, and that ishow he got into it.
Question #11
Susan
– When did Joe Norton setup Tokwiro Enterprises?
 Paul L
– The company was established in April 2007. The companies Absolute Poker andUltimateBet were both purchased in October 2006, but the companies & assets were heldin trust for Tokwiro until he had time to setup the finances and the corporate entity inApril 2007.
Question #12

Susan
– So there’s some concern that you know, you play online poker in cyberspace, that the company doesn’t have any physical assets. What assets does the company have?
 Paul L
– The company has a lot of assets Susan. Its got assets in The Brands, TheServers, The Software Code. Its got physical offices in both Costa Rica and Montreal, onthe Kahnawake Reservation just outside Montreal. There’s a ton of assets, the companyemploys over 500 people, It’s a very large company.
Question #13
Susan
– You’ve already referred to this Constitutional Right of The First Nations toengage in gaming. I think that was given, or clarified in the Constitution Act of 1982 inCanada. Joe Norton is the former Grand Chief of Kahnawake is clearly going tounderstand that he and his people are allowed to do gaming on their reserves, which iswhat Kahnawake is, is that right?
 Paul L
– Yes, That’s correct.
Question #14
Susan
 – I guess the question would be if it is legal, in Canada at least, for this gaming togo on, Why do you need operations in Costa Rica?
 Paul L
- That’s a very good question. Costa Rica is kind of one of the assets, or the officesin Costa Rica are one of the assets Tokwiro acquired when it took over UltimateBet andAbsolute Poker. Essentially Costa Rica is a great country. They’ve got labor that is veryreasonable. Its got a great pool of young people that are coming through University, thatspeak English, it’s a great place to run a business for specifically call centers related togaming because of the history of the industry there.
Question #15
Susan
– How much of the presence and activity in Costa Rica is because of the U.S. Anti-gaming legislation?
 Paul L
– None of it. It’s been there, gaming has been there long before the U.S.legislation came into play.
Question #16
Susan
– Infact, what impact has this law had on Absolute Poker and UltimateBet?
 Paul L
– It’s had many effects both positive and negative. Some of the sites really saw adip because of problems with or a decrease in revenue because of the problems with e-commerce and things of that nature. We’ve also seen opportunities and been able to pick up marketshare as other competitors left the market. So there’s definitely both been positive and negative.
Question #17
Susan
– What are your views about the U.S. Law?
 Paul L
– I guess my views are that from a regulation standpoint, I’m much more in favor over what’s going on in the U.K. and their approach to the regulation of online gaming, the taxation of online gaming. I think its only done good things for social programs and benefitted countries and we haven’t seen any of the negative effects in any of the studiesthat came out in the U.K. related to problem gaming or anything like that, so I definitely
