EXECUTIVEORDERNO.292INSTITUTINGTHE"ADMINISTRATIVECODEOF1987"July25,1987WHEREAS,theAdministrativeCodecurrentlyinforcewasfirstforgedin1917whentherelationshipbetweenthepeopleandthegovernmentwasdefinedbythecolonialorderthenprevailing;WHEREAS,effortstoachieveanintegrativeandover‐allrecodificationofitsprovisionsresultedintheAdministrativeCodeof1978which,however,wasneverpublishedandlaterexpresslyrepealed;WHEREAS,theeffectivenessoftheGovernmentwillbeenhancedbyanewAdministrativeCodewhichincorporatesinaunifieddocumentthemajorstructural,functionalandproceduralprinciplesandrulesofgovernance;andWHEREAS,anewAdministrativeCodewillbeofoptimumbenefittothepeopleandGovernmentofficersandemployeesasitembodieschangesinadministrativestructuresandproceduresdesignedtoservethepeople;NOW,THEREFORE,I,CORAZONC.AQUINO,PresidentofthePhilippines,bythepowersvestedinmebytheConstitution,doherebypromulgatetheAdministrativeCodeof1987,asfollows:INTRODUCTORYPROVISIONSSec.1.Title.‐ThisActshallbeknownasthe"AdministrativeCodeof1987."Sec.2.GeneralTermsDefined.‐Unlessthespecificwordsofthetext,orthecontextasawhole,oraparticularstatute,shallrequireadifferentmeaning:(1)"GovernmentoftheRepublicofthePhilippines"referstothecorporategovernmentalentitythroughwhichthefunctionsofgovernmentareexercised
 
throughoutthePhilippines,including,saveasthecontraryappearsfromthecontext,thevariousarmsthroughwhichpoliticalauthorityismadeeffectiveinthePhilippines,whetherpertainingtotheautonomousregions,theprovincial,city,municipalorbarangaysubdivisionsorotherformsoflocalgovernment.(2)"NationalGovernment"referstotheentiremachineryofthecentralgovernment,asdistinguishedfromthedifferentformsoflocalgovernments.(3)"LocalGovernment"referstothepoliticalsubdivisionsestablishedbyorinaccordancewiththeConstitution.(4)"AgencyoftheGovernment"referstoanyofthevariousunitsoftheGovernment,includingadepartment,bureau,office,instrumentality,orgovernment‐ownedorcontrolledcorporations,oralocalgovernmentoradistinctunittherein.(5)"Nationalagency"referstoaunitoftheNationalGovernment.(6)"Localagency"referstoalocalgovernmentoradistinctunittherein.(7)"Department"referstoanexecutivedepartmentcreatedbylaw.ForpurposesofBookIV,thisshallincludeanyinstrumentality,ashereindefined,havingorassignedtherankofadepartment,regardlessofitsnameordesignation.(8)"Bureau"referstoanyprincipalsubdivisionorunitofanydepartment.ForpurposesofBookIV,thisshallincludeanyprincipalsubdivisionorunitofanyinstrumentalitygivenorassignedtherankofabureau,regardlessofactualnameordesignation,asinthecaseofdepartment‐wideregionaloffices.(9)"Office"refers,withintheframeworkofgovernmentalorganization,toanymajorfunctionalunitofadepartmentorbureauincludingregionaloffices.Itmayalsorefertoanypositionheldoroccupiedbyindividualpersons,whosefunctionsaredefinedbylaworregulation.
 
(10)"Instrumentality"referstoanyagencyoftheNationalGovernment,notintegratedwithinthedepartmentframeworkvestedwithinspecialfunctionsorjurisdictionbylaw,endowedwithsomeifnotallcorporatepowers,administeringspecialfunds,andenjoyingoperationalautonomy,usuallythroughacharter.Thistermincludesregulatoryagencies,charteredinstitutionsandgovernment‐ownedorcontrolledcorporations.(11)"Regulatoryagency"referstoanyagencyexpresslyvestedwithjurisdictiontoregulate,administeroradjudicatemattersaffectingsubstantialrightsandinterestsofprivatepersons,theprincipalpowersofwhichareexercisedbyacollectivebody,suchasacommission,boardorcouncil.(12)"Charteredinstitution"referstoanyagencyorganizedoroperatingunderaspecialcharter,andvestedbylawwithfunctionsrelatingtospecificconstitutionalpoliciesorobjectives.ThistermincludesthestateuniversitiesandcollegesandthemonetaryauthorityoftheState.(13)"Government‐ownedorcontrolledcorporation"referstoanyagencyorganizedasastockornon‐stockcorporation,vestedwithfunctionsrelatingtopublicneedswhethergovernmentalorproprietaryinnature,andownedbytheGovernmentdirectlyorthroughitsinstrumentalitieseitherwholly,or,whereapplicableasinthecaseofstockcorporations,totheextentofatleastfifty‐one(51)percentofitscapitalstock:Provided,Thatgovernment‐ownedorcontrolledcorporationsmaybefurthercategorizedbytheDepartmentoftheBudget,theCivilServiceCommission,andtheCommissiononAuditforpurposesoftheexerciseanddischargeoftheirrespectivepowers,functionsandresponsibilitieswithrespecttosuchcorporations.(14)"Officer"asdistinguishedfrom"clerk"or"employee",referstoapersonwhoseduties,notbeingofaclericalormanualnature,involvestheexerciseofdiscretionintheperformanceofthefunctionsofthegovernment.Whenusedwithreferencetoapersonhavingauthoritytodoaparticularactorperformaparticularfunctionintheexerciseofgovernmentalpower,"officer"includesanygovernmentemployee,agentorbodyhavingauthoritytodotheactorexercisethatfunction.
