ARTICLE ПCONVENTIONSLegislative Powers.§ 6. The Legislative Powers of this Association shall be vested in a Convention of representatives of the members composedof delegates from Branches, elected and approved as hereinafterset forth, and the Supreme Officers of the Supreme Assemblyspecified in Section 25.Authority and Jurisdiction of the Cooventk»§ 23. The Convention shall have the following authority andjurisdiction:

Subject to applicable statutory requirements RegularConventions shall be held as often as once in every four calendar years in the month of May at time and place designated bythe Supreme Assembly at an annual meeUng. due notice ofwhich shall be given to the Branches at least four months beforethe date fixed.A majority of the duly elected and qualified delegates attending the Convention shall constitute a qiramm for the transactionof business, but a lesser number may adjourn from session toSpecial Conventions may be called as hereinafter prescribedupon sixty days notice to the Branches.SPECL\L CONVENTIONHow Called.§ 30 The Supreme President shall issue a call for specialConvention stating therein the time, place and purpose of holding the same, upon demand of two-thirds of all Branches, orupon the call of the Supreme Auditing Comiiuttee if in its opinion by unanimous vote the financial well-being or stability ofthe Association is thrcaterted. or upon three-fourths vote majority of all the members of the Supreme Assembly.At least twenty days must elapse between the mailing of thecall and tiie date of the Convention.5 31. Special Convention shall consist of members of theSupreme Assembly and the delegates to the precedingConvention. The seats of delegates vacant for any reason, maybe filled by election of delegates in the manner in which theelection to the preceding Convention was carried out by waiving the sixty (60) day provision contained in Section 11Number of Delecates and Voting Powers.§ 8. А Branch having less than 75 members, for the purpose ofrepresentation at the Convention, may unite with anotherBranch also having less than 75 members and if, when combined, the aggregate membership of the two Branches shall beno less than 75, they shall have the right to elect one delegate.Unless otherwise agreed

Qualifications.
§ 10 A member shall be eligible for election and entitled to aseat as a delegate to any Convention if he is of Ukrainiannationality or descent, has been a member m good standing ofthe Ukrainian National Association for a period of not less thanone year, and of the Branch which he is to represent to whichthe member pays dues to the Fraternal Fund for a peruxJ of notless than si.n months, next preceding the first da> of theConvention to which he is elected, is over eighteen (I8l >ears otage.and possesses all the quaiilicaiions of an officer ot JBranch, and who shall have manifested active panicipation morganizational and promotional work lor the UNA.•\ny perst>n who at the time of the election or at the time olhis seating as such delegate is an officer of any other fraternalbenefit organization or association or any branch

orwho solicits or sells life insurance for any insurance company,or who at any time, unjustifiably or maliciously instituted orcaused to be instituted any suit, action or priveedint; against theUkrainian .National Association either on his own bchall or onbehalf of any other member, shall be ineligible§ 11. No Supreme Officer shall be eligible to serve as a delegate of any Branch, hut he shall have the right to debate andvote on all matters at the CtmventionElections and Reports.§ 12 When the Supreme Executive Committee shall issue acall for a regular Convention, each Branch shall within sixtydays from the date of call, at a regular meeting, elect the delegates and alternates to which said Branch may be entitled asherein provided Nominations shall be received from the Псюгand all candidates presented to the membership for a vote Thecandidate or candidates receiving the highest number of votesshall be elected delegates. Any Branch failing to comply herewithshall waive and forfeit its right to representation and vote at theConvention unless excused by the Supreme ExecutiveCommittee in wnting tor proper and sufficient causeIn the event that a delegate fail.s or is unable to attend aConvention, an alternate shall be seated in his place, and remainseated for the balance of the Convention. If a Branch has morethan one delegate the seats of the absent delegates shall be occupied by alternates in the order of the highest number of votesreceived in the election.Delegates elected, qualified and approved shall serve not onlyat the next regular Convention but also at any specialConvention which may be held following the regularConvention and until their successors are elected and qualify.
Credentials of Delegates, Approval.
§ 13
Although
duly qualified and elected by the Branch, noperson shall be seated as a delegate or aliemaie unless the credentials of such delegate are first duly approved by the SupremeExecutive Committee.
A branch having less than 75 members, for the purpose

The duties of dus Committee shall be to examine booksof record, to audit books and account, to inspect real and personal properties of the Association as often as it shall deem itnecessary, and not less than once a year; to approve and holdthe bonds of die Supreme Officers; to investigate all petitionsand complaints filed by the members against the SupremeOfficers, and to ascertain whether mandates of the pastConvention have been implemented, to publish in the organ ofthe Association the results of its investigations and make fullreport of its investigation and findings at the annual session ofthe Supreme Assembly and at die Conventions.The Supreme Auditing Commince shall prepare and presentto die Convention a motion granting a vote of confidence to theSupreme Executive Committee. It shall also propose a list ofHonorary Member candidates for (he approval of theConvention.The chairman of the Supreme Auditing Committee, or amember of this Comnuttce designated by the chairman, maytake part in die meeting of the Supreme Executive Committee inan advisory capacity.Board of Advisors.S 43. They shall take part in all Conventions, in all regularand special sessions of the Supreme Assembly; and makereports in writing at the annual Supreme Assembly meeting andat the Convention of the activities in dieir districts and territories; to execute all assignments given them by the SupremeExecutive Committee and to counsel and advise them on allmatters of the Association; and to actively promote die bestinterests of dieir respective areas.
