Alabama

§ 8-12-11. Assignment of mark and registration; fee; recordation and


issuance of new certificate; effect of failure to record.

Any mark and its registration under this article shall be assignable with
the good will of the business in which the mark is used, or with that
part of the good will of the business connected with the use of and
symbolized by the mark. Assignment shall be by instruments in writing
duly executed and may be recorded with the Secretary of State upon the
payment of a fee of $30, payable to the Secretary of State, who, upon
recording of the assignment, shall issue in the name of the assignee a
new certificate for the remainder of the term of the registration or of
the last renewal thereof.

Alaska

§ 45.50.120. Assignment

(a) A mark and its registration are assignable with the goodwill of the
business in which the mark is used, or with that part of the goodwill of
the business connected with the use of and symbolized by the mark.

(b) An assignment shall be in writing and may be filed with the


commissioner upon the payment of a fee of $25 to the department. The
commissioner shall file the assignment and shall issue in the name of the
assignee a new certificate for the remainder of the term of the
registration.

Arizona

§ 44-1446. Assignment of mark and registration

Any mark and its registration under the provisions of this article shall
be assignable with the goodwill of the business in which the mark is used
or with that part of the goodwill of the business connected with the use
of and symbolized by the mark. Assignment shall be by instruments in
writing duly executed and may be recorded with the secretary of state who
upon recording of the assignment shall issue in the name of the assignee
a new certificate for the remainder of the term of the registration or of
the last reregistration thereof.

Arkansas

§ 4-71-207. Assignments, changes of name and other instruments

(a)(1) Any mark and its registration under this subchapter shall be
assignable with the goodwill of the business in which the mark is used,
or with that part of the goodwill of the business connected with the use
of and symbolized by the mark.

(2) Assignment shall be by instruments in writing duly executed and shall


be recorded with the Secretary of State upon the payment of the recording
fee payable to the Secretary of State, who, upon recording of the
assignment, shall issue in the name of the assignee a new certificate for
the remainder of the term of the registration or of the last renewal
thereof.

California

§ 14220. Assignment; change of name; recording of instruments related to


registered marks or pending applications

(a) Any mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instrument in writing duly executed and
may be recorded with the secretary upon the payment of the recording fee
payable to the secretary as set forth in subdivision (b) of Section 12193
of the Government Code, who, upon recording of the assignment, shall
issue in the name of the assignee a new certificate for the remainder of
the term of the registration or of the last renewal thereof.

Connecticut

§ 35-11f. Assignment of mark and registration. Change of name. Recording


of other instruments

(a) Any mark and its registration under this chapter shall be assignable
with the good will of the business in which the mark is used, or with
that part of the good will of the business connected with the use of and
symbolized by the mark. Assignment shall be by instruments in writing
duly executed and may be recorded with the Secretary of the State upon
the payment of a recording fee of twenty-five dollars, for each
registration in the assignment document, payable to the Secretary of the
State, who, upon recording of the assignment, shall issue in the name of
the assignee a new certificate for the remainder of the term of the
registration or of the last renewal thereof.

Delaware

§ 3307. Assignment

Any mark and its registration hereunder shall be assignable, with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed,
and may be recorded with the Secretary of State upon the payment of a fee
of $25, payable to the Secretary of State who, upon recording of the
assignment, shall issue in the name of the assignee a new certificate for
the remainder of the term of the registration, or of the last renewal
thereof.

Florida

495.081. Assignments; changes of name; security interests


(1) A registered mark or a mark for which an application for registration
has been filed shall be assignable with the goodwill of the business in
which the mark is used or with that part of the goodwill of the business
connected with the use of and symbolized by the mark. Assignments shall
be by an instrument in writing duly executed and may be recorded with the
department upon the payment of the applicable fee.

Georgia

§ 10-1-446. Assignment of trademark or service mark and its registration;


recording

Any trademark or service mark and its registration under this part shall
be assignable with the good will of the business in which the trademark
or service mark is used or with that part of the good will of the
business connected with the use of and symbolized by the trademark or
service mark. Assignment shall be by instruments in writing duly executed
and may be recorded with the Secretary of State upon the payment of a fee
of $15.00, payable to the Secretary of State, who, upon recording of the
assignment, shall issue in the name of the assignee a new certificate for
the remainder of the term of the registration or of the last renewal
thereof.

Hawai’i

[§ 482-26]. Assignment; change of name

(a) The registration of a mark shall be assignable with the goodwill of


the business in which the mark is used, or with that part of the goodwill
of the business connected with the use of and symbolized by the mark. An
assignment shall be executed in writing and may be recorded by filing an
application with the director and paying an appropriate recording fee.
Upon recording of the assignment, the director shall issue a new
certificate for the remainder of the term of the registration or of the
last renewal thereof in the name of the new assignee.

Idaho

§ 48-507. Assignments, amendments, changes of name and other instruments

(1) Any mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be filed with the secretary of state on a form provided by the
secretary of state, upon the payment of the fee provided in section 48-
517, Idaho Code, payable to the secretary of state who, upon filing of
the assignment, shall issue in the name of the assignee a new certificate
for the remainder of the term of the registration or of the last renewal
thereof.

Indiana
Sec. 8. (a) A mark and the registration of a mark under this chapter are
assignable with the:

(1) good will of the business in which the mark is used; or

(2) part of the good will of the business:

(A) connected with the use of the mark; and

(B) symbolized by the mark.

(b) An assignment:

(1) must be made by an instrument in writing duly executed; and

(2) may be recorded with the secretary upon the payment of a recording
fee.

Kansas

81-208. Assignments; changes of name; other instruments

(a) Any mark and registration as provided in this act shall be


assignable with the good will of the business in which the mark is used,
or with that part of the good will of the business connected with the use
of and symbolized by the mark. Assignment shall be by instruments in
writing duly executed and may be recorded with the secretary upon the
payment of the recording fee payable to the secretary who, upon recording
of the assignment, shall issue in the name of the assignee a new
certificate for the remainder of the term of the registration or of the
last renewal of the registration.

Kentucky

365.583 Assignments, changes of name, and other instruments

(1) Any mark and its registration or application pursuant to KRS 365.561
to 365.613 shall be assignable with the goodwill of the business in which
the mark is used, or with that part of the goodwill of the business
connected with the use of and symbolized by the mark. An assignment shall
be in writing, duly executed, and may be recorded with the Secretary upon
the payment to the Secretary of a recording fee of five dollars ($5). The
Secretary shall issue in the name of the assignee of a registration a new
certificate for the remainder of the term of the registration or renewal
period.

Louisiana

§ 217. Assignment

A. Any trademark, trade name, or service mark, and its registration


hereunder shall be assignable with the good will of the business in which
the mark is used, or with that part of the good will of the business
connected with the use of and symbolized by the trademark, trade name, or
service mark.

B. Assignment shall be by instruments in writing duly executed and may be


recorded with the secretary of state upon the payment of a fee as
provided in R.S. 49:222, payable to the secretary of state, who, upon
recording of the assignment, shall issue in the name of the assignee a
new certificate.

Maine

§ 1525. Assignment

1. Recording. Any mark and its registration are assignable with the good
will of the business in which the mark is used or with that part of the
good will of the business connected with the use of and symbolized by the
mark. Assignment must be by an instrument in writing duly executed and
may be recorded with the Secretary of State upon the payment of a fee of
$40 payable to the Treasurer of State. The Secretary of State, upon
recording of an assignment, shall issue an attested copy in the name of
the assignee. The assignment is valid for the remainder of the term of
the registration or of the last renewal.

Massachusetts

§ 7. Assignment of marks and registration; recording

(a) A mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be recorded with the secretary upon the payment of the recording fee
payable to the secretary who, upon recording of the assignment, shall
issue in the name of the assignee a new certificate for the remainder of
the term of the registration or of the last renewal thereof.

Michigan

429.36. Assignments of marks, registration, and goodwill; form;


recordation; fee; new certificate

Sec. 6. Any mark and its registration shall be assignable with the
goodwill of the business in which the mark is used, or with that part of
the goodwill of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be recorded with the administrator upon the payment of a fee of
$15.00, payable to the state, who, upon recording of the assignment,
shall issue in the name of the assignee a new certificate for the
remainder of the term of the registration or of the last renewal thereof.

Mississippi

§ 75-25-13. Assignment
(1) Any mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be recorded with the secretary upon the payment of the filing fee,
payable to the secretary, who, upon recording of the assignment, shall
issue in the name of the assignee a new certificate for the remainder of
the term of the registration or of the last renewal thereof.

Missouri

417.031. Assignment of mark--change of name--acknowledgement and record


as prima facie evidence of execution

1. Any mark and its registration hereunder shall be assignable with the
goodwill of the business in which the mark is used, or with that part of
the goodwill of the business connected with the use of and symbolized by
the mark. Assignment shall be in writing upon transmittal forms
authorized or furnished by the secretary of state and may be recorded
with the secretary of state upon the payment of a fee of fifty dollars
payable to the director of revenue who, upon recording of the assignment,
shall issue in the name of the assignee a new certificate for the
remainder of the term of the registration or of the last renewal thereof.

Nebraska

87-134. Registration; assignment; change of name; other recordings

(1) Any mark and its registration under the Trademark Registration Act is
assignable with the good will of the business in which the mark is used
or with that part of the good will of the business connected with the use
of and symbolized by the mark. Assignment shall be by instruments in
writing duly executed and may be recorded with the secretary upon the
payment of the recording fee payable to the secretary who, upon recording
of the assignment, shall issue in the name of the assignee a new
certificate for the remainder of the term of the registration or of the
last renewal thereof.

New Hampshire

350-A:6 Assignment.

Any mark and its registration hereunder shall be assignable with the good
will of the business in which the mark is used, or with that part of the
good will of the business connected with the use of and symbolized by the
mark. Assignment shall be by instruments in writing duly executed and may
be recorded with the secretary of state upon the payment of a fee of $10,
payable to the secretary of state who, upon recording of the assignment,
shall issue in the name of the assignee a new certificate for the
remainder of the term of the registration or of the last renewal thereof.

New Jersey

56:3-13.6. Assignment, other instruments.


a. Any mark and its registration or application for registration shall be
assignable with the good will of the business in which the mark is used,
or with that part of the good will of the business connected with the use
of and symbolized by the mark. Assignment shall be by instruments in
writing duly executed and shall be recorded with the Secretary of State
upon the payment of the recording fee payable to the Secretary of State.

New York

§ 360-f. Assignments, changes of name and other instruments

(a) Any mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be recorded with the secretary upon the payment of the recording fee
payable to the secretary who, upon recording of the assignment, shall
issue in the name of the assignee a new certificate for the remainder of
the term of the registration or of the last renewal thereof.

North Carolina

§ 80-6. Assignment

(a) Any mark and its registration hereunder shall be assignable with the
goodwill of the business in which the mark is used, or with that part of
the goodwill of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be recorded with the Secretary upon the payment of a fee of twenty-
five dollars ($25.00), payable to the Secretary who, upon recording of
the assignment, shall issue in the name of the assignee a new certificate
for the remainder of the term of the registration or of the last renewal
thereof.

Ohio

1329.60 Assignment and recording of rights

Any trademark or service mark and its registration shall be assignable


with the good will of the business in which the trademark or service mark
is used, or with that part of the good will of the business connected
with the use of and symbolized by the trademark or service mark.
Assignment shall be by instruments in writing duly executed and may be
recorded with the secretary of state upon the payment of the fee
specified in division (U)(2) of section 111.16 of the Revised Code,
payable to the secretary of state, who, after recording the assignment,
shall issue in the name of the assignee a new certificate for the
remainder of the term of the registration or of the last renewal thereof.

Oklahoma

§ 26. Assignment
Any trademark and its registration shall be assignable with the good will
of the business in which the trademark is used, or with that part of the
good will of the business connected with the use of and symbolized by the
trademark. Assignment shall be by instruments in writing duly executed
and may be recorded with the Secretary of State upon the payment of a fee
of Twenty-five Dollars ($25.00), payable to the Secretary of State who,
upon recording of the assignment, shall issue in the name of the assignee
a new certificate for the remainder of the term of the registration or of
the last renewal thereof.

Oregon

647.065. Procedure for assignment of mark

Any mark and its registration under this chapter shall be assignable with
the goodwill of the business in which the mark is used, or with that part
of the goodwill of the business connected with the use of and symbolized
by the mark. Assignment shall be by instruments in writing and signed and
may be submitted for filing to the Office of the Secretary of State. The
Secretary of State, upon filing the assignment, shall notify the assignee
of the filing of the assignment.

Pennsylvania

§ 1115. Assignment

(a) General rule.--Any mark and its registration under this chapter shall
be assignable with the goodwill of the business in which the mark is used
or with that part of the goodwill of the business connected with the use
of and symbolized by the mark. Assignment shall be by instrument in
writing, duly executed, and may be recorded with the department. A
registrant may record an assignment to itself to reflect of record a
change in the name of the registrant.

Rhode Island

§ 6-2-6. Assignment

Any mark and its registration under this chapter shall be assignable with
the good will of the business in which the mark is used, or with that
part of the good will of the business connected with the use of and
symbolized by the mark. Assignment shall be by instruments in writing
duly executed, and may be recorded with the secretary of state upon the
payment of a fee of twenty dollars ($20.00) payable to the secretary of
state, who, upon recording of the assignment, shall issue in the name of
the assignee a new certificate for the remainder of the term of the
registration or of its last renewal.

South Carolina

§ 39-15-1135. Assignment of mark and registration; certificate of change


of name; recording.
(A) A mark and its registration under this article is assignable with the
good will of the business in which the mark is used or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment is by instruments in writing properly executed and
may be recorded with the secretary upon the payment of the recording fee
payable to the secretary who upon recording of the assignment shall issue
in the name of the assignee a new certificate for the remainder of the
term of the registration or of the last renewal of the registration.

South Dakota

37-6-17. Assignment of mark and registration with good will--Recording


and new certificate--Fee--Validity of assignment against subsequent
purchaser

A mark and its registration under § 37-6-13 is assignable with the good
will of the business in which the mark is used, or with that part of the
good will of the business connected with the use of and symbolized by the
mark. Assignment shall be by instruments in writing duly executed and may
be recorded with the secretary of state upon the payment of a fee of one
hundred dollars payable to the secretary of state. Upon recording of the
assignment, the secretary of state shall issue in the name of the
assignee a new certificate for the remainder of the term of the
registration or of the last renewal thereof.

Tennessee

§ 47-25-507. Assignments, changes of name and other instruments

(a) Any mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be recorded with the secretary upon the payment of the recording fee
payable to the secretary who, upon recording of the assignment, shall
issue in the name of the assignee a new certificate for the remainder of
the term of the registration or of the last renewal thereof.

Virginia

§ 59.1-92.8. Assignments and changes of name

A. Any mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be filed with the Commission upon the payment of a fee. The
Commission shall issue in the name of the assignee a new certificate for
the remainder of the term of the registration or of the last renewal
thereof.

Washington
19.77.060. Assignment of trademark, registration, or application--Fee--
Rules

Any trademark and its registration or application for registration


hereunder shall be assignable with the good will of the business in which
the trademark is used, or with that part of the good will of the business
connected with the use of and symbolized by the trademark. An assignment
by an instrument in writing duly executed and acknowledged, or the
designation of a legal representative, successor, or agent for service
shall be recorded by the secretary of state on request when accompanied
by a fee, as set by rule by the secretary of state, payable to the
secretary of state. On request, upon recording of the assignment and
payment of a further fee of five dollars, the secretary of state shall
issue in the name of the assignee a new certificate for the remainder of
the unexpired original or renewal term of the registration.

West Virginia

§ 47-2-7. Assignments, changes of name and other instruments

(a) Any mark and its registration hereunder shall be assignable with the
good will of the business in which the mark is used, or with that part of
the good will of the business connected with the use of and symbolized by
the mark. Assignment shall be by instruments in writing duly executed and
may be recorded with the secretary upon the payment of the recording fee
payable to the secretary who, upon recording of the assignment, shall
issue in the name of the assignee a new certificate for the remainder of
the term of the registration or of the last renewal thereof.

Wyoming

§ 40-1-106. Assignment of marks and registration; change of name

(a) Any mark and its registration under this act shall be assignable with
the goodwill of the business in which the mark is used, or with that part
of the goodwill of the business connected with the use of and symbolized
by the mark. Assignment shall be by instruments in writing duly executed
and may be recorded with the secretary upon the payment of a fee set in
accordance with W.S. 40- 1-116, but not to exceed seventy-five dollars
($75.00) and payable to the secretary. Upon recording of the assignment,
the secretary shall issue in the name of the assignee a new certificate
for the remainder of the term of the registration or of the last renewal
thereof.
