lntroduction

Overview of Economic Development lncentives


The State of Mississippi is open for business, and the Mississippi Development Authority (MDA) consistently works with prospective and existing companies to address their specific site location and expansion needs. ln today's global economy, incentives are necessary - indeed, vital - to successful economic development. Mississippi, like all other states in the United States, offers business incentives to help facilitate growth. To that end, MDA is entrusted with overseeing taxpayer dollars and ensuring that grants, loans, tax exemptions, rebates, and abatements are all wisely awarded to qualifying industries and produce a return for the state.

ln addition to financial incentives, MDA works to meet businesses' needs by making introductions to other companies, assisting with permitting issues, coordinating workforce training, and helping to identify available site locations in the state. This assistance is mutually beneficial for both corporate citizens and the state and requires limited taxpayer resources to stimulate investment and job creation. Financial incentives help Mississippi compete for economic development projects. Nonetheless, offering state incentives does not make a potential economic development project a good project for the state. lnstead, incentives are
offered to make a promising project a reality. When planning to locate a new enterprise, it is common practice for business prospects to work with multiple states. Each state has its own extensive incentive programs to entice investment to its respective state. Thus, competitive incentives are a necessary component of Mississippi's economic development and growth strategies and are critical to maintaining the state's position as a strong contender for high quality job creation.

As projects are identified and opportunities are created, the MDA team begins by promoting the value of a Mississippi
location, sharing information about the state's competitive wages, pro-business climate, plentiful energy resources, and strong transportation network with prospects. As the process moves foruvard, the specific needs of each particular project are determined. A clear understanding of the company's business model, financial status, and key decision drivers all help shape Mississippi's incentive package. ln addition, a strong commitment by the local community also helps define the level of commitment made by the State. The volatile state of the global economy has significantly affected competitive drivers in economic development. Many businesses are now evaluating where to maintain and grow their operations. With high unemployment rates and limited economic growth, states and communities throughout the Southeast are competing with countries around the world for new jobs and investment. To be successful in winning projects, MDA must understand companies' workforce training needs and physical site requirements, while also providing information about the operational cost benefits of a Mississippi location, including the state's business tax structure, competitive energy and labor costs, and transportation
offerings.

ln order to effectively compete for economic development projects in this global market, a strong, diverse array of incentives are needed. lncentives usually are provided in the form of infrastructure assistance, workforce training, and tax reductions, but they may also include assisting with business relocation costs.
This document is intended to provide a summary of MDA programs used to encourage economic and community development. Each project is different, and many factors are considered while developing an incentive package. ln all
cases, MDA strives to meet businesses' needs as economically as possible. As a point of reference, a significant range in the value of incentives provided per job created or dollar invested will be evident. This variance is to be expected and is appropriate due to the diverse needs of companies and the extent to which infrastructure and workforce development offerings vary throughout the state.

As illustrated in the reporting tables and program results, incentive offerings are producing a positive return for
Mississippi.

Summary of lncentives Report Gontents


A number of programs have been legislated to encourage economic development in the state. lncentive programs include grants and loans to local governments for infrastructure and other community development improvements,
capital programs, incentives paid directly to businesses, tax reductions and exemptions, and training resources. These programs are administered by several different agencies within the State.

This report provides summaries of key programs that MDA utilizes in recruitment, information on the ten primary loan and grant programs most used by the agency and the four incentives that MDA administers for rebates or tax
abatements. lnformation provided by the Department of Revenue is included for clarity.

Types of lncentives
State Tax Credits and Exemptions
A number of credits to state income tax exist, as well as exemptions from franchise and sales/use tax. These incentives are maintained by the Department of Revenue (DOR), and since these incentives are taken on the businesses' tax returns, the actual cost of these incentives is not available on a project by project basis. The DOR prepares a summary of the total use of several of these credits, but that information is not yet available for FY 2012. The table below summarizes these programs.

hundred percent (200%) of the averaoe annual state waoe. An income tax credit is available for a five (5) year period equal to $1,000 per year for any position requiring research or development skills.

Clean energy business enterprises with a minimum capital investment of fifty million dollars ($50,000,000) and the creation of two hundred fifty (250) new, fulltime jobs. The clean energy business enterprise must manufacture or assemble systems or components used in the generation of clean enerov. Businesses which manufacture or assemble products for use in the aerospace industry or that provide research and development or training services to the aerospace industry. The business must invest a minimum of thirty million dollars ($30,000,000) and create at least one hundred (100) new, fulltime jobs in Mississiooi. Entertainment facility shall include a theater, amphitheater, golf course, automobile racetrack, museum, zoo, arena, stadium, or similar venue.

ACE Fund (557-1-161

The Mississippi ACE Fund is designed for making grants to economic development entities ("Local Sponsors") to assist in funding extraordinary economic development opportunities to promote economic growth in the State of Mississippi. This program is typically used as a "deal closing fund", and is often used when there is significant competition with other states for projects. Typical uses for these funds are the relocation of equipment, specialized training, and leasehold or building improvements. Local sponsors are encouraged to use these grants in connection with other state and federal programs. The State Legislature enacted the ACE Fund during the 2000 Second
Extraordinary Session.

Mississippi lndustry Incentive Financing Revolving Fund ($57-1-221) The lndustry lncentive Financing Revolving Fund was established in FY2010 to provide a fund that MDA could use to
incentivize projects that create significant opportunities within the state without having to create special legislation each

time a new project was identified. This program allows grants or loans to be awarded to companies or local governments in order to meet the specific needs of the project. The use of the funds is negotiated with the company by MDA, and the revolving nature of the program will hopefully eliminate the need to continually bond for projects. The table below shows all projects for which awards have been made, along with the gross bonding authority, actual
spending to date, number of jobs committed, and investment committed.

The Major Economic lmpact Act was created by the Legislature to provide specific incentives for large projects. This special legislation has typically been introduced by the Governor and has been tailored to meet the needs of each entity. Since FY2008, there have been five projects for which special legislation was passed. Project Summaries
The Biodefense Project was a federal project that considered a site in Madison County. ln order to remain on the list of potential sites, the state was required to commit funds to necessary infrastructure and project costs. Unfortunately, this project was located in another state. No bonds were ever issued.
Cooper Tire Company is one of the largest manufacturers in Northeast Mississippi. When the company determined that it would close one of its four manufacturing facilities, Mississippi was forced to compete with three other states in order to maintain this facility that employed 1,200. This legislation was passed to make necessary improvements at the facility in order to maintain these valuable jobs.

ATK is an aerospace company that currently has operations in Tishomingo County. ln 2009, ATK had an opportunity to expand its workforce to 800 and to invest $175,000,000 in the Tishomingo facility. Once the bonds were issued, a change in corporate plans moved the manufacturing operations for the project to one of their other facilities outside the state. ATK repaid allfunds received from the state and continues to employ 105 people in Mississippi. Schulz Xtruded Products is a German company that chose Tunica County as the site for its first U.S. manufacturing operation. This pipe manufacturer received a loan of $15,050,000 through Tunica County for the construction of the manufacturing facility, as well as a $20,000,000 loan guarantee for certain manufacturing equipment. Schulz has
begun commercial production and has until 2016 to reach its jobs commitment. Currently, Schulz has 128 employees.

Twin Creeks is a solar panel manufacturer that announced in 2010 it would be locating operations in Tate County. Twin Creeks committed to an investment of $132,000,000 and 500 jobs by 2015. The $50,000,000 loan was separated into two tranches, and the first $25,000,000 in bonds have been issued with funds being used to construct a facility that is owned by the City of Senatobia and to purchase equipment for the facility. Due to market conditions, the company is no longer active. At this time, MDA is working with the company to determine recourse and obtain repayment. With each of these projects, MDA has memorandums of understanding signed by all parties, which contain claw-back provisions for failure to meet jobs and investment thresholds. MDA monitors these projects throughout the agreement period until all obligations are met. Additionally, the state maintains a sole first lien on all assets for which funds are
loaned.

lncentives awarded in the previous section all resulted in foregone revenue. Other incentives, such as grants and loans, require an appropriation of funds, a federal allocation, or the authority to issue bonds in order to fund the programs. That is the case for most grants and loans provided through MDA. This section addresses each of these programs and provides detailed information on the usage of these funds for the past five years. The table below shows
the total grants and loans awarded by year, followed by summaries by program.

Loan funds are to be used to finance long-term fixed assets. An existing industry that accepts a loan under this program cannot reduce employment by more lhan 2oo/o through the use of the long{erm fixed assets for which the loan is granted. MDA conducts a financial analysis of the business or industry requesting the loan. Guarantees are required on all persons or entities wilh 20oh or greater interest in the company.

The Mississippi Tourism Rebate Program allows a portion of the sales tax paid by visitors to the eligible tourism-oriented enterprise project to be paid to the applicant to reimburse eligible costs incurred during the construction of the project. An applicant may receive 80% of the actual sales tax revenue collected from businesses, up to 30% of the approved project costs funded from private sources or for a rebate term of ten (10) years, whichever threshold occurs first.

This rebate is paid by MDA semiannually, based on information provided by the Department of Revenue. Funds are diverted from the actual sales tax collections each month into a rebate account for this specific purpose.

Motion Picture Rebate Program


The Mississippi Motion Picture Incentive Program provides a cash rebate on eligible expenditures and payroll and provides sales and use tax reductions on eligible rentals/purchases. This program is available for nationally distributed motion pictures, television programs, DVDs, documentaries, short films, and commercials, including animation and production utilizing new technology. National distribution includes theatrical, broadcast, festival screening, streaming video, and lnternet delivery. There is a $50,000 minimum Mississippi investment (local spend) per project. There is an $8 million per project rebate cap. There is a $20 million annual rebate cap, as well. There is no minimum requirement for production days or percentage of production spends.

A production is eligible for a 25o/o rebate of its base investment (local spend) in Mississippi. The base investment is determined by production expenditures in Mississippi. A production is eligible for a 3oo/o cash rebate on payroll that is paid to resident cast and crew members whose wages are subject to Mississippi lncome Tax Withholding, and for that
portion of their salary for the project up to and including $1 million.

A production is eligible for a 25o/o cash rebate on payroll paid to non-resident cast and crew members whose wages are subject to Mississippi lncome Tax Withholding, and for that portion of their salary for the project up to and including $1 million. For purposes of this program, payroll means salary, wages, or other compensation including related benefits paid to employees upon which Mississippi income tax is due and has been withheld.

Other Grant and Loan Programs


ln addition to the ten programs listed above, MDA administers an Airport and Port Loan Program, an Agribusiness Loan Program, an Energy Loan Program, a Sweet Potato Loan Guaranty Program, and an Existing lndustry and Forest Products Loan Program. MDA also works with eligible entities that make loans through the Minority and Small Business Loan Programs. Each of these programs are revolving in nature and have no real need for additional capacity at this time.

Tax Rebate and lnvestment Credit Programs


While tax incentives result in foregone revenue, there are a number of programs administered by MDA that require

direct payment back to the incentive recipient or

reduction in current tax collections due to credits issued for

investment. The following programs are funded through reductions in current tax revenue.

Advantage Jobs Rebate Program


The Advantage Jobs lncentive Program is a rebate program designed to encourage businesses that create 25 new quality jobs to locate in the state. Jobs must meet or exceed the average annual wage of the state or the county in which the company locates, whichever is lower. The Advantage Jobs lncentive Program provides for a rebate of 90% of Mississippi payroll taxes withheld to qualified employers for a period of up to 10 years. This incentive is available to businesses that promise significant expansion of the economy through the creation of jobs. This rebate is paid for a
period of ten years.

Community Development Block Grant Program

fhe Community Development Block Grant (CDBG) Economic Development Program is a grant program available to fund publicly owned infrastructure from funds provided through the U.S. Department of Housing and Urban Development. Funding from this program can be used by municipalities and counties to assist with the location,
expansion, or retention of businesses. Job creation is the goal of the program. CDBG requires that at least 51% of the jobs created must be made available to persons of low and moderate income as determined by the U.S. Department of Housing and Urban Development. Typical industries eligible under this program include: manufacturers, warehouses and distribution centers, research and development facilities, telecommunications and data processing facilities, and national or regional headquarters.

Missrssippi I nvestment Tax Credits P rogram

A credit to Mississippi income or insurance premium tax is available for eligible investments made by Community Development Entities (CDEs) in designated low income census tracts in the state, as defined by the U.S. Census
Bureau. These credits are state credits that act as companion credits to the Federal New Markets Tax Credits (NMTC) Program. Mississippi allows a state credit equal lo 24% of the Qualified Equity lnvestment (QEl) in addition to the credits awarded through the federal program. Equity lnvestment Credits are calculated as 8% of the QEI and are available as of the state credit allowance date, and annually for two additional years.

New Markets Tax Credit program credits have generated $7.50 of private investment for each tax credit dollar awarded. Credits are based on a Mississippi investment being maintained for a minimum of seven years, as required under the federal program. The maximum investment eligible for credits on any project cannot exceed $10,000,000. The total Mississippi Equity lnvestment Credits that can be awarded is capped at $15,000,000 per year.

Conclusion
lncentives are an essential component of any successful economic development strategy for Mississippi. Competing states, including Alabama, Florida, and Louisiana, vie for business investment in their respective states with robust incentive programs and are actively strengthening their incentive offerings.
For most economic development projects, companies' needs can be met from an operational perspective at locations in multiple states. To differentiate Mississippi and encourage companies to select a site within the state, attractive incentives are vital. These incentives are usually in the form of infrastructure assistance, workforce training, and tax reductions, but they may also include assistance for business relocation costs.

As shown in the 2012 lncentives Report, Mississippi's incentives are producing positive returns on investment for the state by facilitating job creation and capital investment. Mississippi's General Fund, as well as county and municipality
tax rolls, are benefitting from the effective use of incentives.
MDA considers its fiduciary role in overseeing the judicious use of taxpayer dollars to be of the utmost importance, and the agency works diligently to ensure the economic incentive programs under its direction are administered effectively.

Today's global economy mandates that local communities and states cultivate fertile ground for businesses seeking locations for their operations. Fully funded incentive programs are vital for Mississippi to adequately compete.
MDA is firmly committed to adhering to the highest standards as it works to recruit new investment to the state and help Mississippi's existing businesses grow and prosper, while upholding the integrity of its core mission to create jobs and economic opportunities for Mississippians.
