Company("BlueCross")filesthispetitionseekingdeclaratoryandinjunctivereliefregardingtheunconstitutionalexecutiveactionthreatenedand/ortakenbyMississippiGovernorPhilBryant.
BlueCrossseeksatemporaryrestrainingorderandapreliminaryinjunctionenjoiningtheenforcement
of
theunprecedentedandunconstitutionalexecutiveactionatissuewhichthreatens
toforceBlueCross,aprivateparty,toenterintocontractswithotherprivateparties.Further,BlueCrossseeksdeclaratoryandpermanentinjunctivereliefonceitsclaimsarefullyadjudicated.Insupport
of
itspetition,BlueCrossstatesthefollowing:
INTRODUCTION
MississippiGovernorPhilBryanthasmandatedthatBlueCross,aprivateparty,enterintocontractswithtenHMA-ownedhospitals,otherprivateparties.TheGovernorpurportedly
hastakenthisunprecedentedactiontoprotectBlueCrosssubscribers'accesstohealthcare.Thisexecutiveactionisflawedandimproperonnumerouslevels.

ContrarytotheGovernor'sand
HMA's
assertions,thedisputebetweenBlueCrossand
HMAisacontractualdisagreementbetweenprivatepartiesanddoesnotpreventany
Mississippianfromhavingaccesstohealthcare.BlueCrosscannotpreventanyBlueCross
subscriberfromwalkingintoany
HMA
hospital,oranyotherhospitalintheState,toreceive
healthcare.Further,MississippiInsuranceCommissionerMikeChaneyhastestifiedthatthe
exclusion
of
thetenHMA-ownedhospitalsfromBlueCross'providerNetworkwillnotdeny
BlueCrosssubscribersaccesstohealthcare.Rather,thedisputebetweenBlueCrossandHMA
centersontheexorbitantpricesthatHMAchargesMississippiansforhealthcareprovidedat
HMA's
hospitals.HMAhospitalschargetheirpatientssignificantlymorethanotherlocal-area
networkhospitalschai'getheirpatients—insomecasesmorethandoublethecharges.
BlueCrossofferedtoreimburseHMAhospitalsinthesamemannerthatitreimburses
virtuallyeveryotherhospitalinMississippiformedicalservicesprovidedtoMississippians.HMArejectedBlueCross'offerandhassuedBlueCrossinanactionpresentlypendingin
RankinCountyCircuitCourtseekingtoobtainreimbursementforHMAhospitalsatarate
severalmultipleshigherthantheratethatBlueCrossreimbursesvirtuallyeveryotherhospitalinMississippi.HMA'smotiveis
clear—^to
maximizeprofitsinordertofacilitatethependingsale
of
itshospitalsinMississippitoCommunityHealthSystems,afor-profithospitalorganization
basedinFranklin,Tennessee.WhenBlueCrossexerciseditsrighttoterminateitscontractswith
theHMAhospitals,andafterrejectingBlueCross'offertoreinstatefourHMAhospitals,HMA,
itsattorney,anditslobbyistsconvincedtheGovernortoattempttorequireBlueCrosstoreturnallten
of
the
HMA
hospitalstoNetworkstatus.
TheGovernor'sattempttoactunderthecolor
of
Stateauthoritytodictatethebusiness
practices
of
privatepartiesisanunprecedentedactthatdisregardsmultiplefundamentalrights

protectedbyboththeUnitedStatesConstitutionandtheMississippiConstitution.TheGovernor
hasnoconstitutionalorstatutoryauthoritytoeithercompelprivatepartiestoenterintoa
contract,ortomandatetheterms
of
suchacontract,includingprice.Thus,BlueCross
respectfullyrequeststhattheCourtenjointheGovernorfromtakinganyactiontoforceBlueCrosstoenterintocontractswithtenHMA-ownedhospitalsandtodeclareanysuchaction
unconstitutional.
