DEFENDANTCOLSON'SAMENDEDCOUNTERCLAIMCOMESNOWDefendantandCounterclaimant,ANNCOLSON("Colson"),andcounterclaimsagainstPlaintiffandCounterclaimDefendant,GaryWhiting("Whiting"),asfollows:1.ColsonincorporatestheallegationsanddenialsoftheforegoingAnswerintothisAmendedCounterclaim.2.ThecausesofactionsassertedhereinariseoutofthesametransactionoroccurrenceallegedinPlaintiffsAmendedComplaint.Assuch,venueandjurisdictionareproper.3.ShortlyafterColsonandherhusband,NickColson(''Nick''),marriedin1997,theymetWhitingwhileattendingchurch.4.Colson,NickandWhitingbecamegoodfriends,asdidtheirfamilies.5.Colson,NickandWhitingthereafterengagedinvariousbusinessendeavorstogether.6.Inapproximately2000,ColsonbeganworkingasanassistantorsecretarytoWhitinginseveralbusinessesinwhichWhitinghadownershipandwhichWhitingwasmanaging.7.Duringthistime,Whitingheldhimselfoutasatrustworthy,dependablefriendwithColson'sbestinterestinmind.8.Giventhepartiesmanyyearsofchurchandbusinessrelationshipaswellastheirclosefriendship,WhitinghadmadehimselfintoapersonoftrustforColsonandherchildren.9.Beginninginlate2005,whileColsonwasexperiencingsomemaritalproblemsaswellasproblemsbetweenherchildrenandNick,WhitingtoldColsonthatsaidproblemswereevidencethatNickdidnotloveColsonandencouragedColsontomoveout.10.WhitingalsotoldColsonthathefeltColsonwastobecomeaspousetoWhiting,eventhoughWhitingwasmarried,andencouragedColsontoleaveNick.

11.InapproximatelyMay2006,partlyduetoWhiting'surgings,ColsonmovedoutofthehomewheresheandNickwerelivingandentereda"rent-to-own"contractonahomelocatedat5407EastCatalinaAvenue,MesaArizona,78251(the"CatalinaHome")andbeganmakingrent/mortgagepaymentsonthehome.12.WhitingcontinuedtoinsistColsonenterintothespousalarrangementwithhimandencouragedhertodivorceNick.13.WhitingrepresentedthatifColsonagreedtosaidspousalarrangement,hewouldpurchasetheCatalinaHomeforColson,Colsoncouldlivethereforaslongasshewanted,WhitingwouldprovideColsonwithmonthlysupportandmaintenancepaymentsofatleast$3,000.00,andColsonwouldnotwork.14.WhitingrepresentedthatifatanytimeafterenteringtheforegoingarrangementColsondecidedtooptoutofthearrangement,shecouldkeeptheCatalinaHomeandhewouldpayhera$100,000.00severancepayment.15.Duringthistime,Whitingassistedinmakingrental/mortgagepaymentsonbehalfofWhitingontheCatalinaHome.16.InSeptember2006,duetoWhiting'sinsistenceandinrelianceonhisrepresentations,ColsonagreedtoWhiting'sproposal,exceptthatsheinsistedshewouldcontinuetoworkasWhiting'ssecretaryratherthanquitherjob,towhichWhitingassented.17.Atthetime,Colsonwasmaking$3,000.00permonthsworkingforWhiting'sbusinesses.18.ColsonpaidthelegalexpensesforColson'sdivorcefromNick,whichwasfinalizedinSeptember2006,andWhitingbeganmakingarrangementstopurchasetheCatalinaHomeforColson.
