ARTICLES OF INCORPORATIONCOLLEGE PARK SCHOLARS ALUMNI ASSOCIATION, INC.
Article I.
Incorporators
The undersigned James P. Howard, II whose address is 8784 Cloudleap Ct., Apt.14, Columbia, Maryland 21045, being at least eighteen years of age, does herebyform a corporation under the laws of the State of Maryland.Article II.
Name
The name of the corporation is College Park Scholars Alumni Association, Inc.Article III.
Purpose
The corporation is formed exclusively for educational purposes including, for suchpurposes, to promote the general welfare of College Park Scholars; to advocate forpublic and private support for College Park Scholars; to provide educational,charitable, or cultural activities for the benefit of the alumni; and the making of distributions to organizations that qualify as exempt organizations under Section501(c)(3) of the Internal Revenue Code, or the corresponding section of any futureFederal tax code.Article IV.
Capital Stock
The corporation is not authorized to issue capital stock.Article V.
Principal Office
The street address of the Principal Office of the corporation in Maryland is 1125Cumberland Hall, College Park, Maryland 20742.Article VI.
Resident Agent
The Resident Agent of the corporation in Maryland is James P. Howard, II whoseaddress is 8784 Cloudleap Ct., Apt. 14, Columbia, Maryland 21045.Article VII.
Initial Directors
The number of directors of the corporation shall be three which may be increasedor decreased pursuant to the bylaws of the corporation. The names of thedirectors who shall act until the first meeting or until their successors are dulychosen and qualified are Kevin S. Baxter, Kiran L. Nandwani, and James P.Howard, II.
