To promote and develop Rangiora as an attractive and thriving community offering adesirable lifestyle for business, residents and visitors ( probably need to defineRangiora, is this including southbrook, perhaps there should be a definitions paget define meaning)C OBJECTIVESITo work with other community organisations and the Waimakarin DistrictCouncil to improve facilities for residents and visitors2To improve the design and appearance of a*fgiora in a co-ordinated andplanned manner3To increase patronage of local business by recognising the needs ofcustomers and promoting strategies that will encourage residents to support thebusiness community4To present and promote the heritage and unique features of the area5To attract new businesses and ventures to the community6To conduct special events which promote the area to locals and visitorsTo promote and develop the growth and development of businesses within RangioraD POWERS"Our Town Rangiora" shall have the following powersTo use its funds as the Management Board thinks necessary or proper in payment ofits costs and expenses, including the employment and dismissal of counsel,solicitors, agents, officers and staff, according to principles of good employmentand the Employment Contracts Act 1991 or any subsequent enactments2To purchase, take on lease or in exchange or hire or otherwise, acquire anyreal or personal property and any rights or privileges which the Management Boardthinks necessary or proper for the purpose of attaining the objects of "Our TownRangiora" and to sell, exchange, let, bail or lease, with or without option ofpurchase or, in any other manner, dispose of such property, rights or privilegesLJ3To invest surplus funds in any permitted by law for the investment of trustfunds and upon such terms as the Management Board thinks fit4To borrow or raise money from time to time by the issue of debentures,bonds, mortgages or any other security founded on all or any of the propertyand/or rights of "Our Town Rangiora" or without any such security and upon suchterms as to priority or otherwise as "Our Town Rangiora" thinks fit, as decided bythe members present at a General Meeting5To do all things as may from time to time appear necessary or desirable tothe Management Board to give effect to and attain the objects of "Our TownRangiora"6 To edit, publish, print and distribute magazines, posters, newspapers, books,pamphlets and any other literature whatsoever, as determined by "Our TownRangiora"7To apply for any licence, licences, or permits as may be deemed necessary ordesirable by "Our Town Rangiora"8To open and operate any account with any savings or trading Bank or anyother financial institution as "Our Town Rangiora" may from time to time deem fit9To erect, build, establish, manage, organise, maintain, repair, demolish,reconstruct and rebuild any property or building that may be considered necessaryto provide, endow, furnish and fit out such place with all necessary furniture,
 
instruments and other equipment10To accept donations, collections, contributions, legacies, devises, gifts,grants, subsidies or other monies from properties and to expend or use them in thefurtherance of the objectives of "Our Town Rangiora" and to accept the custody,control and management of any real or personal property which may be bequeathed ordonated to "Our Town Rangiora" and to carry out any trusts attached to any suchgifts or bequestsiiTo institute, initiate, take and defend, compromise or abandon any legalproceedings involving the property or affairs of "Our Town Rangiora"E. MEMBERSHIP1Any person who agrees with the objects may become a member of "Our TownRangiora" by completion of a membership form and provided that the membership hasbeen approved by the Management Board or a majority of the members present at aGeneral Meeting and2A register of members shall be maintained by the Secretary in accordancewith the provisions of the Incorporated Societies Act3Certain bodies and organisations as may be decided by the Management Boardfrom0time to time shall have the right to nominate an employee or member of thatorganisation as a member of "Our Town Rangiora" to represent them with the provisothat conditions I, and 2, are met4Any person may resign membership by giving written notice to the SecretaryThe Secretary shall maintain a written record of any resignation5A General Meeting may require members to pay an annual subscription of suchamount as may be decided by it6Upon non-payment of the annual subscription within six months of the duedate for payment for such subscription a person will cease to be a member of "OurTown Rangiora"7Expulsion of members(a)Any person may make a complaint to the Management Board that the conduct ofa member is or has been injurious to the character of "Our Town Rangiora" Everysuch complaint shall be in writing and addressed to the Secretary(b)If the Management Board considers that there as sufficient substance in thecomplaint, it may invite the member to attend a meeting of the Management Boardand to offer a written and/or oral explanation of the member's conduct(c)The Management Board shall give the member at least fourteen (14) dayswritten notice of the meeting The notice shall(t)sufficiently inform the member of the complaint so that the member can offeran explanation of the member's conduct, and(ii)inform the member that if it is not satisfied with the member's explanationthe Management Board may expel the member from "Our Town Rangiora"(d)If an the meeting the Management Board decides to expel the member from "OurTown Rangiora" the member shall cease to be a member of "Our Town Rangiora"(e) A member expelled by "Our Town Rangiora" may within fourteen (14) days givewritten notice of appeal to the Secretary The Secretary shall then call a SpecialGeneral Meeting to take place within twenty-eight days (28) days of receipt of thenotice of appeal If that meeting passes a resolution rescinding the expulsion, themember shall be reinstated immediately(f)If at the Special General Meeting, having heard all the evidence available,the meeting passes a resolution upholding the expulsion, then the member~l 0shall have no further rights of appealNo member of person associated with a member of "Our Town Rangiora"-shall deriveany income, benefit or advantage from "Our Town Rangiora except where that income,benefit or advantage is derived from(a)Professional services to the organisation rendered in the course of businessat no greater a rate than current market rates or
 
(b)Interest on money lent at no greater rate than the current market ratesF GENERAL MEETINGSIIn this Constitution the term "General Meeting" includes both an AnnualGeneral Meeting and a Special General Meeting2The quorum for a General Meeting shalt be fifteen (15) members present inperson3Fourteen (14) days written notification of each General Meeting shall begiven to members at the current address for such members recorded in the registerof members It shall be the responsibility of members to keep the Secretaryinformed of their contact details The fourteen days shall commence from the dateof posting4Notification of the General Meeting shall specify the time, date and placeof the meeting Notification shall also describe in a general way all the mattersthat will arise to be considered and specify what further and more detailedinformation on these matters is available from "Our Town Rangiora" Fullinformation will be provided concerning any proposed amendments to theConstitution Such information shall be supplied to any member requesting it5A member may be represented at a General Meeting by a nominee duly appointedby notification in writing to the Secretary and received by the Secretary beforethe notified time of the meeting A member shall have the right at any time tochange, withdraw or revoke the appointment of the member's nominee by noticethereof in writing to the Secretary6All questions shall if possible be decided by consensus However, where aconsensus decision cannot be reached the decision shall, unless otherwisespecified herein, be made by a majority vote of financial members present andqualified to vote7Voting shall be a show of hands unless a member or members indicate analternativepreference8If voting is tied the motion shall be lost9The meeting shall be chaired by the current Convenor of the ManagementBoard, orthe Convenor's nomineeG ANNUAL GENERAL MEETINGSThe Annual General Meeting shall be held not more than three months after the endof the previous financial year at a time and place to be fixed by the ManagementBoard The Secretary will notify members in writing not less than fourteen (14)days prior to the meeting The fourteen days shall commence from the date ofpostingThe Annual General Meeting shall carry out the following business(a)Receive the minutes of the previous Annual General Meeting and of any otherGeneral Meeting held since the last Annual General Meeting(b)Receive the Management Board's report on the activities of "Our TownRangiora" over the last year and the priorities and directions for "Our TownRangiora" in the forthcoming year(c)Receive the balance sheet and statement of income and expenditure for thepast year and the estimate of income and expenditure for the current year(d)Elect the Convenor, Treasurer, Secretary and up to eight other members ofthe Management Board of "Our Town Rangiora"(e)Appoint an Auditor(f)Any other resolution a copy of which must have been submitted in writing atleast seven days prior to the date of the meeting(g)Conduct any other business which may properly be brought before the meetingH SPECIAL GENERAL MEETINGA Special General Meeting may be called at any time on a majority decision of theManagement Board or on the requisition of not less than 10 financial members of"Our Town Rangiora" in writing stating the purpose for which the Special General
