LEASE DEED

Agreement of Tenancy executed on 04th day of December 2009 between Mr.


P.Sundar of Messers. Sundar Garments, aged 23, S/O Mr. S. Pichimuthu,
residing at 102/36, Kangayam Main Road, Near Amarjothi Garden, Tirupur
- 641 604 ( here in after called Party No. 1 ) and Messers. Gokaldas Images
(P ) Ltd., No. 7 & 12, Industrial Suburb, 2 nd stage, Yeshwanthpur, Tumkur
Road, Bangalore -560 022. Tirupur ( here in after called Party No. 2 )

Whereas the landlord is the owner of the Building situated in No. 102/36,
Kangayam Main Road, Near Amarjothi Garden, Tirupur - 641 604 ( Tirupur
District ) and more specifically described in the schedule here under and has
agreed to let part of ground floor building property to Party No.2 with effect
from 04.12.2009. This agreement of lease is drafted and signed
incorporating the terms and conditions of the tenancy.

The Party No. 1 has agreed to let part of ground floor building property to
Party No. 2 and Party No. 2 has agreed to take the above mentioned property
on lease.

The date of commencement of the tenancy is from 04.12.2009 and the
duration of this agreement is for 12 months from the said date.

The Party No. 2 shall pay a sum of Rs. 75,000/- ( Seventy five thousands
only) as advance which is repayable by Party No. 1 at the expiry of the
tenancy and no interest is payable on the same.

The Party No. 2 hereby agreed with and covenants with Party No. 2 as
follows:

1. To pay the rent regularly as stipulated during the terms of tenancy.

2. To keep the premises in good and tenantable repair and maintain the
house with all fittings and fixture clean tidy and periodical with
washing etc.
3. To use the said building only for the purpose of business of the
tenant and shall not use the same for any unlawful purpose.

4. Not to sublet the property to any other person and shall not alter,
change or reconstruct the building without the prior consent of Party
No. 1.

5. To pay the electricity charges as per their separate metre provided.

6. To engage, pay wages, salary, bonus and other benefits for the
workers employed and obtain necessary licenses from the concerned
authorities in connection on worth the business of the Party No. 1.

7. The Party No. 2 shall pay a sum of Rs. 7,500/- ( Seven thousand five
hundred only ) as monthly rent for the first year and their after an
amount of Rs. 500/- ( Five hundred only ) on the existing rent if the
Party No. 2 wish to continue after one year, towards the amenities
described hereunder on or before 10th of the every calendar month.

8. To vacate and handover possession without any delay or damage, to


the said building immediately on the expiry of this agreement or on
the termination of this agreement.

9. The Party No. 1 has agreed to provide the following: To pay the
property Tax and other municipal rates and taxes to the said building.
To provide common water connection, electricity connections to the
building with usual wiring and fittings, pipes etc.,

The Party No. 1 shall have the right to enter, inspect the building
whenever he desires with the permission of Party No. 2.

The Party No. 1 has the right to recover all the arrears of rent any other
damages for breach of agreement and to adjust the same in the advance
amount.

This tenancy agreement can be terminated by Party No. 1 on the failure


of Party No. 2. to adhere to any of the conditions stipulated in this
agreement or mutually by both the parties on mutual consent and
agreement.

This agreement can be extended or renewed at the mutual consent of both


the parties for a period on the fresh terms and conditions as agreed to at
the time.

In agreement of the above, we have affixed our signature below;
