ARTICLES OF INCORPORATION

OF
RIVER CONSERVATION CORPORATION
ARTICLE I
NAME
The name of this corporation is
RIVER CONSERVATION CORPORATION

ARTICLE II
PURPOSE
The purpose of this corporation is to reduction of pollution load into the river of Nepal. It will be
done by building solid plan with the participation of local people. The corporation do river front
development, sewage treatment, low cost sanitation, and other activity related to process of river
conservation. It is organized under the Nonprofit Public Benefit Corporation Law for specific
purposes.
ARTICLE III
DURATION
This Corporation is organized under the Nepal companies act and shall have perpetual existence

ARTICLE IV
CAPITAL STOCK
Section 1: authorized share: The total number of shares which this corporation is authorized to
issue is 100,000,00 shares of Common Stock of Rs 1000 par value and 10,000,000 shares of
Preferred Stock of Rs 1000 par value.
Section 2. Voting Rights of Stockholders. Each holder of the Common Stock shall be entitled to
one vote for each share of stock standing in his name on the books of the corporation.
Section 3. Consideration for Shares. The Common Stock shall be issued and shall be fixed from
time to time by the Board of Directors.
ARTICLE V
DIRECTORS
The number of directors of the corporation will be three and may be changed from time to time
amending by the bylaws. The names and addresses of the person who are appointed to act as the
initial directors of this corporation are:

Suman Silwal Kathmandu, 34, Nepal


ARTICLE VI
LIMITED LIABILITY
The Board of Directors, officers, employees, and members, if any, of this corporation shall not
be personally liable for the payment of any debts or obligations of the corporation
ARTICLE VII
DISSOLUTION
The property of this Corporation is irrevocably dedicated to charitable purposes and no part of
the net income or assets of the corporation shall ever inure to the benefit of any director, trustee,
member or officer of this corporation, or to any private person. Upon the dissolution any assets
remaining after payment of, or provision for payment of, all debts and liabilities shall be
distributed to a governmental body.
IN WITNESS WHEREOF, the undersigned, being the Incorporators and the initial directors
have executed these Articles of Incorporation.

The format of the ARTICLE OF INCORPORATION is differ from country to country. The
ARTICLE OF INCORPORATION of Nepal is different from ARTICLE OF
INCORPORATION of USA. However the ARTICLE OF INCORPORATION must include;
Name of incorporation, purpose of corporation, name of director and duration. According to the
Non profit primer: A guide Book for Land Trusts (1989) the minimum actual number of
Incorporators and the number of Directors depends on state's nonprofit incorporation
requirements that can be obtained from the Secretary of State or known to law offices or
published in nonprofit guidebooks. It is advisable to have at least three directors.
Also note that if the initial directors are named in the Articles of Incorporation, it is not necessary
to have incorporators. However, having both incorporators and initial directors may be advisable
if the nonprofit wishes to demonstrate broad community support. Any incorporators and all
named directors must sign the Articles of Incorporation.
