(A) First party is authorized under the CommunicationsAct 2003 to
operate telecommunications systems in theUSA.(B) First party is willing to provide, and the CallCentre wishes toreceive, various services on the terms and conditionscontained in this Agreement. The Call Centre wishes to resell the services, as principal,to its own customers.
1 Standard of Care
 The Call Centre shall1.1Perform the services for First party for theduration of the agreement, in a competentand professional manner, with reasonableskill andcare, and in accordance with good industry

standards1.2 Keep detailed records of all actions taken by itin the performance of the services
and shallmake such records available to First party forinspectionand/or provide such records.
2 Indemnities
 The Call Centre agrees to indemnify and keepindemnified First party from and against all costs, claims,demands, liabilities, expenses damages and lossesarising out of and in connection with the Call Centrenegligence, default or breach of these terms.
In this Agreement:
3.1.1 Unless the context otherwise requires:
the Act
"means the Communications Act 2003."
" means this document including anyschedule hereto, as thesame may by written agreement between the parties bevaried amendedor extended from time to time."
Business Day
” means any day (other than a Saturdayor a Sunday) on which
clearing banks are open in New York for a full range of commercial banking
Commencement Date
" means the date of thisAgreement.

“Confidential Information
means all informationwhich relates to the business,
affairs, products,developments, trade secrets, know-how, personnel,customers and
suppliers of each party (including, for theavoidance of any doubt, any information in
relation tothe First party) and which may be reasonably regarded
asthe confidential information of the disclosing party."
" means persons contracting with the CallCentre, or persons which have
contracted with suchdirect customers of the Call Centre, for services that aredependent upon a First party Service.
“Operational Day”
means 0000 to immediately before2400 Monday to Friday
excluding US Public and BankHolidays.
means a place at which First party agrees toprovide a service."
" means the telecommunications system whichFirst party
is authorized to run under the Act Referencesto clauses or schedules are references to clauses of orschedules to this Agreement and references toparagraphs are to paragraphs in the relevant schedule.3.1.2 References to persons will be construed so asto include any body corporate,
unincorporatedassociation, individual, firm, government, State oragency of the
State, local or municipal authority orgovernment body or any joint venture,
association orpartnership (whether or not having separate legalpersonality).3.1.3 Words used in the singular only shall includethe plural where appropriate and
vice versa.
