Contractor Work Agreement

This Agreement is made on this ___ day of _________, _______ between Electronic Crime
Scene Investigations, LLC and Gregory Masley.

Subject to the terms and conditions as set forth herein, Electronic Crime Scene Investigations,
LLC, retains Gregory Masley whom hereby accepts Electronic Crime Scene Investigations, LLC
's retention to perform services described herein.

Contractor obligations:
In return for the compensation noted under "Contractor Compensation," contractor voluntarily
agrees to perform services for Electronic Crime Scene Investigations, , LLC as described below:

Scope of services- As the Director of Sales and Marketing. duties to include, but not limited to,
coordination appointments, driving sales, making sales calls, responding to customer inquiries,
relationship building, follow ups, project managment and educating clients on the services and
products of Electronic Crime Scene Investigations, LLC. As well tracking billable hours and
reporting regularly with the management team. The Director of Sales and Marketing is not
expected to give quotes or fees to clients without the approval of management. Price negotiations
are handled internally and are only quoted upon approval.

Time frame in which the services are to take place- You may set your own hours. However, the
scope of a normal business days is M-F hours (0800 to 1800). Contractor is expected to meet
case deadlines.

Expectations for final outcome, product and report- The Director of Sales and Marketing is
expected to present themself, the product, and the company to clients in the most professional of
manners making sure to describe our services accurately and efficiently.

Penalties for incomplete work- failure to complete cases or goals assigned to you or created with
management will be reflected in commissions quarterly reviews. Continued failures may result in
possible suspension or termination.

Procedure for adding additional work or extending the contract- As the Director of Forensic
Investigations it is encouraged that you contribute to the growth of the company. If requested and
agreed upon. Additional duties may be assigned. At that point in time a new job description will
be given and signed by both the contractor and a company representative.

Contractor compensation
In full consideration of all services performed by contractor as described in this contract,
Electronic Crime Scene Investigations, LLC shall pay contractor an hourly rate of $25.00
During billable hours.

 Billable hours are defined as time spent on case. That are billed to the end client.
Including travel expenses and lodging.

 Cases are define as work related to the end client.

Contractor shall be exclusively responsible for the payment of all taxes incidental to the
compensation paid for services performed, including but not limited to federal and state
income, sales, or use taxation.

Independent contractor
Contractor's relationship to Electronic Crime Scene Investigations, LLC is one of independent
contractor. Nothing in the agreement shall create an employment or agency relationship, nor
shall contractor act as an agent or employee of Electronic Crime Scene Investigations, LLC
unless such representation is outlined in the scope of services.

Contractor's services are to be performed solely by contractor, or approved subcontractors, for


Electronic Crime Scene Investigations, LLC pursuant to the terms of this contract.

Standards of performance

Compliance with law

Contractor's performance of services under this agreement shall be in compliance with all
applicable laws or regulations of the federal, state, and local government.

Reputation and goodwill

Contractor shall not perform any contracted services in a manner which would be injurious to the
reputation and goodwill of Electronic Crime Scene Investigations, LLC.

Trade secrets & Non-disclosure

Contractor shall not in any manner disclose to any person, partnership, firm or corporation any
information concerning any matters affecting or relating to the business of Electronic Crime
Scene Investigations, LLC including, but not limited to, any trade secrets, production processes,
customers, pricing or marketing plans. This covenant shall remain in effect for the period of 1
year (12 months) following termination of this contract.

Electronic Crime Scene Investigations, LLC possesses certain ideas and information relating to
Computer Forensics, data recovery, network security and clientele. That is confidential and
proprietary to Electronic Crime Scene Investigations, LLC (hereinafter "Confidential
Information"); and WHEREAS the Contractor is willing to receive disclosure of the Confidential
Information pursuant to the terms of this Agreement for the purpose of retainment; NOW
THEREFORE, in consideration for the mutual undertakings of the Discloser and the Recipient
under this Agreement, the parties agree as follows:

1. Disclosure. Discloser agrees to disclose, and Receiver agrees to receive the Confidential
Information.

2. Confidentiality.

2.1 No Use.

Recipient agrees not to use the Confidential Information in any way, or to manufacture or test
any product embodying Confidential Information, except for the purpose set forth above.

2.2 No Disclosure.

Contractor agrees to use its best efforts to prevent and protect the Confidential Information, or
any part thereof, from disclosure to any person other than Contractors's employees having a need
for disclosure in connection with Contractor's authorized use of the Confidential Information.

2.3 Protection of Secrecy.

Recipient agrees to take all steps reasonably necessary to protect the secrecy of the Confidential
Information, and to prevent the Confidential Information from falling into the public domain or
into the possession of unauthorized persons.

3. Limits on Confidential Information.

Confidential Information shall not be deemed proprietary and the Contractor shall have no
obligation with respect to such information where the information: (a) was known to Recipient
prior to receiving any of the Confidential Information from Electronic Crime Scene
Investigations, LLC; (b) has become publicly known through no wrongful act of Contractor; (c)
was received by Contractor without breach of this Agreement from a third party without
restriction as to the use and disclosure of the information; (d) was independently developed by
Contractor without use of the Confidential Information; or (e) was ordered to be publicly
released by the requirement of a government agency.

4. Ownership of Confidential Information.

Contractor agrees that all Confidential Information shall remain the property of Electronic Crime
Scene Investigations, LLC, and that Electronic Crime Scene Investigations, LLC may use such
Confidential Information for any purpose without obligation to Contractor. Nothing contained
herein shall be construed as granting or implying any transfer of rights to Contractor in the
Confidential Information, or any patents or other intellectual property protecting or relating to
the Confidential Information.

5. Term and Termination.

The obligations of this Agreement shall be continuing until the Confidential Information
disclosed to Contractor is no longer confidential.

Survival of Rights and Obligations. This Agreement shall be binding upon, inure to the benefit
of, and be enforceable by (a) Electronic Crime Scene Investigations, LLC, its successors, and
assigns; and (b) Contractor, its successors and assigns

Non-compete

For good consideration and as an inducement for Electronic Crime Scene Investigations, LLC to
contract the undersigned hereby agrees not to directly or indirectly compete with the business
Electronic Crime Scene Investigations, LLC and its successors and assigns during the period of
this contract and for a period of 1 year following its termination and notwithstanding the cause or
reason for termination. The term "not compete" as used herein shall mean that the Contractor
shall not own, manage, operate, consult or to be employee in a business substantially similar to
or competitive with the present business of the Company or such other business activity in which
the Company may substantially engage during the term of employment. The Contractor
acknowledges that the Company shall or may in reliance of this agreement provide Contractor
access to trade secrets, customers and other confidential data and good will. Contractor agrees to
retain said information as confidential and not to use said information on his or her own behalf or
disclose same to any third party. This agreement shall be binding upon and inure to the benefit of
the parties, their successors, assigns, and personal representatives.

 It is know that on the date this agreement is entered into between Electronic Crime Scene
Investigations, LLC and Gregory Masley. That said contractor operates Masley and
Associates with offices at 8998 17375 Brookhurst #18 Fountain Valley, California 92708.
With existing clients and customer. This agreement in no way impacts the current standing or
future growth of this entity. It is understood that Masley and Associates will remain a separate
entity while contracted. Furthermore that in no way directly or indirectly is Contracted to solicit
its services to Electronic Crime Scene Investigations, LLC's current or future clients. While under
the terms of this agreement.

Waiver of liability

Electronic Crime Scene Investigations, LLC shall not be liable to contractor on account of any
personal injuries or property damage sustained by contractor in performance of services hereun.
Contractor shall indemnify and hold Electronic Crime Scene Investigations, LLC harmless from
all liability for personal injuries or property damage directly related to the performance of
contracted services.

Modification of contract

No waiver or modification of this contract or of any covenant, condition or limitation herein shall
be valid unless presented in writing and signed by both parties.

Severability

All covenants contained herein are severable, and in the event of any being held invalid by any
competent court, this contract shall remain intact except for the omission of the invalid covenant.

Choice of law

It is the intention of both parties that all suits that may be brought arising out of, or in connection
with this agreement will be construed in accordance with and under and pursuant to the laws of
the state of Colorado

Entire agreement

This contract contains the complete agreement concerning the services to be performed by the
contractor for Electronic Crime Scene Investigations, LLC and supersedes all prior agreements
or understandings, written or unwritten. By signing this contract, both parties acknowledge that
they have read this contract, understood its terms, including the release, have had an opportunity
to have legal counsel review this agreement, and have voluntarily accepted its provisions.
