Good corporate governance contributes to a company’s competitiveness and reputation,facilitates access to capital markets, and thus helps develop financial markets and spur econom-ic growth. With this in mind, the International Finance Corporation and the U.S. Departmentof Commerce have combined their efforts to provide Russian managers, directors, and share-holders with a practical tool to implement good corporate governance practices – the RussiaCorporate Governance Manual. This Manual refers to and is based on the principal laws andregulations that apply to open joint stock companies.
