MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF (Name of the Company)

1 Chairman of the Meeting

Mr. __________________ took the chair and welcomed the directors to the meeting and
conducted the proceedings after confirming the quorum.

2. Confirmation of Minutes of previous Board Meeting.

The Chairman placed on table the Minutes of the previous meeting of the Board of Directors
which were read and confirmed by the Board.

3. Approval of Balance Sheet and Profit and Loss Account- (Financial Year)

The Chairman placed before the Board a copy of the Balance Sheet of the Company as at
(Financial Year end) and Profit and Loss account for the year ended 31.03.20__. The Board
discussed the same at length and:

"RESOLVED THAT the Balance Sheet of the Company as at 31.03.20__ and the Profit and Loss
account for the period ended 31.03.20__ placed before the Board be and are hereby approved.”

“RESOLVED FURTHER that pursuant to the provisions contained in section 215 of the
Companies Act, 1956, Mr ________________, Managing Director and Mr.
___________________, Director, be and are hereby authorised to sign on behalf of the Board of
Directors of the Company and submit the same to the statutory auditors of the company for their
report thereon."

4. Convening of the General Meeting of the Shareholders of the Company.

The Chairman informed the Board that the Company has to convene the Annual General Meeting
of the Shareholders of the Company within six months from the date of closure of the accounting
year and in this connection he proposed to hold the Annual General Meeting on the (Date of AGM
for the abovementioned year end) at the Registered office of the company at (Time). and placed
the draft notice of the same before the Board. After a brief discussion, it was:

"RESOLVED THAT the Annual General Meeting of the Shareholders of the Company be
convened on the (Date of AGM for the abovementioned year end) at the Registered office of the
Company at (Time)., to transact business as set out in the draft notice placed before the Board
and initialed by the Chairman for the purpose of identification."

5. Appointment of Auditors

The Chairman informed the Board that a letter has been received from (Auditor’s Detail), retiring
auditors of the Company signifying their willingness to be re-appointed and also confirming that if
appointed their appointment would be within the limits laid down under Section 224(1)(B) of the
Companies Act, 1956.
6. Auditors Report – (Financial Year)

The report of the Auditors on the accounts of the Company for the year (Financial Year) received
from (Auditor’s Detail), was placed before the meeting and the Board took note of the same.

7. Directors Report

The Chairman placed before the Board a copy of the Report of the Board of Directors of the
Company and after a brief discussion it was:

"RESOLVED THAT the Report of the Directors of the Company, for the year (Financial Year)
as tabled at the meeting and initialed by the Chairman for the purpose of identification, be and is
hereby approved."

RESOLVED FURTHER THAT the said Report of the Directors be signed by Mr ____________,
Managing Director/Director and Mr.________________, Director, of the Company, on behalf of
the Board of Directors of the Company."

9. Next meeting of the Board of directors

Mr. __________________ was authorised to decide place and time of the next meeting.

There being no other business to be transacted the meeting terminated with a vote of thanks to
the Chairman
