Introduction:
The 360-acre proposed acquisition will consolidate lands into a contiguous unit containing
hiking trails, backpacking campsites and protect ecologically significant resources and scenic
vistas in the park.

Work Completed:
Acquired 360 acres within George Crosby Manitou State Park by June 30, 2008.

Public Access: This acquisition vvill provide the public access to an additional 360 acres on
the North Shore. The acquisition is a good addition to Crosby Manitou's unique opportunity
for primitive recreation in the MN State Park system1s one backpack only state park.

Coastal Habitat: The project will protect some of the states n10st significant old forest
communities. A report titled IINative Plant Communities and Rare Plants of George H.
Crosby Manitou State Park and Caribou Falls State Wayside'l Minnesota County Biological
Survey (MCBS) 2003 funded in part by a grant from Minnesota1s Lake Superior Coastal
Program ranks the old-growth sugar maple and white cedar-yellow birch forests in Sections
26 & 27 as likely the highest quality old-growth forest in the state of MilU1esota and one of
the largest contiguous pieces of old-growth. The rugged terrain in Sections 26 & 27 supports
a diverse mix of high quality sugar maple, aspen-birch, spruce fir communities as well as
wetlands including a graminoid poor (sedge) fen with several documented rare species.

Conclusions:

The DNR acquisition process can be lengthy, complex and completion can take up to a year.
Luckily, this acquisition was already through most of the internal process when the grant was
offered. There will be more opportunities to protect more lands within the CZM area for our
state park system. The timing can be a challenge, but the efforts I find worthwhile.

Dear Ms. Thews:

Thank you for the opportunity to review and comment on the above project. It has been reviewed
pursuant to the responsibilities given the State Historic Preservation Officer by the National
Historic Preservation Act of 1966 and the Procedures of the Advisory Council on Historic
Preservation (36CFR800), and to the responsibilities given the Minnesota Historical Society by the
Minnesota Historic Sites Act and the Minnesota Field Archaeology Act.

We believe that there is a good probability that unreported archaeological properties might be
present in the project area. Therefore, we recommend that a survey of the area be completed.
The survey must meet the requirements of the Secretary of the Interior's Standards for Iden-
tification and Evaluation, and should include an evaluation of National Register eligibility for any
properties that are identified.

If the project area can be documented as previously disturbed or previously surveyed, we will
re-evaluate the need for survey. Previously disturbed areas are those where the naturally
occurring post-glacial soils and sediments have been recently removed. Any previous survey
work must meet contemporary standards. .

The estimate of fair market value of the described property is based on an appraisal, which has
considered current comparable real estate sales and other indicators of value in the vicinity of
the property. I certify that the appraiser's conclusion as to value is as follows:

MARKET VALUE as of February 22, 2008 is -$396,000.00

The appraisal was completed in compliance with state law and, if applicable, the federal
relocation law. This appraisal cannot be used for tax reporting purposes for charitable
contributions as it was not prepared as required under federal law for such use.

1. OPTION PERIOD. This option shall remain in effect for a 'period 'of-Lmonths. This option may be exercised at any
time within this option period and shall be exercised upon posting a written Notice cif Election to Purchase to the above
Seller(s) at the above address(es). This .option and memorandum must be reviewed and approved by tl;r.e State as to its form
and execution. The State's review shall be completed within ,fifteen (15) business days of its receipt of the fully executed
option and memorandum. Upon approval, the effective date .of the option shall be the last date it was signed by Seller(s) and
said date shall constitute the commencement of the opticn period. The State shall pay the Sellers a tctal sum of $500.00 if it
elects not to purchase the property.

2. PURCHASE PRICE. The total purchase price for the property is Three Hundred Forty Six Thousand and no/100
DOLLARS ($346~OOO.OO ). which shall be paid after all necessary documents to convey title have been recorded in the
county reccrder's office and the abstract 'of title has been re-certified to show that the title is in the State of Minnesota. free and
clear of all encumbrances ..

3. ABS~RACTS. Within one month" from 'the date hereof. the"Selle'i(~) shall provide the State 'w'jth a curr~ntlY updated
Abstract of Title or" jf the property is regfstered, an O~ner's Duplicate Certificate of Title and Registered Property Abstract
covering the subject property. The cost of the abstract will be reimbursed to the Seller by the State.

The State shall have thirty (30) business days after'receipt of th~ updated abstract or N.otice of Election to Purchase,
whichever is later, to examine the title and notify Seller of any title objections or issues of title th.at need resolution.

Failure to deliver an abstract within thirty (30) days hereof shall not v.oid this agreement or otherwise preclude the State
from demanding an abstract, electing to purchase the property or ccmpleting the purchase.

4. TITLE CORRECTIONS. If the State is of the opinion that Seller does not have marketable title, Seller shall have a
,reasonable time after notice thereof to make title m'arketable. After all title issues are res01ved so that, in the opinion of the
State, Seller has marketable title, the State shall complete the purchase.

5. TITLE. Seller shall execute and deliver a warranty deed to the State, 'free and clear of all taxes, liens, encombrances,
restrictions, rights, .or exceptions except those of record Which ar~ acceptable to the State.

6. REAL ESTATE TAXES AND SPECIAL ASSESSMENTS., All delinquent real estate taxes, all current real
estate taxes, all Green Acres taxes and all levied assessments are the Seller's responsibility and should be satisfied of record
by the Seller before payment can be made by the State,

The full amount of current real estate taxes due the year the deed is dated shall be paid. by Seller. Under no
circum~tances will stl.ch current taxes be pro.rated but ,instead silall"be Seller~s' soIe·'res,ponsibmty.

7. CONDITION OF PROPERTY. The Seller shall not transfer or encumber any interest in the property prior to
conveyance to the State. The Seller shall remove aI/ rubbish or trash, including any hazardous or harmful chemical
substances, from the pr.operty prior to conveyance but shall othelWise keep the property in its current condition and shall
prevent and refrain from any use of the property for any purpose or in any manner which would diminish value or adversely
affect the State's intended use of the property for natural resource purposes.

8. RIGHT OF ENTRY AND INSPECTION., The State and its agents shall have the right to enter upon the property
at reasonable times for surveying, conducting an environmental inspection and assessment t.o detect hazardous or toxic
substances, and for other reasonable purposes related to this transaction. Based upon the results of the environmental
inspection and assessment, the State may elect to refuse to accept 'the property.
9. ~ELLER'S ~EPR.ESENTATION AND WARRANTIES. The Seller warrants and represents to the State the
following matters with the Intent that these representations and warranties shall survive the conveyance:

now subject to any written or ?rallease, optlo.n, agreement of sale claim, or legal proceeding except as set forth herein. Seller

been used for the manufacture, use, storage, or disposal of any hazardous or toxIc substanca , pollutants or contammant~,
within the meaning of any applicable environmental statute, ordinance or regulation. To the best orthe Sellej's kno\vledge no
hazardous or toxic substances, pollutants or contaminants, including asbestos or materials containing or producing
polychlorinated biphenyls (PCB's) are presently stored or located on the property. To the best of the Seller'S knowledge the
property is not subject to any "superfund tl or similar lien or any claim by any government regulatory agency or third party
related to the release or threatened release of any hazardous or toxic substance.
c. U"derground Storage Tanks. To the best of the Seller's knowledge there are no underground storage tanks located
upon or under the property, or if there are any such tanks located on the property, they have been properly registered with all
appropriate environmental authorities and are in full compliance with all applicable statutes, ordinances, and regulations.
d. Reporting Requirements. You are required by Minn. Stat. 270.66 to provide your social security number or
Minnesota tax identification number if you do business with the State of Minnesota. This information may be used in the
enforcement of federal and state tax laws. Supplying these numbers may result in action to collect delinquent tax returns and
delinquent uncontested tax liability from you. Failure to supply these numbe'rs could prevent you from being paid in your land
transaction with the state. These numbers will be available to federal and state authorities and state personnel involved in the
payment of state obligations. The Seller understands that pursuant to Treas. Reg. §1.6054-4, the State shall report to the
Internal Revenue Service information as to the gross proceeds of this real estate transaction. A copy of such report shall be
furnished to Seller. If Seller is represented by an attorney, said attorney shall be the responsible reporting party.

10. REMEDIES. In addition to any other remedy specifically set forth in this option, the State has the right to enforce the
provisions of this option through an action for specific performance, injunctive relief, damages, or any other available
proceedings in law or equity. The election of anyone remedy available under this option shall not constitute a waiver of other
available remedies.

11. EXH IBITS. The 'following Exhibits are attached hereto and incorporated by reference herein: Exhibit A-RIM Waiver,
Exhibit B- Co Board

12. BINDING EFFECT. This option becomes effective when Signed by all of the Sellers and shall then apply to and bind
each of the Sellers and their heirs, executors, administrators, successors, and assigns.

13. COMPLETE AGREEMENT. This option constitutes the sole "and complete agreement between the parties and
cannot be changed except by written amendment. No representation or promise not included in this option or in any written
amendment shall be binding upon the parties.

COUNTY BOARD APPROVAL CLAUSE

This option is subject to the approval of the county board as required by Minnesota
Statutes 97 A.145 (1992), arid shall be null and void if unconditional approval is not
obtained at least five days prior to the expiration of this option. The effective date of
unconditional approval is the date of the county board resolution.

Provided, however, that if the county board approves the purchase subject to additional
conditions, the state shall have five days to accept or reject said conditions. If said
conditions are rejected by the state, this option sha'lI be null and void.

If this option is declared "nUll and void" under this clause, the state shall not be liable to the
optionor for $500 for failure to elect to purchase, as previously stated in this option.

WHEREAS. in accordance with Minnesota Statutes 84.944, Subd. 3 and


97A.145, Subd. 2, Phil Leversedge, DNR Park Manager, Tettegouche, Temperance
River and George H. Crosby Manitou State Parks on June 3, 2008 provided the Lake
County Board of Commissioners with a description of lands to be acquired by the State
of Minnesota for George Crosby Manitou State Park purposes described as follows:

The Northeast Quarter of the Northeast Quarter, the South Half of the Northeast
Quarter, the North Half of the Northwest Quarter, the Southwest Quarter of the
Northwest Quarter and the North Half of the Southwest Quarter of Section 27; and the
