This agreement sets out theterms and conditions wherebyCorporateFAInsider.com
(“Publisher”) will publishadvertisements (“ads”) inserted
in or attached to CorporateFlight Attendant News E-Letteras requested by the undersignedAdvertiser.Advertiser has designated theundersigned Agency to act on itbehalf.Unless Advertiser givesPublisher written directionlimiting the authority of Agency,any communication thatPublisher my receive fromAgency will be deemed to begiven on behalf of, and bindingon, Advertiser, and anycommunication given byPublisher to Agency will bedeemed to have been given to,and will be binding on,Advertiser.Publisher will not be bound by,and will disregard, terms andconditions appearing oninsertion orders or copyinstructions with conflict withprovisions of the rate card.
DEADLINES/AD COPY
Unless copy change are specifiedby Advertiser in writing prior tothe closing deadline,
Advertiser’s most recent ad will
be inserted.Advertiser is responsible forchecking ad copy for correctionsand providing prompt writtennotice of errors or changes
within Publisher’s deadlines.
Publisher is not responsible forcorrecting an error in an adunless Advertiser has notifiedPublisher n writing prior to theclosing deadline that an error hasbeen made.All ads are subject to approvalby Publisher. In its sole andabsolute discretion, Publishermay refuse any ad submitted andmay cancel any order for any ad.To ensure distribution of all adcopy to worldwide readership,Publisher reserves the right tomake copy changes as it deemappropriate to comply withapplicable customs and postalregulations, While reasonableefforts will be made to discussthese changes with Advertiser inadvance, in some case(especially when copy arrivesafter the closing deadline) suchadvance discussions may be notbe feasible.Publisher retains the right to
display Advertiser’s ad on the
Publ
isher’s web site(s), unless
otherwise notified by Advertiserin writing.
LIABILITY LIMITATIONS
Publisher will not be responsiblefor any claims made in ads.Advertiser and Agency agree, jointly and severally, toindemnify and hold Publisherharmless from any loss, liability,damage, claim or expense,
including reasonable attorney’s
fee and all other cost of litigationor settlement, arising out of orattributable to the publication of
Advertiser’s ads. Publisher’s
right of indemnification extends,without limitation, to any claimsfor libel, slander, invasion of privacy, unfair trade practices,copyright infringement ortrademark infringement.Publisher will not be responsiblefor any loss or damage(including, without limitation,consequential damages) of anykind arising out of, orattributable to, errors oromission in ads except for
Publisher’s failure to correct
errors clearly andunambiguously marked byAdvertiser and received byPublisher before the closingdeadline.Liability of Publisher for theomission of any portion of anyad from any publication will belimited to a partial reduction inthe amount charged by Publisher
for such ad based on Publisher’s
rate card.In no event will
Publisher’s liability for any ad
exceed the amount charged byPublisher for such ad.
FREQUENCY DISCOUNTS
Frequency discounts apply if used within any 12-monthperiod.A ¼ page ad is the minimumsize required to maintainfrequency discount.
