Dear Colleagues,

Our company is strong, and while we still have considerable work to do, we should be
proud of the considerable progress AIG has made in the last several months. It is in that
context that I wanted to update you on the status of our agreement to sell AIA to
Prudential plc. Earlier today, we announced that we would continue to adhere to the
original terms that we and Prudential agreed to in March. We remain confident in the
strength, value, and potential of AIA.

AIG is in the best shape it’s been in two years, and our goals remain the same: to honor
all of our obligations, divest certain assets to repay the U.S. government, and ensure that
our remaining businesses thrive. Because of the progress AIG has made in the last several
months, we will have several options to consider regarding AIA – more than we did in
March. Given such major milestones as ILFC’s accessing the capital markets and the
progress we are making toward closing the ALICO sale to MetLife, we have more
flexibility regarding timing as well.

Our overall strategy remains unchanged. We remain focused on monetizing AIA and
ALICO as quickly as possible so that we can make good on our commitment to repay
taxpayers – and on appropriate terms given the unique strengths of these highly attractive
franchises. As we’ve said before, going forward, Chartis and SunAmerica Financial
Group will form the core of AIG’s nucleus of businesses.

I would like to take a moment to congratulate the teams across AIA. You stabilized your
business amid the crisis, and have established impressive momentum in your markets and
with your clients. Many of you worked hard on preparations for an IPO, and then worked
with equal skill and dedication when our plans changed. These times and the choices
involved often test our emotions, and I appreciate the professionalism that so many of
you have showed through it all. We’ll be counting on that professionalism, business
focus, and commitment as we assess our future plans.

I would like to add a word to all of our AIG colleagues. I am very proud of the progress
we have made together to take our company forward. Thank you for your hard work and
dedication – I am committed to continuing this process with all of you.
