PRICING INFORMATION As of 12/31/09 ANNUAL PERCENTAGE RATE (APR) FOR PURChASES
 The Annual Percentage Rate for Purchases may vary and will equal the Prime Rate plus (i) 16.74%, but not less than 19.99% for Account Type 1; or (ii) 20.74%, but not less than 23.99% for Account Type 2. The Periodic Rate for your Purchase Balance is the purchase standard rate (“Purchase Standard Rate”), unless the DelinquencyRate applies as described below.  The Cash Advance APR may vary and will equal the Prime Rate plus 23.74%, but not less than 26.99%. The Periodic Rate for your Cash Advance Balance is the cash standard rate (“Cash Standard Rate”), unless the Delinquency Rateapplies as described below. The Cash Standard Rate for a billing period is the greater of: (i) the Prime Rate plus 23.74%, times1/365; or (ii) .07395% (APR 26.99%).
DELINqUENCY APR
 The Delinquency APR may vary and will equal the Prime Rate plus 26.74%, but not less than 29.99%. The Periodic Rate and corresponding Annual Percentage Rates for all PayPal Plus MasterCard Account balances (including anypromotional rates) may be increased if you fail to make a minimum payment to us when due, you make a payment to us that isnot honored by your bank or you exceed your Credit Limit or Cash Advance Limit. The delinquency rate (“Delinquency Rate”) willbe the greater of: (i) the Prime Rate plus 26.74%, times 1/365; or (ii) .08217% (APR 29.99%).If we increase your Periodic Rates, the new Periodic Rates will be equal to the Delinquency Rate, or at our discretion a lowerrate. The increased Periodic Rate will apply to your existing balances and future transactions and will take effect as of the firstday of the billing period in which your missed or returned payment was due or in which you exceeded your Credit Limit or Cash Advance Limit. The Delinquency Rate may apply indefinitely.

 The “Prime Rate” for a billing period is the highest bank prime loan rate as published in
The Wall Street Journal 
in its Money Ratessection on any business day of the three calendar months preceding the first day of the billing period. The Periodic Rate and corresponding Annual Percentage Rates may vary. If the Prime Rate increases, the Periodic Rates andcorresponding Annual Percentage Rates may increase, and as a result the periodic Finance Charge, Total Minimum Payment,and number of payments also may increase. Any change in the Periodic Rates will apply to your entire PayPal Plus MasterCard Account balance (unless otherwise specified in any applicable promotional offer that provides for different terms for thatpromotion). A change in the Prime Rate will take effect on the first day of the billing period after the change. We may select anew interest rate index if the Prime Rate is not available.
GRACE PERIOD FOR REPAYMENT OF ThE bALANCE FOR PURChASES

 A.
 The Purchase Balance subject to a periodic Finance Charge is the Purchase Daily Balance of the PayPal Plus MasterCard Account. However, Purchases are not included in the Purchase Balance subject to a periodic Finance Charge for a billing periodif there is no previous balance on your PayPal Plus MasterCard Account at the beginning of the billing period, including anypromotional and Special Payment plan balances, (“Previous Balance”), or the sum of your payments and credits posted to yourPayPal Plus MasterCard Account by the Payment Due Date is at least equal to the Previous Balance.
b.
 To determine the Purchase Balance subject to a periodic Finance Charge, we take the prior day’s Purchase Balance of yourPayPal Plus MasterCard Account, which includes any unpaid periodic Finance Charge on your Purchase Balance and add anynew Purchases, including any Balance Transfers and other debits charged to your PayPal Plus MasterCard Account that day,and subtract any payments and other credits applied to your Purchase Balance that day. Each day we also add any periodicFinance Charges on your Purchase Balance and other Finance Charges and fees (other than Transaction Fees for Cash Advances),including any debt cancellation fees, assessed that day on your PayPal Plus MasterCard Account. This gives us the “Purchase DailyBalance” of the PayPal Plus MasterCard Account. Any Purchase Daily Balance of less than zero will be treated as zero.
C.
 The Cash Advance Balance subject to a periodic Finance Charge is the Cash Advance Daily Balance of the PayPal PlusMasterCard Account. GE MONEY bANKPAYPAL PLUS MASTERCARD AGREEMENT
1. GENERAL.
 This Agreement (“Agreement”) governs your PayPal Plus MasterCard account (“PayPal Plus MasterCard Account”). In this Agreement and in yourbilling statements (“Statements”), “we”, “us”, and “our” mean GE Money Bank, 170 West Election Drive, Suite 125, Draper, UT 84020 or our Affiliates; “you” and“your” mean all persons who we approve to use the PayPal Plus MasterCard Account; and “PayPal Plus MasterCard” means your PayPal Plus MasterCard. Theeffective date (“Effective Date”) of this Agreement will be the earlier of (i) the date you submit a PayPal Plus MasterCard Account application that is approved by us,or (ii) the first date that you or someone authorized by you uses the PayPal Plus MasterCard Account. Please read and keep this Agreement for your records.
2. USE OF PAYPAL PLUS MASTERCARD ACCOUNT. A.
You may use your PayPal Plus MasterCard and PayPal Plus MasterCard Account only for personal, family or household purposes, including to fund your PayPal Account (“PayPal Account”) that you have established with PayPal, Inc. for payments for goods and services purchased by you with your PayPal Account and forpurchase of goods or services from any merchant that accepts MasterCard (“Purchases”). You also may use your PayPal Plus MasterCard or PayPal Plus MasterCard Account to obtain cash loans at any institution that accepts the PayPal Plus MasterCard or PayPal Plus MasterCard Account, including any Automated TellerMachines (“Cash Advances”). We may, from time to time, allow you to transfer balances from other credit card accounts to this PayPal Plus MasterCard Account(“Balance Transfer”), or to access credit on the PayPal Plus MasterCard Account by writing a convenience check (“Convenience Checks”). The following transactionsare treated as Cash Advances: Convenience Checks, drafts, money orders, cashier’s checks, traveler’s checks, electronic or wire transfers, foreign currency or otherin-bank transactions, tax payments, lottery tickets or other legalized gambling transactions, court costs, bail bonds, person-to-person payments, fines, and othercash-like transactions. Except as otherwise expressly provided in this Agreement or any applicable offer, a Balance Transfer will be treated as a Purchase.
b.
Your PayPal Plus MasterCard and PayPal Plus MasterCard Account must be used only for lawful transactions. You may not use your PayPal Plus MasterCard Account for internet gambling transactions or to pay amounts you owe us on this PayPal Plus MasterCard Account or any amounts you owe on other accountsyou have with us.
C.
Subject to the terms of this Agreement, you may use your PayPal Plus MasterCard Account for Purchases, including Balance Transfers, up to any credit limit wemay establish (“Credit Limit”), and you may use your PayPal Plus MasterCard Account for Cash Advances, including Convenience Checks, up to any cash advancelimit we may establish (“Cash Advance Limit”). Your Cash Advance Limit may be a portion of your Credit Limit.
D.
We may occasionally approve a transaction that causes your PayPal Plus MasterCard Account balance to exceed your Credit Limit without waiving any of ourrights under this Agreement. If you exceed your Credit Limit, an overlimit fee may be imposed as set forth in Section 8B. You are required to pay the portion of yourbalance that exceeds your Credit Limit each month. We may decline to authorize any transaction on your PayPal Plus MasterCard Account, and we may changeyour Credit Limit and your Cash Advance Limit at any time.
3. PROMISE TO PAY.
By using the PayPal Plus MasterCard Account, you agree to be bound by this Agreement. You promise to pay us for all credit that we extendon your PayPal Plus MasterCard Account and all other amounts owed to us under this Agreement. If your PayPal Plus MasterCard Account is a joint account,each of you: (i) is bound by this Agreement; (ii) may use the PayPal Plus MasterCard Account, up to the Credit Limit or any other credit limit we may establish; and(iii) jointly and individually promise to pay us, and may be held liable for, all amounts owed to us on the PayPal Plus MasterCard Account. We also may issueadditional cards to other persons you authorize to use your PayPal Plus MasterCard Account if you ask us to do so. However, you and any joint PayPal PlusMasterCard Account holder are responsible for all charges made by any person(s) authorized to use your PayPal Plus MasterCard Account. You understand andagree that arrangements made among cardholders and other events do not alter or affect your responsibility to make payments to us.
 
4. PERIODIC FINANCE ChARGES.
We calculate the periodic Finance Charge separately for Purchases and Cash Advances. The Annual Percentage Rate maysometimes be referred to as “APR”.
 A.
The periodic Finance Charge for a billing period is calculated by applying the applicable daily periodic rate (“Periodic Rate”) to the PayPal Plus MasterCard Accountbalance subject to periodic Finance Charges for each day in the billing period, and adding together all of those daily Finance Charge amounts. A minimum

will be imposed for each billing period in which your PayPal Plus MasterCard Account is subject to a periodic Finance Charge.

The increasedPeriodic Rate will apply to your existing balances and future transactions and will take effect as of the first day of the billing period in which your missed or returnedpayment was due or in which you exceeded your Credit Limit or Cash Advance Limit. We may also change rates or other terms as provided in the Termination/ Change in Terms section of the Agreement.
E.
The Periodic Rate and corresponding Annual Percentage Rates may vary. If the Prime Rate increases, the Periodic Rates and corresponding Annual PercentageRates may increase, and as a result the periodic Finance Charge, Total Minimum Payment, and number of payments also may increase. Any change in the PeriodicRates will apply to your entire PayPal Plus MasterCard Account balance (unless otherwise specified in any applicable promotional offer that provides for differentterms for that promotion). A change in the Prime Rate will take effect on the first day of the billing period after the change. We may select a new interest rate indexif the Prime Rate is not available.
5. bALANCE SUbJECT TO PERIODIC FINANCE ChARGE.
The balance subject to a periodic Finance Charge is calculated separately for Purchases andCash Advances.
 A.
The Purchase Balance subject to a periodic Finance Charge is the Purchase Daily Balance of the PayPal Plus MasterCard Account. However, Purchases are notincluded in the Purchase Balance subject to a periodic Finance Charge for a billing period if there is no previous balance on your PayPal Plus MasterCard Accountat the beginning of the billing period, including any promotional and Special Payment plan balances, (“Previous Balance”), or the sum of your payments and creditsposted to your PayPal Plus MasterCard Account by the Payment Due Date is at least equal to the Previous Balance.
b.

To determinethe Cash Advance Balance subject to a periodic Finance Charge, we take the prior day’s Cash Advance Balance of your PayPal Plus MasterCard Account, whichincludes any unpaid periodic Finance Charges on your Cash Advance Balance, and add any new Cash Advances, Transaction Fees for Cash Advances and periodicFinance Charges on your Cash Advance Balance for that day and subtract any payments and other credits applied to your Cash Advance Balance that day. Thisgives us the “Cash Advance Daily Balance” of the PayPal Plus MasterCard Account. Any Cash Advance Daily Balance of less than zero will be treated as zero.
6. WhEN PERIODIC FINANCE ChARGES bEGIN TO ACCRUE. A.
 
Purcases.
If there is a Previous Balance on your statement, Purchases and other related charges will begin to accrue periodic Finance Charges on the later of the transaction date or the first day of the billing period in which the Purchase is posted to your PayPal Plus MasterCard Account. However, if there is no PreviousBalance shown on your PayPal Plus MasterCard Account, or if the sum of all payments and credits posted to your PayPal Plus MasterCard Account by the PaymentDue Date is at least equal to the New Balance (including any promotional or Special Payment Plan balances) on your statement, Purchase Balances will not incurany Finance Charges on the next billing statement. To avoid finance charges on Purchases on your next statement, you must pay your entire New Balance, includingany promotional or Special Payment Plan balances, by the payment due date shown on your statement.
b.
 
Cas Adances.
Cash Advances and other related charges will accrue a periodic Finance Charge from the later of the transaction date or the first day of thebilling period in which the Cash Advance is posted to your PayPal Plus MasterCard Account. There is no period within which you can avoid Finance Charges onCash Advances.
7. PAYMENTS. A.
You must pay at least the Total Minimum Payment by 5:00 p.m. (ET) on the Payment Due Date shown on the Statement. You may pay more than the TotalMinimum Payment at any time. Your Total Minimum Payment will be the sum of: (a) the greater of (i) $15.00, or (ii) the sum of the Finance Charges, any late fee,any overlimit fee imposed during the current billing period, and 1.0% of the new balance (“New Balance”) shown on your statement; plus (b) any past due amounts. The Total Minimum Payment will be rounded up to the next whole dollar. However, the Total Minimum Payment is the New Balance if the New Balance is less than$15.00. In any event, your Total Minimum Payment will not exceed your New Balance. Your Payment Due Date may vary from month to month and the lengthof time you have to pay may be longer or shorter from month to month. Please check the Payment Due Date on your Statement carefully each month to ensuretimely payment.
b. All written communications concerning disputed amounts, including any ceck or oter payment instrument tat: (i) indicates tat te paymentconstitutes “payment in full” or is tendered as full satisfaction of a disputed amount; or (ii) is tendered wit oter conditions or limitations (“DisputedPayments”), must e mailed or deliered to us at te address for illing inuiries sown on your Statement, not te Payment Address.
