CERTIFIED PILOT LICENSE


AGREEMENT
This is an agreement between The Drone Co, (TDC) and the Licensee regarding the
responsibilities of both parties in their designated territory under the TDC Certified Pilot License
Agreement.

TDC PLAN
Mission: To serve the Drone Service Industry.
Objective: To provide world class service to businesses needing drone service.
Process: Teaching, coaching and mentoring individuals as TDC Pilots
Strategy: Promote, market and generate leads for our TDC Pilots.

TDC COMMITMENT TO TDC CERTIFIED PILOT


Online Training and Testing Approximately Forty (40) hours of initial online training
to start your company.
The purpose of the training is to provide you with the training needed to fly your drones
safely, legally while understanding the how to get the best photos and videos for clients.
Assigned exclusive area to work as The Drone Co.
TDC and the licensee will agree on an area where the licensee has exclusivity to run their
business as The Drone Co.
Certification Recognized as a Certified Drone Co Pilot by The Drone Co.
Support Available to discuss any situation anytime.
Update Information Industry updates as deemed needed by The Drone Co.
Advertising Promotion in your designated area.
The included advertising is SEO on The Drone Co website targeting services areas
covered by the Licensee.
Marketing Materials Brochures, website and blast email available at additional fees.
Drone Service Leads Leads for your area to close. We do not provide an estimate on
how many leads will be provided as each market is different.
Drone Services Sold Closed services that TDC has already sold in Licensees area. We
do not provide an estimate on how many closed deals will be provided as each market is
different.
Logo Use Allowed use of TDC Certified Pilot Logo on website and promotional
material during the duration of our agreement.
Seminars Allowed to host TDC seminars How to grow your business with drone
services with TDC approval.
TDC will not add another TDC Certified Pilot in a dues paying TDC Certified Pilots
area/assigned territory.
TDC CERTIFIED PILOT RESPONSIBILITIES
Represent the TDC In a Professional Manner.
TDC Certified Pilot Assist the drone community in your area.
Service Members Work with local TDC Clients as The Drone Co.
TDC logos Use TDC logo on website and promotional material.
Communications Answer emails, make phone calls and stay in touch with TDC main
office and any TDC Client assigned to you by TDC. This is your business it is your
responsibility to communicate and work with the TDC.
Participation Setup monthly conference calls with TDC to make sure you're getting
what you need to be successful.
Independent Contractor Operate your own independent company.
Expenses You are responsible to cover business operation expenses.
Promotion and Marketing - You are responsible to promote and market the TDC in your
area.
Social Media You are responsible to include TDC when promoting business.
Territory Operate only in the agreed licensed area as the TDC.
Territory (2) - TDC Certified Pilot may not represent the TDC outside their designated
territory.
Seminars Host at least 1 seminar per year in your territory.
Join and attend networking groups At least once per month.
DURATION OF AGREEMENT
This Agreement will be effective for one year upon the signing and renewable by the TDC and
the Licensee. Any renewal term shall be subject to the mutual written agreement of the Licensee
and TDC. The annual renewal will not exceed 75% of the initial license lees. Either party may
terminate this Agreement upon thirty days (30) written notice of material breach if the breach is
not cured within such thirty (30) day period. Upon termination of this Agreement for any reason,
all fees owed to TDC by the Licensee will be immediately due and all rights of the Licensee
granted herein will immediately cease, including but not limited to the Licensee right to use
TDCs official designation or any other Marks or logos of TDC. At anytime if TDC finds that
TDC Certified Pilot is not following FAA Guidelines for proper us of sUAS in the national
airspace TDC will terminate the contract immediately without prior notice.

TDC PRICING TO LICENSEE


Provided in Training and updated as needed.

LICENSEE COMPENSATION
TDC Certified Pilot will set their own fees for services provided to clients.

TDC COMMISSIONS PAID TO LICENSEE


20% will be paid to all closed deals that the Licensee provide to TDC outside their area that are
paid to the TDC unless otherwise agreed to in a separate contract.

LICENSE
TDC grants to the Licensee a nontransferable, nonexclusive right to use TDCs official Certified
Pilot designation and such other trademarks or service marks approved by TDC (collectively, the
Marks), for use by the Licensee solely in connection with the Licensee activities in their
agreed area. The Marks will remain the exclusive property of TDC, subject only to rights
granted to the Licensee under this Agreement and the Licensee agrees that it will not challenge
the rights of TDC to the Marks. Nothing in this license will prevent TDC from using the Marks
in the Market in connection with TDCs activities. Upon reasonable request, TDC may inspect
the Licensees activities in which the Marks are used for conformance to TDCs graphic standards
of quality for use of the Marks. Licensee will use the Marks in the manner designated by TDC
unless otherwise approved in writing by TDC. TDC reserves the right to change the format of
the Marks provided that the Licensee will not be required to make such changes on any material
already manufactured or printed in accordance with TDCs prior requirements or approval. If
the Licensee activities in which the Marks are used fail to meet TDCs requirements or the
Licensee uses the Marks improperly, TDC may terminate this Agreement if the Licensee fails to
cure the deficiencies within ten (10) days of receipt of written notice from TDC.

INDEMNIFICATION; Limitation of Liability.


Licensee agrees to defend, indemnify, and hold harmless TDC, and its officers, directors, agents,
and employees harmless for, from and against all costs, expenses, and losses (including
reasonable attorneys fees and costs) arising from any third party claim brought against TDC
arising from or related to the Licensee, or any of its officers, employees, agents or
representatives activities or actions. In no event shall either party, or its respective officers,
employees, agents or representatives be liable to the other party under any contract, warranty,
tort, negligence or other legal or equitable theory for any special, indirect, incidental or
consequential damages, including but not limited to, loss of profits or revenue, or any business
interruption or other loss even if the other party has been informed of the possibility of such
damages.

INDEPENDENT CONTRACTOR.
TDC will not be liable to the TDC Certified Pilot for any expenses incurred by the TDC
Certified Pilot, or for any of their acts or omissions. Licensee, is an independent contractor and
TDC will not provide and is not responsible for the Licensee (or any of its agents, employees, or
subcontractors) expenses, taxes, workers compensation, unemployment, health, accident,
liability or disability insurance or any other types of benefits.

GENERAL TERMS.
This Agreement constitutes and expresses the entire agreement and understanding between the
parties hereto with respect to the subject matter, all discussions, promises, representations, and
understandings relative thereto, if any, being herein merged. The provisions of this Agreement
will be deemed severable and the invalidity or unenforceability of any provision will not affect
the validity or enforceability of the other provisions hereof. This Agreement will be deemed to
be a contract made under the laws of the State of Georgia, and for all purposes, it, plus any
related or supplemental documents and activities, will be construed in accordance with and
governed by the laws of such state. Licensee may not assign or transfer any of its rights or
obligations under this Agreement without the prior written consent of TDC. The terms of this
agreement may be changed at by TDC at anytime with 30 days notice.
IN WITNESS WHEREOF, parties hereto have caused this Agreement to be duly executed as of
the day and year that this contract was submitted through the TDC website by the TDC Certified
Pilot.

DEFINITIONS

Licensee: A person or organization that is paying for the rights to use TDC marks and is given
access to participate in the TDC online certified pilot training program.

Professional Manner: To conduct oneself in a professional manner is to be fully capable,


competent and qualified. If follows that professional behavior is being prompt, prepared, able
to find solutions, to perform all tasks as expected. Orderly, clean in speech, deeds that serve the
interest of the TDC and be a standard bearer of TDC.
