This
Employment
Agreement
is
by
and
among
theIntercollegiateAthletic
Council
of
Kansas
StateUniversity,
Inc.,("I
AC"),
Kansas
StateUniversity,
(the"University")
and
Ron
Prince
(the
"Coach").
WHEREAS,
the
parties
have
previouslyentered
into
an
Agreement
dated
the
5th
day
of
December,2005and
entitled
"Kansas
State
UniversityFootball
Head
CoachEmployment
Agreement;and
WHEREAS,
the
parties
wish
to
enter
into
a
new
agreement
hereto
which
shall
replace
and
supersede
theprior
2005
Agreement;
NOW,
THEREFORE,
in
consideration
of
the
mutual
covenants,
conditions,
and
promises
contained
herein,the
parties
agree
asfollows:
Article
I
PURPOSE
1.01
The
parties
have
entered
into
this
Agreement
because
theUniversity
desires
to
employCoach
forthe
period
providedwith
Coach's
assurance
that
he
willservethe
entire
termof
this
Agreement,
a
commitment
by
Coach
being
critical
to
the
University's
desireto
run
a
stableAthletic
program.
The
Universityagrees
to
employ
Coachand
Coach
promises
to
be
employedby
the
University
upon
the
followingterms
and
conditions.
Article
II
RESPONSIBILITIES
OFTHE
HEAD
COACH
2.01
Recognition
of
Duties:
Coach
will
serve
asthe
headcoach
of
the
University's
football
team.
Coach
willreport
to
theAthleticDirector,
who
will
determine
Coach's
duties
and
responsibilities.
Subject
to
the
otherprovisions
of
this
Agreement,
Coach
shall
devote
his
full
time,
skill
and
attention
to
the
performanceof
thedutiesas
Coach.
2.02
General
Duties
and
Responsibilities:
During
the
period
in
which
the
University
employs
Coach,
he
agrees
to
perform
all
duties
and
responsibilities
attendant
to
the
position
of
Coach
of
the
University's
football
team
as
setforthin
this
Agreement.
Coach
is
responsible
forsupervising,evaluating,
recruiting,
training
and
coaching
student
athletesto
compete
against
major
collegecompetition;
the
supervision
and
evaluation
of
coaching
staff;
andbudget
preparation
and
administration,for
approval
by
theAthletic
Director,as
it
relatesto
the
football
program.
Such
approval
shall
not
beunreasonably
withheld.2.03Specific
Duties
and
Responsibilities:
The
duties
and
responsibilities
assigned
to
Coach
in
connectionwith
theUniversity's
football
program
are
set
forth
below.
They
aresubjectto
changeby
the
Athletic
Director.
This
list
of
specific
duties
and
responsibilities
supplements,
and
is
notexclusive
of,
othergeneral
duties
and
responsibilities
provided
for
elsewhere
inthis
Agreement.
The
specificresponsibilities
of
thepositioninclude,
but
are
not
limited
to,
thefollowing:
(a)
Coach
will
be
responsible
for
customarycoaching
decisions
including
without
limitation
the
systems
and
strategies
used
on
the
field
(both
in
practice
and
actual
game
play),
conduct
of
practice
and
training,
selection
of
teammembers,
position
assignment
of
players,
and
all
othermatters
relating
to
thepracticefor
and
play
of
games;
(b)
Coach
agrees
to
comply
with
the
academic
standards
and
requirements
of
the
University
with
respect
to
the
recruiting
and
eligibility
of
prospective
and
currentstudent
athletesfor
the
football
program.
Coach
will
comply
with
the
academic
policies
established
by
theUniversity,
including
monitoring
and
encouraging
the
regularprogress
toward
an
academic
degree
of
those
student-athletes
who
are
on
the
football
team.
Coach
will
make
reasonable
and
good
faithefforts,in
cooperation
with
the
University's
faculty
and
administration,
to
meet
all
student-athletes'
academic
requirements
and
to
integrate
sports
into
the
whole
spectrum
of
academic
life
for
all
student-athletes.
Coach
will
use
reasonable
effortsto
arrange
travel
and
scheduling
by
student-athletes
in
sucha
manner
as
to
minimize
lost
classroom
time;
(c)
Coach
will
make
hisbest
effortto
maintain
and
enforce
conduct
(both
on
and
off
the
field)
and
disciplinaryrules
and
sanctions
fairly
and
uniformly
for
all
student-
athletes
in
thefootball
program
so
as
to
insure
academicand
moral
integrity
while
encouraging
excellence;
(d)
Coach
has
authority
and
responsibility
to
make
decisionsas
to
the
hiring,
continued
employment,
job
titles,
compensation,
and
dismissal
of
assistant
coaches
for
the
football
program.
All
such
decisions
will
be
subject
to
theprior
approval
of
the
AthleticDirector,
and
all
hiringdecisions
aresubject
to
standard
IAC
pre-employment
inquiries,
including
NCAA
and
criminal
background
checks.
Coach
will
supervisethese
employees,
including
the
supervision
of
their
compliance
with
IAC
and
University
policies,
and
with
Big
12
Conference
and
NCAA
rules
and
regulations;
(e)
Coach
will
attend
and
participate
ina
reasonable
number
of
alumni,
charitable,
and
promotional
events,
and
publicappearances,
to
includea
minimum
of
eight
(8)
Catbacker
eventsannually;
(f)
Coach
will
perform
services
on
television,
radio,
and
other
media
as
such
services
relateto
the
positionas
Head
Coach
of
thefootball
team,
as
further
setforth
herein.Further,
the
parties
hereto
acknowledgeand
agree
that
the
University
possesses
thesole
and
exclusive
ownership
rightsto
theUniversity's
football
program
of
any
nature,including,
butnot
limited
to,
the
following:
radio,
television,
internet
and
any
other
medium
whatsoeverwhether
now
existing
or
developed
in
the
future.
As
such,theUniversity,
its
agents,representatives,
licensees,
or
assigns,
shall
have
thesole
and
exclusive
rightsto
produceandmarket
all
radio,television,
and
internet
shows
relating
to
the
University's
football
program,and
Coach
agrees
to
performand
carry
out
all
duties
and
responsibilities
deemed
necessary
by
theAthletic
Director
forparticipation
in
such
forms
of
media,marketing,
orsponsorship
activities,
for
which
Coach
shall
receive
additional
compensation
as
provided
for
in
Sect.
3.02(c).2.04
NCAA.
BigTwelve,
orUniversity
Rules
and
Regulations:
Coach
agrees
to
abide
by
and
comply
with
the
constitution,
bylaws,
and
interpretations
of
the
National
Collegiate
Athletic
Association
("NCAA"),
and
all
NCAA,
Big
12
Conference,
and
University
orIntercollegiateAthletic
Council
ofKansas
StateUniversity,
Inc.
(IAC)
rules
and
regulations.
Coach
will
also
ensure
compliance
with
these
rules
and
regulations
by
student-athletes,assistant
coaches,
and
all
other
program
employees
and
representatives
of
the
University's
athletic
interests.
Inthe
event
thatthe
Coachbecomes
aware,
orhas
reasonablecause
to
believe,
that
violations
of
such
constitution,
bylaws,
interpretations,rules,
or
regulations
may
have
taken
place,
he
shall
report
it
promptly
to
theAthletic
Director
of
theUniversity.
2.05
NCAA.
Bip
Twelve,
orUniversity
Violations:
(a)
If
Coach
is
found
to
be
in
violation
of
NCAA
rules
and
regulations,
whether
while
employed
by
theUniversityorduring
prior
employment
at
another
NCAA
member
institution,
Coach
shall
be
subject
to
disciplinary
or
correctiveactionas
setforth
in
the
provisions
of
the
NCAA
enforcement
procedures.
Coach
may
be
suspended
fora
period
of
time,
without
pay,or
the
employment
of
Coach
may
be
terminated
as
provided
in
Sections4.02
and
4.03
of
this
Agreement
if
Coach
is
found
to
have
been
involved
in
significant
or
repetitive
violations
of
NCAA
or
Big
12
Conference
rules
and
regulations,
orUniversityor
IAC
policies
and
procedures.
(b)
If
Coach
is
fined
by
the
Big
12
Conference
or
NCAA
for
violation
of
the
sportsmanship
policy,
such
penalty
shall
be
thesoleresponsibility
of
Coach.
2.06
The
AthleticDirector
shall
evaluate
Coach
annually,
in
writing,prior
to
July
31st
of
eachContractYear,
as
defined
herein,
and
will
discuss
the
evaluation
with
Coach.
Coach
is
primarilyresponsible
for
evaluation
of
all
assistant
coaches
and
football
program
staff,
withsuch
evaluations
subject
to
review
and
approval
by
theAthletic
Director.
Article
III
TERM
OF
EMPLOYMENT.
COMPENSATION.
AND
BENEFITS
3.01
Term
of
Agreement
and
Employment:
(a)
Subject
to
the
provisions
below
for
termination,
the
term
of
employment
under
this
Agreement
shall
be
forfive(5)
years
beginning
on
the
P1
dayof
January,2008,
and
continuing
forthe
2008
Contract
Year
(defined
below)and
for
the
next
immediatelysucceeding
fourContractYears,
subject,
however,
to
termination
in
accordancewith
theprovisions
setforth
inthis
Agreement.
