1. PORT OF LOADING to be at South Kalimantan, Indonesia, in accordance with

the terms and conditions of the Sales and Purchase Agreement Contract.
2. ALL TERMS AND CONDITIONS to be agreed by both parties (Seller and
Buyer).
3. INSPECTION: Quality and quantity to be determined at loading port by an
acceptable independent inspector. All costs and charges of inspections incurred
and distributed by seller.
4. OFFER VALIDITY: Seven working Days.
5. PRICE: Price is to be reviewed every shipment.
6. PROCEDURES:

i) Upon receiving this Full Corporate Offer, buyer signs both sheets and returns
to show willingness to purchase and understanding of content, along with an
official Letter of Intent (LOI) on company letterhead.

ii) Seller to acknowledge agreement with draft copy of Sales and Purchase
Agreement Contract, upon receiving the signed Opening Offer and official LOI.

iii) Buyer and seller to sign Sales and Purchase agreement contract.
