Re: Exercise of Buyer’s contingency pursuant to the Real Estate Purchase and Sale
Agreement dated February 20, 2009 between King County (“Seller”) and Summit Place 156
LLC (“Buyer”), as amended by the First Amendment to the Real Estate Purchase and Sale
Agreement dated February 19, 2010 (collectively, the “Agreement”), which provides for the
sale by Seller and the purchase by Buyer of certain real property in Maple Valley,
Washington (the “Property”)
Dear Harold:
Pursuant to Section 5.1 of the Agreement, Buyer hereby informs Seller that it will not be waiving its
Buyer’s contingency for the purchase of the Property on or before the expiration of the Due Diligence
Period. Instead, this letter constitutes Buyer’s written notice to Seller under Section 5.1.1 that Buyer: (i)
elects to terminate the Agreement and all further rights and obligations of both parties thereunder; and (ii)
respectfully requests return of its eamest money promissory note per the terms of the Agreement.
