compensation
toUTAin
exchangeforUTA

oftalenttoparticipateinthecreation
of
theSeries,

October
24,2006,GaryGradinger("Gradinger')1onbehalfof'UTA,senta
Jetter
(the"Confirming
Letter")
confirmingthetermsofthePackageAgreementtoFred
Paccone
C"Paccone"),
theChiefOperatingOfficerofDefendant,amongothers.
9-TheConfirmingLetterstatesthatUTA'scompensationfromDefendant
will
consistof,among
other
things,threecategoriesofprofitparticipation,summarized
in
relevantpartasfollows:(a)
5%
ofthegrosslicensefeesderivedfromtheSeries;(b)anadditional5%ofgrosslicensefees
derived
fromtheseries,cappedat50%ofthenetprofitsderivedfromtheSeries;and(c)10%oftheadjustedgrossreceipts
derived
fromtheSeries.
10.After
enteringintothePackageAgreement,Defendantdid,infact,producetheSeries,whichhasbeenand
continuesto
be
extremely
successful.Defendanthasproducedthe
Seriesforfiveseasonsandplanstoproduceoneor
morespinoffs
ofthtSeries.
11.DuringthecourseofDefendant'sdistributionoftheSeries,Defendanthas
paid
certaincompensationto
UTA.
DefendantalsoprovidedUTAwith
profitparticipation
statementsforatleast
some
oftheperiodssincetheinceptionofthe
