WHEREAS,beginninginthemid-I920s,achromeproductionfacilitywasoperatedat880-900GarfieldAvenue,JerseyCity,HudsonCounty,NewJersey(a.k.a.,HudsonCountyChromeSiteno.114)("GarfieldAvenueSite")andgeneratedchromatechemicalproductionwaste("CCPW")asaby-productofproduction;WHEREAS,defendantPPGIndustries,Inc.("PPG"),acquiredthefacilityinAugust1954,operateditthroughSeptember1963,andtransferredtheGarfieldAvenueSitetoCliffAssociatesin1964;WHEREAS,onMay9,2005,theNewJerseyDepartmentofEnvironmentalProtection("NJDEP")filedsuitinstatecourtagainstPPG(amongothers)("StateCourtLitigation"),seekingremediationoftheGarfieldAvenueSiteandcertainothersitesallegedlycontainingchromatechemicalproductionwaste;

WHEREAS,PPGandNJDEPenteredintoajudiciallyenforceableconsentjudgmentintheStateCourtLitigation,pursuanttowhichPPGiscurrentlyrernediatingtheGarfieldAvenueSiteandcertainothersites;WHEREAS,plaintiffsInterfaithCommunityOrganization,Inc.,GRACOCommunityOrganization,aNewJerseyNonprofitCorporation,andNaturalResourcesDefenseCouncil,Inc.(collectively"Plaintiffs"),aretwolocalcitizens'groupsandonenationalenvironmentalorganization,respectively,whoPlaintiffscontendhavemembersallegedtobeharmedbyexposuretoCCPWgeneratedatthechromatechemicalproductionplantformerlylocatedattheGarfieldAvenueSite;WHEREAS,PlaintiffsfiledaFirstAmendedComplaintintheabovecaptionedmatterallegingthatCCPWoriginatingfromtheGarfieldAvenueSitemaypresentanimminentandsubstantialendangermenttohealthandtheenvironmentandseekingdeclaratoryrelief,injunctivereliefandpenaltiespursuanttosection7002(a)(1)(B)oftheResourceConservationandRecoveryAct("RCRA"),42U.S.C.§6972(a)(1)(B);WHEREAS,PPG'sAnswerdenied,amongotherthings,Plaintiffs'allegationsintheFirstAmendedComplaintthatanimminentandsubstantialendangermenttohealthandtheenvironmentmayexist;WHEREAS,PlaintiffshavesubmittedcopiesoftheFirstAmendedComplainttotheUnitedStatesEnvironmentalProtectionAgencyAdministratorandtheAttorneyGeneralinconformancewiththerequirementofthecitizensuitprovisionofRCRA,42U.S.C.§6972(b)(2)(F);WHEREAS,PlaintiffsandPPG(collectively"Parties")agreeandtheCourtfindsthatthisConsentDecree("ConsentDecree")hasbeennegotiatedbythePartiesingoodfaith;thatthe
 
implementationofthisConsentDecreewillavoidprolongedandcomplicatedlitigationamongtheParties;thatwiththeexceptionofPlaintiffs'requestforattorneys'feesandcostsandwiththeexceptionofthesitesthatwerealreadydismissedwithoutprejudice,thisConsentDecreerepresentsacompletesettlementofallallegationsmadeandclaimsthatwereorcouldhavebeenassertedintheFirstAmendedComplaintbasedontheallegedfacts;andthatthisConsentDecreeisfair,reasonable,andinthepublicinterest;and,WHEREAStheParties,withoutthenecessityoftrialoradjudicationofanyissuesoffactorlaw,consenttoentryofthisConsentDecree,
JURISDICTIONANDVENUE
1.ThisCourthasjurisdictionoverthePartiesandthesubjectmatterofthisConsentDecreepursuanttosection7002(a)(l)(B)ofRCRA,42U.S.C.§6972(a)(l)(B),and28U.S.C.§1331.2.VenueintheU.S.DistrictCourtfortheDistrictofNewJerseyisproperpursuantto42U.S.C.§6972(a)and28U,S.C.§139J(b).3.SolelyforthepurposeofthisConsentDecree,thePartieswaiveallobjectionsanddefensesthattheymayhavetojurisdictionoftheCourt,tovenueinthisDistrict,andtoPlaintiffs'standing,andshallnotchallengethisCourt'sjurisdictiontoenterandenforcethisConsentDecree.
DEFINITIONS
4.WheneverthetermslistedbelowordefinedaboveareusedinthisConsentDecree,thedefinitionsshallapply.a."AccessibleSoil"shallmeanallSoilsinthePotentiallyImpactedAreaexceptInaccessibleSoil.3
