ThisAgreementismadethis5thdayofApril,2011,intheCityandCountyofSanFrancisco,StateofCalifornia,byandbetween:Goodyear-Peterson,locatedat82WestPortalAvenue,SanFrancisco,CA94127("Contractor"),andtheCityandCountyofSanFrancisco,amunicipalcorporation("City"),actingbyandthroughitsMunicipalTransportationAgency("SFMTA").

TheSFMTAwishestoretainapublicrelations/communicationsspecialisttoassisttheAgencyduringupcominglabornegotiations.B.ARequestforProposal("RFP")wasissuedonJanuary20,2011,andCityselectedContractorasthehighestrankedproposer.C.ContractorrepresentsandwarrantsthatitisqualifiedtoperformtheservicesrequiredbyCityasdescribedinthiscontract.D.ApprovalforthisAgreementwasobtainedwhentheCivilServiceCommissionapprovedcontractnumber

onApril4,2011.Now,THEREFORE,thepartiesagreeasfollows:
1.Certification
ofFunds;
BudgetandFiscalProvisions;TerminationintheEvent
ofNon-
Appropriation.
ThisAgreementissubjecttothebudgetandfiscalprovisionsoftheCity'sCharter.ChargeswillaccrueonlyafterpriorwrittenauthorizationcertifiedbytheController,andtheamountofCity'sobligationhereundershallnotatanytimeexceedtheamountcertifiedforthepurposeandperiodstatedinsuchadvanceauthorization.ThisAgreementwillterminatewithoutpenalty,liabilityorexpenseofanykindtoCityattheendofanyfiscalyeariffundsarenotappropriatedforthenextsucceedingfiscalyear.Iffundsareappropriatedforaportionofthefiscalyear,thisAgreementwillterminate,withoutpenalty,liabilityorexpenseofanykindattheendofthetermforwhichfundsareappropriated.CityhasnoobligationtomakeappropriationsforthisAgreementinlieuofappropriationsforneworotheragreements.CitybudgetdecisionsaresubjecttothediscretionoftheMayorandtheBoardofSupervisors.Contractor'sassumptionofriskofpossiblenon-appropriationispartoftheconsiderationforthisAgreement.THISSECTIONCONTROLSAGAINSTANYANDALLOTHERPROVISIONSOFTHISAGREEMENT.

2.TermoftheAgreement.SubjecttoSection1,thetermofthisAgreementshallbefromApril5,2011toJuly31,2011.3.EffectiveDateofAgreement.ThisAgreementshallbecomeeffectivewhentheControllerhascertifiedtotheavailabilityoffundsandContractorhasbeennotifiedinwriting.4.ServicesContractorAgreestoPerform.TheContractoragreestoperformtheservicesprovidedforinAppendixA,"DescriptionofServices,"attachedheretoandincorporatedbyreferenceasthoughfullysetforthherein.5.Compensation.Compensationshallbemadeinmonthlypaymentsonorbeforethe15thdayofeachmonthforwork,assetforthinSection4ofthisAgreement,thattheSFMTA'sExecutiveDirector/CEO,inhisorhersolediscretion,concludeshasbeenperformedasofthelastdayoftheimmediatelyprecedingmonth.InnoeventshalltheamountofthisAgreementexceedNinety-NineThousand,NineHundredThirty-Eightdollars($99,938).ThebreakdownofcostsassociatedwiththisAgreementappearsinAppendixB,"CalculationofCharges,"attachedheretoandincorporatedbyreferenceasthoughfullysetforthherein.NochargesshallbeincurredunderthisAgreementnorshallanypaymentsbecomeduetoContractoruntilreports,services,orboth,requiredunderthisAgreementarereceivedfromContractorandapprovedbySFTMAasbeinginaccordancewiththisAgreement.CitymaywithholdpaymenttoContractorinanyinstanceinwhichContractorhasfailedorrefusedtosatisfyanymaterialobligationprovidedforunderthisAgreement.InnoeventshallCitybeliableforinterestorlatechargesforanylatepayments.6.GuaranteedMaximumCosts.TheCity'sobligationhereundershallnotatanytimeexceedtheamountcertifiedbytheControllerforthepurposeandperiodstatedinsuchcertification.Exceptasmaybeprovidedbylawsgoverningemergencyprocedures,officersandemployeesoftheCityarenotauthorizedtorequest,andtheCityisnotrequiredtoreimbursetheContractorfor,CommoditiesorServicesbeyondtheagreeduponcontractscopeunlessthechangedscopeisauthorizedbyamendmentandapprovedasrequiredbylaw.OfficersandemployeesoftheCityarenotauthorizedtoofferorpromise,noristheCityrequiredtohonor,anyofferedorpromisedadditionalfundinginexcessofthemaximumamountoffundingforwhichthecontractiscertifiedwithoutcertificationoftheadditionalamountbytheController.TheControllerisnotauthorizedtomakepaymentsonanycontractforwhichfundshavenotbeencertifiedasavailableinthebudgetorbysupplementalappropriation.7.Payment;InvoiceFormat.InvoicesfurnishedbyContractorunderthisAgreementmustbeinaformacceptabletotheController,andmustincludeauniqueinvoicenumber.AllamountspaidbyCitytoContractorshallbesubjecttoauditbyCity.PaymentshallbemadebyCitytoContractorattheaddressspecifiedinthesectionentitled''NoticestotheParties."8.SubmittingFalseClaims;MonetaryPenalties.PursuanttoSanFranciscoAdministrativeCode§21.35,anycontractor,subcontractororconsultantwhosubmitsafalseclaimshallbeliabletotheCityforthestatutorypenaltiessetforthinthatsection.ThetextofSection21.35,alongwiththeentireSanFranciscoAdministrativeCode,isavailableonthewebathttp://www.municode.com/Library/clientCodePage.aspx?clientID=4201.Acontractor,subcontractororconsultantwillbedeemedtohavesubmittedafalseclaimtotheCityifthecontractor,subcontractororconsultant:(a)knowinglypresentsorcausestobepresentedtoanofficeroremployeeoftheCityafalseclaimorrequestforpaymentorapproval;(b)knowinglymakes,uses,OrcausestobemadeorusedafalserecordorstatementtogetafalseclaimpaidorapprovedbytheCity;(c)conspirestodefraudtheCitybygettingafalseclaimallowedorpaidbytheCity;(d)knowinglymakes,uses,orcausestobemadeorusedafalserecordorstatementtoconceal,avoid,ordecreaseanobligationtopayortransmit

moneyorpropertytotheCity;or(e)isabeneficiaryofaninadvertentsubmissionofafalseclaimtotheCity,subsequentlydiscoversthefalsityoftheclaim,andfailstodisclosethefalseclaimtotheCitywithinareasonabletimeafterdiscoveryofthefalseclaim.

Paymentofanytaxes,includingpossessoryinteresttaxesandCaliforniasalesandusetaxes,levieduponorasaresultofthisAgreement,ortheservicesdeliveredpursuanthereto,shallbetheobligationofContractor.ContractorrecognizesandunderstandsthatthisAgreementmaycreatea"possessoryinterest"forpropertytaxpurposes.Generally,suchapossessoryinterestisnotcreatedunlesstheAgreemententitiestheContractortopossession,occupancy,oruseofCitypropertyforprivategain.Ifsuchapossessoryinterestiscreated,thenthefollowingshallapply:(1)Contractor,onbehalfofitselfandanypermittedsuccessorsandassigns,recognizesandunderstandsthatContractor,andanypermittedsuccessorsandassigns,maybesubjecttorealpropertytaxassessmentsonthepossessoryinterest;(2)Contractor,onbehalfofitselfandanypermittedsuccessorsandassigns,recognizesandunderstandsthatthecreation,extension,renewal,orassignmentofthisAgreementmayresultina"changeinownership"forpurposesofrealpropertytaxes,andthereforemayresultinarevaluationofanypossessoryinterestcreatedbythisAgreement.ContractoraccordinglyagreesonbehalfofitselfanditspermittedsuccessorsandassignstoreportonbehalfoftheCitytotheCountyAssessortheinformationrequiredbyRevenueandTaxationCodesection480.5,asamendedfromtimetotime,andanysuccessorprovision.(3)Contractor,onbehalfofitselfandanypermittedsuccessorsandassigns,recognizesandunderstandsthatothereventsalsomaycauseachangeofownershipofthepossessoryinterestandresultintherevaluationofthepossessoryinterest.(see,e.g.,Rev.&Tax.Codesection64,asamendedfromtimetotime).ContractoraccordinglyagreesonbehalfofitselfanditspermittedsuccessorsandassignstoreportanychangeinownershiptotheCountyAssessor,theStateBoardofEqualizationorotherpublicagencyasrequiredbylaw.(4)ContractorfurtheragreestoprovidesuchotherinformationasmayberequestedbytheCitytoenabletheCitytocomplywithanyreportingrequirementsforpossessoryintereststhatareimposedbyapplicablelaw.
11.PaymentDoesNotImplyAcceptance
ofWork.Thegrantingofanypaymentby
City;
orthereceiptthereofbyContractor,shallinnowaylessentheliabilityofContractortoreplaceunsatisfactorywork,equipment,ormaterials,althoughtheunsatisfactorycharacterofsuchwork,equipmentormaterialsmaynothavebeenapparentordetectedatthetimesuchpaymentwasmade.Materials,equipment,components,orworkmanshipthatdonotconformtotherequirementsofthisAgreementmayberejectedbyCityandinsuchcasemustbereplacedbyContractorwithoutdelay.
12.QualifiedPersonnel.
WorkunderthisAgreementshallbeperformedonlybycompetentpersonnelunderthesupervisionofandintheemploymentofContractor.ContractorwillcomplywithCity'Sreasonablerequestsregardingassignmentofpersonnel,butallpersonnel,includingthoseassignedatCity'srequest,mustbesupervisedbyContractor.ContractorshallcommitadequateresourcestocompletetheprojectwithintheprojectschedulespecifiedinthisAgreement.SFMTAP-500(5-10)ContractNo.2010/11-093
