moneyorpropertytotheCity;or(e)isabeneficiaryofaninadvertentsubmissionofafalseclaimtotheCity,subsequentlydiscoversthefalsityoftheclaim,andfailstodisclosethefalseclaimtotheCitywithinareasonabletimeafterdiscoveryofthefalseclaim.
9.Leftblankbyagreementoftheparties.(Disallowance)".10.Taxes.
Paymentofanytaxes,includingpossessoryinteresttaxesandCaliforniasalesandusetaxes,levieduponorasaresultofthisAgreement,ortheservicesdeliveredpursuanthereto,shallbetheobligationofContractor.ContractorrecognizesandunderstandsthatthisAgreementmaycreatea"possessoryinterest"forpropertytaxpurposes.Generally,suchapossessoryinterestisnotcreatedunlesstheAgreemententitiestheContractortopossession,occupancy,oruseofCitypropertyforprivategain.Ifsuchapossessoryinterestiscreated,thenthefollowingshallapply:(1)Contractor,onbehalfofitselfandanypermittedsuccessorsandassigns,recognizesandunderstandsthatContractor,andanypermittedsuccessorsandassigns,maybesubjecttorealpropertytaxassessmentsonthepossessoryinterest;(2)Contractor,onbehalfofitselfandanypermittedsuccessorsandassigns,recognizesandunderstandsthatthecreation,extension,renewal,orassignmentofthisAgreementmayresultina"changeinownership"forpurposesofrealpropertytaxes,andthereforemayresultinarevaluationofanypossessoryinterestcreatedbythisAgreement.ContractoraccordinglyagreesonbehalfofitselfanditspermittedsuccessorsandassignstoreportonbehalfoftheCitytotheCountyAssessortheinformationrequiredbyRevenueandTaxationCodesection480.5,asamendedfromtimetotime,andanysuccessorprovision.(3)Contractor,onbehalfofitselfandanypermittedsuccessorsandassigns,recognizesandunderstandsthatothereventsalsomaycauseachangeofownershipofthepossessoryinterestandresultintherevaluationofthepossessoryinterest.(see,e.g.,Rev.&Tax.Codesection64,asamendedfromtimetotime).ContractoraccordinglyagreesonbehalfofitselfanditspermittedsuccessorsandassignstoreportanychangeinownershiptotheCountyAssessor,theStateBoardofEqualizationorotherpublicagencyasrequiredbylaw.(4)ContractorfurtheragreestoprovidesuchotherinformationasmayberequestedbytheCitytoenabletheCitytocomplywithanyreportingrequirementsforpossessoryintereststhatareimposedbyapplicablelaw.
11.PaymentDoesNotImplyAcceptance
ofWork.Thegrantingofanypaymentby
City;
orthereceiptthereofbyContractor,shallinnowaylessentheliabilityofContractortoreplaceunsatisfactorywork,equipment,ormaterials,althoughtheunsatisfactorycharacterofsuchwork,equipmentormaterialsmaynothavebeenapparentordetectedatthetimesuchpaymentwasmade.Materials,equipment,components,orworkmanshipthatdonotconformtotherequirementsofthisAgreementmayberejectedbyCityandinsuchcasemustbereplacedbyContractorwithoutdelay.
12.QualifiedPersonnel.
WorkunderthisAgreementshallbeperformedonlybycompetentpersonnelunderthesupervisionofandintheemploymentofContractor.ContractorwillcomplywithCity'Sreasonablerequestsregardingassignmentofpersonnel,butallpersonnel,includingthoseassignedatCity'srequest,mustbesupervisedbyContractor.ContractorshallcommitadequateresourcestocompletetheprojectwithintheprojectschedulespecifiedinthisAgreement.SFMTAP-500(5-10)ContractNo.2010/11-093
