Unlessthecontextotherwiserequires,thetermsdefinedinSection1.1oftheContractamongAtlanticCoastConference,BigEastConference,BigTenConference,TheBigTwelveConference,Inc.,ConferenceUSA,Mid-AmericanConference,MountainWestConference,Pacific-10Conference,SoutheasternConference,SunBeltConference,WesternAthleticConference,UniversityofNotreDameduLac,ArizonaSportsFoundation,Inc.,doingbusinessasFiestaBowl,TheOrangeBowlCommittee,Inc.,andSugarBowl,effectiveApril1,2006,andanyandallamendmentsthereto("BowlChampionshipSeriesContract")shallhavethesamemeaninginthisGameAgreement.
ArticleIIParticipationinGame2.1ParticipationinGame.
TheInstitutionagreestohaveitsfootballteamplayintheFedExOrangeBowlGame(the"BowlGame")inMiami,Florida,onJanuary1,2009.ThecompetingteamintheBowlGametobeplayedonsuchdateshallbetheUniversityofCincinnati.TheBowlGameshallbeplayedattheDolphinStadium(the"BowlGameVenue").Kickoffshallbeatapproximately8:30p.m.EasternStandardTime.
ArticleIIIFinancialSettlement3.1FinancialSettlement.
ThefinancialsettlementfortheBowlGameshallbeinaccordancewiththeprovisionsoftheBowlChampionshipSeriesContract.
ArticleIVTicketsandSuites4.1TicketAllotmentforInstitution.
IftheInstitutionscompetingintheBowlGamearebothmembersofConferences,thentheyshallpurchasefromtheBowlaminimumofThirty-FiveThousand(35,000)ticketsintheaggregate.TheBowlshallallotSeventeenThousandFiveHundred(17,500)ticketstoeachInstitutionunlesstheInstitutionsmutuallyagreetoadifferentinitialallocationoftickets.TheInstitutionsmaymutuallyagreetoreallocateticketsbetweenthemselvesafterdistributionoftheinitialticketallocationsbytheBowl.

IfoneInstitutionplayingintheBowlGameisanIndependentandtheotherisamemberofaConference,thentheyshallpurchasefromtheBowlaminimumofThirty-FiveThousandOneHundredFifty(35,150)ticketsintheaggregate.TheBowlshallallotSeventeenThousandSixHundredFifty(17,650)ticketstotheIndependentandSeventeenThousandFiveHundred(17,500)ticketstothecompetingInstitutionunlesstheInstitutionsmutuallyagreetoadifferentinitialallocationoftickets.TheInstitutionsmaymutuallyagreetoreallocateticketsbetweenthemselvesafterdistributionoftheinitialticketallocationsbytheBowl.IfbothInstitutionsplayingintheBowlGameareIndependents,thentheyshallpurchasefromtheBowlaminimumofThirty-FiveThousandThreeHundred(35,300)ticketsintheaggregate.TheBowlshallallotSeventeenThousandSixHundredFifty'(17,650)ticketstoeachInstitutionunlesstheInstitutionsmutuallyagreetoadifferentinitialallocationoftickets.TheInstitutionsmaymutuallyagreetoreallocateticketsbetweenthemselvesafterdistributionoftheinitialticketallocationsbytheBowl.TheticketspurchasedbytheInstitutionshallhavetheseatlocationsshownonExhibit1,whichisattachedheretoandmadeaparthereof.TheaveragepriceofallticketspurchasedbytheInstitutionshallnotexceedOneHundredTwenty-Five($125.00)Dollars.
4.2TicketAllotmentforInstitution'sConference.
IftheInstitutionisamemberofanyConference,theConferenceshallpurchaseaminimumofOneHundredFifty(150)ticketswithseatlocationsshownonExhibit1.ThepriceofsuchticketspurchasedbytheInstitution'sConferenceshallbethesameasthatpaidbytheInstitutionforcomparableseatlocations.
4.3Suites.
TheBowlshallprovidefreeofchargetotheInstitutionone(1)skyboxwithaminimumseatingcapacityofsixteen(16)seats,orsuchdifferentseatingcapacityasmaybeagreeduponbytheBCSbasedonavailability,attheBowlGameVenue.TheBowlshallalsoprovidefreeofchargetotheInstitution'sConference,ifany,one(1)additionalskyboxwiththesameseatingcapacityattheBowlGameVenue.TicketsforsuchskyboxeswillnotbecountedintheaggregaterequiredforpurchaseunderSections4.1and4.2above.TheInstitutionandtheConferenceshallberesponsibleforallcateringchargesincurredinconnectionwithuseoftheskyboxes.
4.4StadiumAdmissions.
TheBowlshalladmitthefollowingpersonstotheBowlGameVenuefreeofcharge:
(a)
Allstudent-athletescertifiedbytheInstitutionasbeingeligibleforcompetitionintheBowlGame;
(b)
Nomorethansixty(60)coaches,trainers,medical,security,andmanagerialpersonnelaccompanyingtheInstitution'sfootballteam,allofwhomshallhaveaccesstotheteamareaoftheplayingfield;
(c)
AllmembersoftheInstitution'smarchingbandandallpersonnelaffiliatedwiththeInstitution'smarchingband(suchasthebanddirectors)inperformerseats,providedthat,attheBowl'selection,theymaybeseatedinspectatorseatsforwhichtheInstitutionshallpurchasetickets;
(d)
One(1)personservingastheInstitution'smascotanddressedinuniform;

(e)
One(1)personservingastheinstitution'scheerleadingcoach;and
(f)
Nomorethantwenty(20)cheerleadersrepresentingandsponsoredbytheInstitutionanddressedinuniform.
(g)
InadditiontothepersonslistedinSection4.4(a)-(f),theInstitutionshallbepermittedtoinvitenomorethanfive(5)personstoviewthegamefromtheteamareaonthesidelinesattheBowlGameVenue.Asaconditionofissuingacredentialtosuchpersonstoviewthegamefromthesidelines,theInstitutionshallrequireeachsuchpersonindividuallytoexecuteawaiverofliabilitysubstantiallyintheformofExhibit2.
ArticleVTeamArrival5.1TeamArrival.
ThemembersoftheInstitution'sfootballteam,footballcoachesandstaffshallarriveintheMiami,Floridaareanolaterthan6:00P.M.localtimeatleastsix(6)daysprecedingtheplayingoftheBowlGame.
ArticleVIHotelAccommodationsandHospitalitySuites6.1HotelAccommodationsforInstitution.(a)
TheBowlshallarrangefor,andtheInstitutionshalltake,onehundredfifty(150)roomsatafirstclasshotelresorttobemadeavailabletomembersoftheInstitution'sfootballteam,football.coachesandstaff,fromarrivaluntildeparturewithaminimumstayofsix(6)nights.SuchroomsshallbeatthehotelpropertyandroomrateshownonExhibit3,whichisattachedheretoandmadeaparthereof.TheInstitutionshallberesponsibleforallcostsanddamagesrelatedtothoserooms.InadditiontoarrangingfortheaforementionedroomstobemadeavailabletotheInstitution,theBowlwillprovidetotheInstitution,freeofcharge,three(3)suitesatthesamehotelpropertyforthedurationofsuchteam'sscheduledstay.
(b)
TheBowlshallarrangefor,andtheInstitutionshalltake,onehundredtwenty-five(125)roomsatthesamehotelresorthousingitsfootballteam,footballcoaches,andstafftobemadeavailabletotheInstitution'sOfficialParty,withaminimumstayofthree(3)nights,oneofwhichshallbegamenight.SuchroomsshallbeatthehotelpropertyandroomrateshownonExhibit3.TheInstitutionshallberesponsibleforallcostsanddamagesrelatedtothoserooms.
(c)
TheBowlshallarrangefor,andtheInstitutionshalltake,onehundredtwenty-five(125)roomstobemadeavailabletotheInstitutionformembersoftheInstitution'smarchingband(includingbanddirectorsandotherpersonnelaffiliatedwiththeInstitution'smarchingband),cheerleaders,mascot,andotherguestsrepresentingtheInstitutionforaminimumstayofthree(3)nights,oneofwhichshallbegamenight.Suchroomsshallbeatthefirst-classhotelpropertyandroomrateshownonExhibit3.TheInstitutionshallberesponsibleforallcostsanddamagesrelatingtothoserooms.
