AgreementWHEREAS,onJuly27,20Q9,MerylRose,JonathanLeeandLoisFosterfiledaComplaintagainstBrandeis

theSupremeJudicialCourtofMassachusetts,whichwastransferred
to
SuffolkCountyProbateandFamilyCourt.andlateramended
to
addGerald

(the"Action");
.WHEREAS,
BrandeisPresidentFrederickLawrence
and
thePlaintiffshaveengagedinaseriesofconstructiveandcollegialconversationsabouttheRoseArtMuseum(the
"Museum"
orthe"Rose")andits
future;
andWHEREAS,
in
viewofthesepositivedevelopments,theParties
hereby
wishtoresolvetheirdispute
by
enteringintothisAgreementandusingtheirbesteffortstosupportthegoalsofthe
Museum;
NOWTHEREFORE,thePartieshaveagreed
to
resolveandsettletheirdifferencesunderthefollowingtermsandconditions:1.
The
RoseArtMuseym.ThePartiesagree
that
theRoseis--andwillremain--auniversity
art
museumopentothepublic,professionallystaffed,anddedicatedtoitsprim~
 
purposeofcollecting,preserving.studyingandexhibitingflne
art.
TheMuseumisrenownedforitscollectionofmodemandcontemporaryart,includingworksbymanyworldrenowned
artists.
The
RoseisandwillremainanactiveandvaluedpartofBrandeis;contributingto
its
broadereducationalmissionbyprovidingfacultyandstudentswiththeopportunityto
view
andgainanappreciationofmodemandcontemporary
art
fromtheMuseum's
great
collection,itsexhibitions,classes,programs,catalogues,andlectures.TheprogramsoftheRosewillcontinuetoadheretotheoverallmissionoftheUniversity,embracing
its
valuesofacademicexcellence,socialjustice,andfreed~mof
expression,
In
keepingwiththesepurposes,Brandeiswill-hireandemployaDirectorsuitable'andwell-qualifiedtoachievetheRose'spurposeswiththetitleofThe
Henry
andLoisFosterDirectoroftheRose
Art
Museum.TheDirectorwillhaveaparticularexpertiseinmodernandcontemporaryart.Brandeisfullyintends
to
continuetomaintain'theMuseuminaccordance
with
theseterms.Brandeishasnoaim,plan,design,strategyorintention'tosellanyartworkdonatedtoorpurchasedbytheUniversityonbehalfoftheMuseum.2.Plaintiffs.PlaintiffSaregenerousbenefactorsandsupportersofBrandeisanditsRose
Art
Museum,aswerePlaintiffs'decedents,
Dr.
Henry
FOsterandMrs.MildredLee.a.GeraldandSandraFinebergareworld-class
art
collectorsandphilanthropistswhohavefundedthecurrentextensiverenovationsprojectattheRose,which
will
enhancetheappearanceoftheoriginalbuilding.makeitmoreenergyefficientandcreateabetterphysicalenvironmentforworksof
art,
includingtheMuseum's
art
collection.Therenovatedspaceswillbeopened
in
thefallof2011,installed
with
theMuseum's50
th
anniversaryexhibition.
In
appreciationfortheFinebergs'generous
gift
andfor
Mr.
Fineberg'sgenerousserviceastheChairmanoftheRose'sBoardofOverseersandtoresolveMr.Fineberg'sclaims
in
theAction,theFlnebergsherebyagree
to
release
and
relinquishtheirclaimsintheAction,
in

returnforwhichBrandeisagreestodoublethesizeoftheplaqueintheFinebergs'honorontheupper
gaHery
andtoplaceitinaprominentposition.
In
addition.theFinebergsagree
to
permittheircounselinthiscase
to
executetheStipulationofDismissal
with
prejudice
in
theform'attachedheretoendingtheAction.b.LoisFosterhasbeenthebelovedandtirelessbenefactressoftheMuseumforseveraldecades.Sheandherlatehusband,
Dr.Henry
Foster,fundedthedesign.constructionandmaintenanceoftheLoisFosterWing,whichhasallowedtheMuseum.toshowespeciallylargeandcutting-edgeworksof~odemandcontemporaryart.LoisFosterisfamousforhergracious,well-informedpresenceatMuseumeventsandthelovelythank-younotesshehassenttoeverydonortotheMuseum.Dr.FosterwasanequallybelovedmemberoftheBrandeisUniversityBoardofTrusteesforoverthirty-fiveyears,servingasChair
from
1979to1985.The
Fosters
alsofundedtheHenryandLoisFosterDirector
of
theRoseandprovidedthefundingfortheFosterMaintenanceFund.LoisFosterherebyagreestoreleaseandrelinquishherclaimsintheAction.
In
addition,
Mrs.
FosteragreestopermithercounselonthismattertoexecuteaStipulationofDismissalwithprejudiceintheformattachedheretoendingtheAction.c.JonathanLeeandhiswife,Barbara,arelong-timedonors
to
theMuseum,andJonathanservedasChairoftheRoseBoardofOverseersfrom2007to2010.Anexperiencedmuseumsupporter.hesitsontheboardsoftheWhitneyMuseumandtheAspen
Art
Museum.Hisacumenin
art
derivedoriginallyfromhislatemother,MildredC"Micki")Lee'steaching.MickiLee,whowasanextraordinarilyastuteartcollectorand
gallery
owner,becamedeeplyinvolvedinMuseumactivitiesshortlyafterthefounding,
and
gavemanyprizedworksof
art,
Amongtheseis.acollectiondonated
in
honorofherbrother.
Robert
Schiff,tobeloaned
to
Brandeisundergraduate'Sfortheirrooms,aprogram
that
isstill
in
placetoday.
