LOMELI,anindividual("InterimCityManager").WHEREAS,theCityCouncildesirestocontractwithLomelitoserveinthepositionofInterimCityManagerfortheCitytotemporarilyfillthepositionoftheretiringcitymanager,whichpositionisprescribedbystatelawandtheCity'sCharterandMunicipalCode;WHEREAS,theInterimCityManagerdesirestoperformandassumeresponsibilityfortheprovisionsofprofessionalservicestotheCityanditsaforementionedrelatedagencies;WHEREAS,thepartieswishtoestablishthetermsandconditionsofLomeli'sservicestotheCityanditsaforementionedrelatedagenciesthroughthisAgreement;NOW,THEREFORE,inconsiderationofthemutualcovenantscontainedherein,CityandLomeliherebyagreeasfollows:
AGREEMENT1.0EMPLOYMENT
&
DUTIES
1.1Duties.CityherebycontractsLomeliasInterimCityManagerfortheCity.AsInterimCityManager,LomelishallperformthefunctionsanddutiesofcitymanagerasspecifiedintheCity'sCharterandMunicipalCodeandintheGovernmentCodeoftheStateofCalifornia,andperformsuchotherlegallypermissibleandproperdutiesandfunctionsastheCityCouncilshall,fromtime-to-time,directorassign.1.2WorkSchedule.LomelishallworkduringCity'scurrentregularworkschedule,8:00a.m.to6:00p.m.MondaythroughThursday.Additionally,Lomelishallattendmeetingsoutsideofnormalbusinesshours,asnormallyattendedbythecitymanager,includingbutnotlimitedto,CityCouncilandPlanningCommissionregularorspecialmeetingsorworkshops.Accordingly,althoughInterimManager'sdutiesmayrequireinexcessoffortyhoursperweek,InterimManagershallnotbeentitledtoadditionalcompensationforsuchextratime.InexchangeandconsistentwiththeFairLaborStandardsAct,InterimCityManagershallbeallowedsomeflexibilitytotaketimeoffforpersonalreasons,whichmaybeusedinhisreasonablediscretionsoasnottointerferewithCityduties;providedthatanyfulldayoffwillbedeductedfromhispro-ratedCompensation.1.3EmploymentStatus.LomelishallserveatthewillandpleasureoftheCityCouncilandunderstandsheisan"at-will"employeesubjecttosummarydismissalwithoutanyrightofnoticeorhearing,includinganyso-calledSkellyhearing.CitymayterminatethecontractwithLomeliatanytime,assetforthinSection3.3below.

1.4CityDocuments.Alldata,studies,reportsandotherdocumentspreparedbyLomeliwhileperforminghisdutiesduringthetermofthisAgreementshallbefurnishedtoandbecomethepropertyoftheCity,withoutrestrictionorlimitationontheiruse.Allideas,memoranda,specifications,plans,procedures,drawings,descriptions,computerprogramdata,inputrecorddata,writteninformation,andothermaterialseithercreatedbyorprovidedtoLomeliinconnectionwiththeperformanceofthisAgreementshallbeheldconfidentialbyLomelitotheextentpermittedbyapplicablelaw,andexceptasmayberequiredbyanygovernmentalagencyorcourtofcompetentjurisdiction.Suchmaterialsshallnot,withoutthepriorwrittenconsentoftheCityCouncil,beusedbyLomeliforanypurposesotherthantheperformanceofhisduties.Provided,furtherthatnosuchmaterialsmaybedisclosedtoanypersonorentitynotconnectedwiththeperformanceofservicesunderthisAgreement,exceptasrequiredby(a)law,(b)anygovernmentalagency,(c)subpoena,or(d)anorderissuedbyacourtofcompetentjurisdiction,
2.0COMPENSATIONANDREIMBURSEMENT
2.1Compensation.FortheservicesrenderedpursuanttothisAgreement,LomelishallbecompensatedOneHundredEightyThousandDollars($180,000.00)annually,whichshallbepaidonapro-ratedbasisbi-weeklyatthesametimeasotheremployeesofCityarepaid.Suchsalaryshallbeadjustedforpayrolltaxes,workers'compensationandotherpayroll-relatedliabilitycosts.SuchamountshallbeLomeli'ssolecompensationforhisservicesunderthisAgreement.Lomeliisnotentitledtoadditionalcompensationforattendanceatmeetingsoutsideofnormalbusinesshours,includingbutnotnecessarilylimitedto,CityCouncilandPlanningCommissionregularorspecialmeetingsorworkshops.ThepartiesunderstandandherebyagreethatLomelishallnotbeentitledtothebenefitsprovidedbytheCitytoitsemployees,includingbutnotlimitedto,paidvacation,medicalinsurance,dentalinsurance,lifeinsurance,deferredcompensation,disabilityinsurance,PERSbenefits,PARSbenefits,unemploymentinsuranceorretirement.LomelishallnotbesubjecttotheCity'sPersonnelRulesandRegulations.2.2ReimbursableExpenses.LomelishallnotbeentitledtoreimbursementforanycostsorexpensesincurredintheperformanceofLomeli'sdutiesunderthisAgreement,unlesssaidcostsandexpenseshavereceivedpriorapprovalbytheCityCouncil,orifthereisinsufficienttimetosecuresuchapproval,bytheMayoroftheCity,andaresupportedbywrittendocumentationinaccordancewiththeestablishedpoliciesandcustomarypracticesoftheCity.2.3ReimbursementforTravel.IftheCityCouncilshouldapprovethatLomeliattendconferencesortraveloutoftownforaconferenceorCitybusiness,theCityshallreimburseLomeliforthereasonable,non-personalbusinessexpensesincurredduringperformanceoftheaforementionedwork,providedwrittendocumentationofallexpensesareprovidedbyLomelipursuanttotheestablishedpoliciesandcustomarypracticesoftheCity.ShouldtherebeinsufficienttimetosecureapprovalbytheCityCouncilasrequiredherein,theMayoroftheCitymayprovidesuchapproval.2
 
3.0
TERM
3.1Term.ThetermofthisAgreementshallcommenceonJune26,2011andterminatesix(6)monthsthereafter;providedthat:(a)IftheCityCouncilappointsapermanentcitymanagerbeforesuchsix(6)months,Lomeli'sservicesshallterminatewithinsuchtimethereafterasthepartiesshallagreeuponinwriting.(b)IfCityCouncildoesnotappointapermanentcitymanagerwithinsixmonthsofthecommencementdateofLomeli'sservicesherein,thetermhereinshallbeextendedforsolongasrequiredfortheCityCounciltoidentifyandappointapermanentcitymanager;providedthatifsuchextensionwouldcauseLomeli'sserviceshereundertoexceedatotalofninehundredsixty(960)hours,thepartiesunderstandthatsuchadditionalserviceissubjecttoapprovalbyPERSperGovernmentCodesection21221(h).Insuchinstance,theCitywillcooperateinLomeli'seffortstosecuresuchapprovalfromPERS.3.2TerminationbyCityorLomeli.TheCityCouncilmayterminatethisAgreementatanytimewithorwithoutcause,withoutnoticetoLomeli.Additionally,LomelimayterminatethisAgreementatanytimewithorwithoutcause,providedheprovidesCityCouncilwithatleasttwoweeksadvancewrittennoticepriortotheeffectivedateoftermination,unlessashorterperiodisacceptabletotheCityCouncil.LomeliexpresslyagreesthatheshallnotbeentitledtoanyseverancepayastheresultoftheterminationofthisAgreementforanyreasonwhatsoever.
4.0CONDITIONSOFCONSULTANT'SSERVICES
4.1ConflictsProhibited.DuringthetermofthisAgreement,Lomelishallnotengageinanybusinessortransactionormaintainafinancialinterestwhichconflicts,orreasonablymightbeexpectedtoconflict,withtheproperdischargeofLomeli'sdutiesunderthisAgreement.Lomelishallcomplywithallrequirementsoflaw,includingbutnotlimitedto,Sections87100etseq.,Section1090andSection1125oftheGovernmentCode,andallothersimilarstatutoryandadministrativerules.4.2IndependentContractor.LomelishallatalltimesbeconsideredanindependentcontractortotheCityandtherelationshipcreatedbythisAgreementisthatofanindependentcontractor.LomelishallnotbeconsideredanagentoremployeeoftheCity.4.3Automobile.CityshallprovideLomeliwithavehicle,fuelandmaintenanceforCity-relateduse,butshallnotusesuchvehicletocommutetotheCity.LomeliunderstandsthatanyapplicabletaxesarehisresponsibilitytopayandnotcoveredbytheCity.5.0
BONDSANDINDEMNIFICATION
5.1Indemnification.Cityshalldefend,holdharmlessandindemnifyLomeliagainstanytort,professionalliability,claimordemand,orotherlegalactionarisingoutofanallegedactoromissionoccurringintheperformanceofLomeli'sservicesunderthisAgreement.ThissectionshallnotapplytoanyintentionaltortorcrimecommittedbyLomeli,toanyaction3
