Liberty Dialysis and Fresenius Medical Care to merge

Hawaii patients will continue to receive high quality dialysis care

Honolulu, Hawaii. Liberty Dialysis Holdings, Inc., one of the owners of Liberty Dialysis Hawaii LLC, and Fresenius Medical Care (FMC), providers of dialysis services throughout the United States, have agreed to merge.

The merger of the dialysis providers creates an unrivaled platform for patients with kidney disease to receive quality care in a changing healthcare environment. Both Liberty Dialysis Hawaii LLC and Fresenius operate dialysis facilities covering all of the major Hawaiian Islands. St. Francis and a number of local physicians will continue as owners of Liberty Dialysis Hawaii LLC, ensuring that local roots remain strong.

There are 2,900 patients currently on dialysis in Hawaii. However, there are over 156,000 residents with Chronic Kidney Disease (CKD) which ultimately leads to dialysis or kidney transplants. Hawaii holds a higher than average rate of CKD, with 1 in 7 people locally affected by this disease, compared to the national average of 1 in 9 people affected with CKD.

"I hope that this merger will continue to assist Hawaii patients in receiving the best care possible," said Rep. Ryan Yamane, mindful of the health and welfare of these patients as Chair of the House Committee on Health.

We are confident that there will be no immediate impact on the delivery of patient care in Hawaii as a result of this merger," said Glen Hayashida, CEO of the National Kidney Foundation of Hawaii. "We will be working closely to ensure that access to care and quality of care to patients will not be compromised." Hayashida is optimistic that Liberty Dialysis Hawaii and FMC will continue their tradition of providing the high quality dialysis care in Hawaii that has consistently exceeded national standards.

Liberty s collegial culture and their integral approach to clinical and operational processes will fit nicely with FMC s focus on introducing new technology solutions to support quality and efficiency improvement in the dialysis clinics," said Frank Maddux, FMC Chief Information Officer. "Mark Caputo, Liberty s co-founder and CEO, and his staff have agreed to continue to play key leadership roles to expand Liberty s successful collaborative model within FMC s system."

The inclusion of new technology to support the development and integration of electronic health records within Hawaii s dialysis system only serves to help transform healthcare within our State further reducing the cost of healthcare, added Representative Yamane.

The parties believe that the transaction will be completed in early 2012.
