ELEVATION Magazine is a subsidiary of Local Dynasty LLC., a recognized entertainment firm that based out of West Hollywood, California. The company was founded by accomplished artist, designer, and beauty expert Juan Markos in 2008. Later, Ching Yu Wong, an awards-winning designer joined force with Markos to excel the company. Markos came up with the concept of Elevation Magazine as a fresh and hip vessel for entertainment, film, design, television fashion, and culture. The magazine is a revered publication that caters to many niche markets. The goal of Elevation magazine is to cover cutting edge design and personality infused editorials on socialites, celebrities, current trends, lifestyle, cooking and beauty. Elevation is ambiguous, with wide array of audiences in all sex, ethnicity, occupations and background. The magazine is currently published online, reaching people around the world. Originally based in Los Angeles, California, we hope to become a national publication as we continue to grow. Through our immense industry presence and involvement, we bring our audience VIP pass to the lives of their favorite personalities. & every issue offers our readers an experience guaranteed to elevate the senses.

ELEVATION SALE AGREEMENT

1. Rates published herein are effective with the issue dated September 1st 2011. Announcement of any rate changes will be made at least six weeks before the issue date of the first issue to which such rates are applicable. Orders for issues thereafter will be at the rates then prevailing. 2. All advertisements must be clearly and prominently identified by trademark and/or signature of the advertiser. Advertisements that stimulate editorial material must be clearly labeled Advertisement ELEVATION MAGAZINE, may at its sole discretion, so label such advertisements. 3. The publisher reserves the right to reject or cancel any advertising order or advertising copy for any reason at anytime, whether or not the same has been acknowledged and/or previously published. 4. Advertiser and agency may not cancel orders after closing dates. Advertiser and agency will be liable for all space reservations and payment thereof, as specified on the insertion order(s). if there is an instance where creative is not available within deadlines, publication has the right to run alternative creative at the cost of the advertiser and/or agency. 5. It is understood that the advertiser and agency are jointly and severally liable for the payment of invoices for advertising published hereunder. 6. Cancellation of any portion of any advertising contract by agency or advertiser or failure to have published the specified number of pages automatically nullifies any rate discount, including previously published advertisements, and may result in short rate. In such event the page rate will be recalculated for the published portion of the order and agency and/ or advertiser must reimburse ELEVATION MAGAZINE for the short rate within 30 days of invoice thereof. 7. A sample of any supplied insert must be submitted to and approved by ELEVATION MAGAZINE before publishing, in accordance with the special units and requirements detailed in this PRESS/MEDIA KIT. Advertiser and or agency shall be responsible for any additional charges incurred by ELEVATION MAGAZINE's specifications. If ELEVATION MAGAZINE is unable to publish the supplied insert as a result of such failure to comply, advertiser and agency shall remain liable for space cost of said insert/invoice thereof.

8. ELEVATION MAGAZINE is not responsible for changes submitted after closing dates or errors in key numbers. 9. Advertiser and agency represent and warrant that they are authorized to publish entire contents and subject matter of the advertisements and the publication and distribution of the advertisements will not defame anyone or violate the trademark, copyright, right of the publicity, or right of privacy or any other proprietary right of any third party. In consideration of the publication of the advertisements, the advertiser and agency will indemnify and save ELEVATION MAGAZINE and LOCAL DYNASTY LLC harmless from and against any loss, claim, or expense arising from the publication of such advertisements, including without limitation those resulting from claims or suits for libel, plagiarism, violations of right of publicity or privacy, infringements of copyright or trademark, or other claim for violation of any propriety right. 10. References to specific sources of availability in Canada are not permitted. 11. Advertiser and agency agree to reimburse ELEVATION MAGAZINE and or LOCAL DYNASTY LLC for any fees and costs incurred by ELEVATION MAGAZINE and or LOCAL DYNASTY LLC in collecting any unpaid charge or portion of the charge for advertisements, including attorney fees and court costs. 12. In consideration of ELEVATION MAGAZINE's consideration of any advertising for publication, the agency and advertiser agree not to make promotional or merchandising references to ELEVATION MAGAZINE in any way except with the prior permission of the publisher in each instance. 13. ELEVATION MAGAZINE shall not be subject to any liability whatsoever for any failure to publish or circulate all or any part of any issues because of strikes, work stoppages, accidents, fires, acts of god, or any circumstances not within control of ELEVATION MAGAZINE OR LOCAL DYNASTY LLC.

14. Any condition on contracts, orders, or copy instructions involving the placement of advertising within an issue of ELEVATION MAGAZINE (such as page location, competitive separation, or placement facing editorial copy) will be treated as a positioning request only. ELEVATION MAGAZINE's inability or failure to comply with any such condition shall not relieve the agency and advertiser of the obligation to pay for the advertising. 15. Orders for cover pages may not be cancelled. Options for cover positions must be exercised at least 30 days before closing date. If order is not received by such date, the cover option automatically lapses. 16. Terms of sale: payment is due within 30 days of the date of invoice. Bills are rendered on or about the on-sale date. Interests will be charged at a rate of 5.5% per month (or the highest rate permissible by law if lower than 5.5%) on past due balances. 17. ELEVATION MAGAZINE reserves the right to cancel any advertising insertions to to non payment of prior obligations. 18. No conditions, printed or otherwise, appearing on contracts, orders, or copy instructions that conflict with the provisions of this PRESS & MEDIA KIT will be binding on ELEVATION MAGAZINE. 19. In this event of errors in or omissions of any advertisement(s), ELEVATION MAGAZINE 's liability shall not exceed a refund of amounts paid to ELEVATION MAGAZINE or LOCAL DYNASTY LLC for advertisement. 20. All issues relating to the advertisements will be governed by the laws of the state of California applicable to contracts to be performed therein. Any action relating to advertising must be brought in the state of federal courts in Los Angeles California, and the parties herby consent to the jurisdiction of such courts.

21. Orders for ELEVATION MAGAZINE- produced inserts are non cancelable without written agreement of ELEVATION MAGAZINE. Should an agreement be reached allowing an advertiser be responsible for the cost of any work performed or materials purchased on behalf of the advertiser, including costs of services. 22. The copyright in any advertisement created by ELEVATION MAGAZINE is owned by LOCAL DYNASTY LLC and may not be otherwise used by the advertiser with out ELEVATION MAGAZINE's prior written consent. Advertiser and agency agree that any advertisements published in ELEVATION MAGAZINE, may, at the publishers option be included in ALL media, weather now in existence or hereafter developed, in which the issue containing the advertisement is published, reproduced, distributed, displayed, performed, or transmitted, in whole or part.
