VisitorsBureau,Inc.,anArizonanon-profitcorporation("SeVB"),andFiestaEvents,Inc.(d.b.a.FiestaBowl),anArizonanon-profitcorporation("FiestaBowl").A.TheFiestaBowlandtheScottsdalecommunityhavehadalong,mutuallybeneficialrelationship.FiestaBow]teamshavestayedinScottsdaleresortsandpracticedatScottsdale-areafacilitiesforthepasttwodecades.B.SCVBandFiestaBowldesiretoenterintoanAgreementwherebybothFiestaBowlfootballteamswilllodgeandpracticeintheScottsdaleareaforthenexttwenty(20)FiestaBowlgamesbeginninginJanuary2007.SCVBandFiestaBowldesiretoenterintoanAgreementwherebybothfootballteamsthatparticipateinthenextfive(5)BowlChampionshipSeries(orcommensurategoverningbody's)NationalChampionshipgamesstagedinMaricopaCounty;ArizonawilllodgeandpracticeintheScottsdaleareaatanytimethesegamesoccurbeginninginJanuary2007.SCVBandFiestaBowldesiretoenterintoanAgreementwherebyoneInsightBowlfootballteamwilllodgeandpracticeintheScottsdaleareaforatleastthenextfour

LodgingforFiestaBowlandNationalChampionshipteamsmustmeetBowlChampionshipSeries'(orcommensurategoverningbody's)customarystandardswithteamsassignedtoresortsasoutlinedinSection
1.1
ofthisAgreement.Theteamsincludethetravelingpartyrepresentingtheparticipatingteams,includingalluniversityathletes,coachesandofficialsrepresentingthefootballteams.

Arizonamunicipalcorporation

promotingScottsdale

ScottsdaleduringtheFiestaBowlandatothertimes.NOWTHEREFORE,inconsiderationofthemutualpromisesandobligationssetforthherein,thepartiesheretoagree
as
follows:
1.HOSTING.
FiestaBowlshalldothefollowingduringtheentiretermofthisagreement:

FiestaBowlshallcausebothFiestaBowlandbothNationalChampionshipteamstolodgeduringthemajorityoftheirvisittoArizonainresortsthatpaybedtaxtoCityortotheTownofParadiseValley.FiestaBowlshallalsocauseoneInsightBowlteamtolodgeduringthemajorityoftheirvisittoArizonainaresortthatpaysbedtaxtoCityortotheTownofParadiseValleyforthenextfourInsightBowlgamesbeginning
in
December2006.ShouldFiestaBowlnotbeabletosecurelodgingforbothFiestaBowlandbothNationalChampionshipteamsinCityorTownofParadiseValleyresortsthat

meetsBowlChampionshipSeries'(orcommensurategoverningbody's)customarystandards,FiestaBowlshallhavetherighttolocateoneFiestaBowlteamperyearoroneNationalChampionshipteamperyearinyearswhenaNationalChampionshipgameisstagedinMaricopaCounty,Arizona,inaSCVB-memberresortthatdoesnotpaybedtaxtoCityorTownofParadiseValley.FiestaBowlisrequiredtoexhaustallpossibilitiesforlodgingwithinresortsthatpaybedtaxtoCityorTownofParadiseValleypriortoconsiderationofSCVB-memberresortsthatdonotpaybed

toCityorTownofParadiseValley.ShouldFiestaBowlcauseaFiestaBowlorNationalChampionshipteamtolodgeinaSCVB-memberresortthatdoesnotpaybedtaxtoCityorTownofParadiseValley,FiestaBowl,inthatyear,shallcauseaminimumofoneadditionalFiestaBowlgroupasdefined
in
Section1.4tolodgeforthemajorityoftheirvisittoArizonain
a
hotelorresortthatpaysbedtaxtoCityortotheTownofParadiseValley.

FiestaBowlshallcausebothFiestaBowlandbothNationalChampionshipteamstoconductthemajorityoftheirpractices,scrimmagesandrehearsalsatfacilitieswithinCityand/orinfacilitiesnearCitythataremutuallyagreeablebetweenSCVBandFiestaBowl.FiestaBowlshallalsocauseoneInsightBowlteamtoconductthemajorityoftheirpractices,scrimmagesandrehearsalsatfacilitieswithinCityand/orinfacilitiesnearCitythataremutuallyagreeablebetweenSCVBandFiestaBowlforthenextfour(4)InsightBowlfootballgamesbeginninginDecember2006.CityandSCVBagreetonotunreasonablywithholdapprovalofpracticesitesnecessarytoprovidethebestservicepossibletoFiestaBowl,NationalChampionshipandInsightBowlteams.

FiestaBowlorInsightBowl-relatedgroupsperyearrepresentingaminimumof2,000hotelorresortroomnightsperyeartolodgeduringthemajorityoftheirvisittoArizonainresortsthatpaybedtaxtoCityortotheTownofParadiseValley.

ofthesegroupsperyear,representingaminimumof1,200hotelorresortroomnightsperyear,mustbeaffiliatedwiththeFiestaBowl,insteadoftheInsightBowl.InthoseyearsthatFiestaBowlstagesaNationalChampionshipgameinMaricopaCounty,Arizona,FiestaBowlshallalsocauseaminimum
of'five
(5)NationalChampionship-relatedgroupsperyearrepresenting
a
minimumof2,000hotelorresortroomnightsperyear,tolodgeduringthemajorityof.theirvisittoArizonainresortsthatpaybedtaxtoCityortotheTownofParadiseValley.AsoutlinedinSection1.1,shouldFiestaBowlcauseaFiestaBowlorNationalChampionshipteamtolodgeinaSCVB-memberresortthatdoesnotpaybedtaxtoCityorTownofParadiseValley,FiestaBowl,inthatyear,shallcauseaminimumofoneadditionalFiestaBowlorNationalChampionship,notInsightBowl,grouprepresenting
a
minimumof400hotelorresortroomnightstolodgeforthemajorityoftheirvisittoArizonainahotelorresortthatpaysbedtaxtoCityortotheTownofParadiseValley.Forpurposesofthisparagraph,agroupconsistsofablockofhotelorresortroomnightsdocumentedbyFiestaBowlandconsumedbymedia,universityalumniassociations,universitytouroperatorgroups,universitybands,corporateandsponsorgroups,

televisionnetworks,BowlChampionshipSeries(orcommensurategoverningbody)orconferenceofficials,whotraveltoMaricopaCounty,ArizonafortheprimarypurposeofattendingorparticipatingintheFiestaBowl,NationalChampionshiporInsightBowlgames.FiestaBowl,NationalChampionshipandInsightBowlteamsareexcludedfromthisdefmitionofagroupandareaddressedseparatelyinthisAgreement.Forpurposes.ofthisparagraph,aroomnightisonehotelorresortroomconsumedforonenight.2.PROMOTION.FiestaBowlshallprovidetoSCVBandCitythefollowingpromotionalbenefitsduringtheentiretermofthisagreement:2.1SCVBshallbetheexclusiveconventionandvisitorsbureauandhotelreservationsservicelistedandlorpromotedbyFiestaBowlfortheFiestaBowlandNationalChampionshipgames.2.2FiestaBowlshallpromotewithinallFiestaBowlpromotionalandcollateralmaterials,andanyNationalChampionshipgamepromotionalandcollateralmaterialsproducedbyFiestaBowl,theSCVB'swebsiteaddressforanaccommodations-bookingpagelocatedonwww.experiencescottsdale.com.2.3FiestaBowlshallreferallFiestaBowlandNationalChampionshipgamecustomers,includingcallersande-mailinquiries,seekingaccommodationsinformationtotheaccommodations-bookingpageonwww.experiencescottsdale.com.2.4FiestaBowlshallprovideaprominentlinkfromthehomepageofitswebsitetoSCVB'saccommodations-bookingpageonwww.experiencescottsdale.com.2.5FiestaBowlshallpromotetheaccommodations-bookingpageonwww.experiencescottsdale.comtoallincomingFiestaBowlandNationalChampionshipgamegroups,suchasalumniassociations,boostergroups,dignitariesandfans.2.6FiestaBowlshallgrantSCVBpowertoappointonerepresentativetobepartofanycommitteethatinvolvescommunicating/meetingwithFiestaBowlandNationalChampionshipgamegroupsregardinggame-relatedaccommodations.FiestaBowlorInsightBowlofficialsshallremainthesolepointofcontactfordiscussionswithbowls'footballteams,theBowlChampionshipSeries,BowlChampionshipSeries'conferencesandtelevisionnetworksforlodgingarrangements.2.7FiestaBowlshallallowSCVBtotakepartinanypromotionaltripsscheduledbyFiestaBowltothemarketsoftheparticipatingorproposedparticipatingteamsforFiestaBowlandtheNationalChampionshipgame.SCVBwillpayforallofitsexpensesrelatedtothesetrips.2.8FiestaBowlshallcauseSCVBtoreceiveaminimumoffive(5)publicaddressannouncementsduringeachFiestaBowlandeachNationalChampionshipfootballgame.TheFiestaBowlandSCVBshallmutuallyagreeastothecontentofthesemessages.
