“[Company]”[Address][City], [State] [Zip Code]in consideration of the promises made herein and intending to be legally bound, agree as follows:
1.Maintenance Services
[Company] shall maintain and service the computer equipment listed on the Exhibit A attached to thisAgreement and incorporated in this Agreement by reference (the “Equipment”) and keep the Equipmentin good working order. [Company] shall provide scheduled preventive maintenance during regular  business with the schedule to be based on the specific needs of the Equipment as determined by[Company]. In addition, [Company] shall provide unscheduled remedial maintenance (“on-call service”)as and when needed. Both scheduled and unscheduled service maintenance shall include the following:
Repairing damage resulting from, or furnishing parts required as a result of, causes other than ordinarywear and tear including, without limitation, neglect, misuse (including faulty repair or maintenance byunauthorized parties), accidents, failure of electrical power, air conditioning, humidity control, or acts of God.
[Company] shall furnish the parts as necessary, and subject to prevailing prices.
