SEPARATIONAGREEMENTANDGENERALRELEASE
ThisSeparationAgreementandGeneralRelease("Agreement")isknowingly,willingly,andvoluntarilyenteredintobyJeffreyHathaway("Hathaway")andtheUniversityofConnecticut,andallofitsparent,subsidiary,andrelatedcompanies,entitiesoraffiliates,directors,successors,agents,representatives,andassociates(collectivelyreferredtoas"UCono").Whereas,HathawayhasbeenemployedbyDConnasAthleticDirector,andHathawayandUConnmutuallywishtoprovidefortheorderlycessationofHathaway'semploymentwithUConn,andtoresolveamicablyandwithoutresorttolitigationorarbitrationanyandallclaimsanddisputeswhichHathawayorUConnmayhavearisingfromoroutofHathaway'semployment,theconclusionofhisemploymentwithUConn,andallothermattersbetweenUConnandHathaway;andWhereas,HathawayandUConnmutuallyenterintothisAgreement;Now,therefore,inconsiderationofthemutualpromisescontainedinthisAgreement,andforgoodandvaluableconsideration,receiptofwhichisdulyacknowledgedbybothparties,HathawayandUConnagreeasfollows:1.ThisAgreementsupersedesthatcertainUniversityofConnecticutAthleticDirectorAgreementdatedMay9,2006(the"EmploymentAgreement")andanyothercontractoragreement,writtenororal,expressorimpliedandanypastpracticesbetweenHathawayandUConn.Subjectonlytotheprovisionsofparagraph14herein,thisAgreementshallbeeffectiveuponsigningbybothparties.2.Subjectonlytotheprovisionsofparagraph14herein,effectiveimmediately,HathawayretiresfromhispositionasAthleticDirectorandresignsfromanyUConn-affiliatedboardsororganizations.Toassist
in
anorderlytransition,HathawayshallremainemployedbyUConnuntilSeptember15,2011,servingasanadvisoronathleticsandherebyretiresfromemploymentwithUConnasofSeptember15,2011.UntilSeptember15,2011,HathawayshallcontinuetoreceivethesamecompensationtowhichhewasentitledpriortotheexecutionofthisAgreement.Hathaway'sspecificduties,worklocaleandauthoritypriortoSeptember15,2011willbedeterminedbyUConn,includinganyreimbursabletravel.OnoraboutSeptember15,2011UConnshallpayHathawaythepro-ratedvalueoftheMediaAvailabilityportionofhiscompensationearnedorthatotherwisewouldhavebeenearnedpursuanttotheEmploymentAgreementthroughandincludingSeptember15,2011.3.SubjecttotheoffsetdescribedhereafterforcompensationearnedbyHathawayfromotheremploymentinajobrelatedtoathleticsduringthesubjectperiod,afterSeptember

15,2011,DConnshallpayHathawayinbiweeklyinstallments,thecompensationhewouldhaveearnedoveroneyearundertheEmploymentAgreementwithVConn(includingbasesalaryof$351,717plusmediaavailabilitypaymentsof$179,860,or$531,717.00total).EachsuchbiweeklypaymentshallbereducedbyanamountequaltothecompensationandbenefitsHathawayactuallyreceivesfromotheremploymentprovidedsaidemploymentisinajobrelatedtoathletics.InnoeventwillsuchpaymentscontinuepastSeptember15,2013regardlessofwhetherthepaymentstoHathawayhavereached$531,717.UndernocircumstancesshallsuchpaymentstoHathawayexceedatotalof$531,717.Thebiweeklypaymentsduringthisperiodshallnotbedeemedcompensationforpurposesofdeterminingorcalculatinganypensionbenefits.Hathawaywillpromptlyprovide,withoutbeingasked,completedocumentationofanycompensationandbenefitshereceivesduringthisperiodfromotheremploym~ntprovidedsaidemploymentisinajobrelatedtoathletics.4.OnoraboutSeptember15,2011VConnshallmakeonelumpsumpaymenttoHathawayintheamountoftheemployeecostofcontinuingHathaway'sexistinghealthanddentalcoverageunderCOBRAforthedurationofsuchCOBRAcoverage,eighteen(18)months.ThisamountwillnotbeincreasedevenifthecostofCOBRAcoverageincreasesinthefuture.5.OnoraboutSeptember15,2011Hathawayshallbepaidforaccruedandunusedvacationtimeaccrueduptoamaximumof120daysataratebasedonhistotalannualcompensationof$531,717.00.6.Foracademicyears2011-12and2012-13oruntilgraduation,whicheveroccursfirst,HathawayshallcontinuetoreceivetuitionremissionfromDConnforonestudentfamilymembertoattendDConn.7.Thepending"360"evaluationprocesshasbeenterminatedpriortoitscompletion.DConnisoftheviewthatthedraft360Evaluationiseitherexemptfromdisclosureornotapublicrecord.DConnshallnotvoluntarilydisclosethedraft360EvaluationpursuanttotheConnecticutFreedomofInformationAct("FOIA")oronanyothervoluntarybasis.DConnshallopposesuchdisclosureinanyadministrativeproceeding,andcooperatewithHathawayorhiscounselinopposingsuchdisclosure.ThepartiesagreethatHathaway'Sandhisattorneys'responsestothedraft360Evaluationpreviouslysubmittedareequallyapartofthepersonnelevaluationandeitherexemptfromdisclosureornotapublicrecord.Shouldthedraft360Evaluationbereleasedatanytime,Hathawayshallhavetheright,butnottheobligation,toreleaseHathaway'sandhisattorneys'responsetothedraft360Evaluationaspreviouslysubmitted.

8.UnlesscompelledbylegalprocessoranNCAAinvestigation,HathawayagreesthatheshallnotmakeanyderogatoryordefamatorystatementsabouthisemploymentatUConn,aboutLlConn,aboutanypreviousorcurrentemployeeorofficerofUConn,oranypreviousorcurrentmemberofUConnBoardofTrustees.HathawayshallcooperatefullywiththeUniversityand/ortheNCAAinconnectionwithanyinvestigationand/orhearingthatmayarisefromanyallegedviolationofNCAArulesthatallegedlyoccurredduringhistenureasUConnAthleticDirectororconsultantonathletics,andnothinginthisAgreementshallbeconstruedaslimitingorinfluencingHathaway'scooperationortestimonyinanysuchproceedingorinvestigation.Similarly,unlesscompelled
by
legalprocessorNCAAinvestigationconcerningeventsoccurringduringHathaway'Semployment,UConnagreesthatitshallnotmakeanyderogatoryordefamatorystatementsaboutHathawayandlorhisemploymentatUConn.IntheeventofsuchNCAAinvestigation,UConn,likeHathaway,shallcooperatefullywiththeNCAAinconnectionwithanyinvestigationandlorhearing,andUConnshallprovideHathawaywithlegalrepresentationinaccordancewithcontrollingstatelaw.Nothinghereinshallpreventeitherpartyfromprovidinganappropriateandmeasuredresponsetoadefamatoryorderogatorystatementbyanyone.9.NeitherHathawaynorUConnwillissueanypressreleaseorotherwrittenpublicannouncementrelatingtothisAgreementwithoutthepriorapprovaloftheotherparty,includingapprovalofthecontentsofanysuchreleaseorannouncement.Suchapprovalsshallnotbeunreasonablywithheld.10.UConnagreestosupportandnottointerferewithanyeffortsHathawaymayengageintomaintainhismembershipon,orchairmanshipof,theNCAABasketballCommittee.11.BothHathawayandUConnacknowledgethateachhasreadandreviewedthetermsofthisAgreement,includingthewaiverandreleaseofclaims,andeachhasconsultedwithcounselregardingthisAgreement.BothHathawayandUConnagreeandacknowledgethateachhassignedthisAgreementknowingly,voluntarily,therehavingbeennothreatorinducementtowithdraworalterthetermsembodiedhereinortoprovidedifferenttermsforsigningandtherehasbeennofraudormisrepresentationbyeitherparty.HathawayexpressesacknowledgesandagreesthatUConnoweshimnopaymentorbenefitsotherthanassetoutbythisAgreement,thatallpaymentspursuanttothisAgreementshallbesubjecttoallwithholdingasrequiredbylawandUConnpolicy,andthathebearssaleresponsibilityforalldirectorindirecttaxconsequencesofthepaymentsmadetohimunderthisAgreement.12.
In
considerationofthetermsandconditionsdescribedinthisAgreement,Hathawayforhimself,hisheirs,representativesandassignsherebyirrevocably,voluntarilyandknowingly,covenantsnottosue,andreleasesandforeverdischargestheUniversityand
