ThisCITYMANAGEREMPLOYMENTAGREEMENT("Agreement")iseffectivethe

dayofNovember,2011,byandbetweentheCITYOFIRWINDALE,achartercityandmunicipalcorporation("City")andJohnDavidson,anindividual("CityManager").WHEREAS,theCityCouncildesirestoemployCityManagertoserveinthepositionofcitymanagerfortheCity,whichpositionisprescribedbystatelawandtheCity'sCharterandMunicipalCode;WHEREAS,CityManagerdesirestoperformandassumeresponsibilityfortheprovisionsofprofessionalservicestotheCityanditsaforementionedrelatedagencies;WHEREAS,thepartieswishtoestablishthetermsandconditionsofCityManager'sservicestotheCityanditsaforementionedrelatedagenciesthroughthisAgreement;NOW,THEREFORE,inconsiderationofthemutualcovenantscontainedherein,CityandCityManagerherebyagreeasfollows:
AGREEMENT1.0EMPLOYMENT
&
DUTIES
1.1Duties.CityherebyemploysCityManagerascitymanagerfortheCitytoperformthefunctionsanddutiesofthecitymanager,asspecifiedintheCity'sCharterandMunicipalCodeandintheGovernmentCodeoftheStateofCalifornia,andtoperformsuchotherlegallypermissibleandproperdutiesandfunctionsastheCityCouncilshall,fromtime-to-time,directorassign.CityManagershalldevotehisbesteffortsandfull-timeattentiontoperformanceoftheseduties.1.2WorkSchedule.
It
isrecognizedthatCityManagerisexpectedtoengageinthehoursofworkthatarenecessarytofulfilltheobligationsoftheposition,mustbeavailableatalltimes,andmustdevoteagreatdealoftimeoutsidethenormalofficehourstothebusinessoftheCity.CityManageracknowledgesthatproperperformanceofthedutiesoftheCityManagerwillrequireCityManagertogenerallyobservenormalbusinesshours,assetbytheCityandmaybedulyrevisedfromtime-to-timeandwillalsooftenrequiretheperformanceofnecessaryservicesoutsideofnormalbusinesshours.Notwithstandingtheforegoing,theCitywillpermitCityManagersuchreasonable"timeoff'asiscustomaryforexemptemployeesoftheCitysolongasthetimeoffdoesnotinterferewithnormalbusiness.1.3EmploymentStatus.CityManagershallserveatthewillandpleasureoftheCityCouncilandunderstandsheisan"at-will"employeesubjecttosummarydismissalwithoutanyrightofnoticeorhearing,includinganyso-calledSkellyhearing.CitymayterminatetheemploymentofCityManageratanytime,assetforthinSection3.3andSection3.4below.CityManagershallnotbesubjecttotheCity'sPersonnelRulesandRegulations.

1.4CityDocuments.Alldata,studies,reportsandotherdocumentspreparedbyCityManagerwhileperforminghisdutiesduringthetermofthisAgreementshallbefurnishedtoandbecomethepropertyoftheCity,withoutrestrictionorlimitationontheiruse.Allideas,memoranda,specifications,plans,procedures,drawings,descriptions,computerprogramdata,inputrecorddata,writteninformation,andothermaterialseithercreatedbyorprovidedtoCityManagerinconnectionwiththeperformanceofthisAgreementshallbeheldconfidentialbyCityManagertotheextentpermittedbyapplicablelaw,andexceptasmayberequiredbyanygovernmentalagencyorcourtofcompetentjurisdiction.Suchmaterialsshallnot,withoutthepriorwrittenconsentoftheCityCouncil,beusedbyCityManagerforanypurposesotherthantheperformanceofhisduties.Provided,furtherthatnosuchmaterialsmaybedisclosedtoanypersonorentitynotconnectedwiththeperformanceofservicesunderthisAgreement,exceptasrequiredby(a)law,(b)anygovernmentalagency,(c)subpoena,or(d)anorderissuedbyacourtofcompetentjurisdiction.1.5FLSAExemptStatus.CityManageragreesthathispositionisthatofanexemptemployeeforthepurposesoftheFairLaborStandardsAct.
2.0COMPENSATIONANDREIMBURSEMENT
2.1Compensation.FortheservicesrenderedpursuanttothisAgreement,CityManager'sbaseannualcompensationshallbeOneHundredEightyFiveThousandDollars($185,000.00)annually,whichshallbepaidonapro-ratedbasisbi-weeklyatthesametimeasotheremployeesofCityarepaid.Suchsalary(collectively,"Salary")shallbeadjustedforpayrolltaxes,workers'compensationandotherpayroll-relatedliabilitycosts.2.2AnnualSalaryReview.CityCouncilandCityManageragreetoconductanannualsalaryreviewconcurrentlywiththeannualperformanceevaluationsetforthinSection5.2.2.3EffectuatingSalaryAdjustment.CityCouncilandCityManageragreethatCityManagershallnotbeentitledtoso-calledcostofliving("COLA")adjustmenttotheSalary,asreceivedbyotherCityemployees.CityManager'srightstosalaryadjustments,ifany,shallbebasedonCityManager'sperformance,followingtheannualperformancereviewsperformedinaccordancewithSection5.2ofthisAgreement.3.0
TERM
3.1Commencement
&
EffectiveDate.CityManagershallcommencehisserviceshereunderat8:00a.m.PacificdaylightsavingstimeonNovember7,2011orsuchearliertimeasthepartiesconfirminwriting("EffectiveDate").3.2Term.ThetermofthisAgreementwillbeforthree(3)yearsfollowingtheEffectiveDate("Term")and,thereafter,thetermofthisAgreementmaybeextendedforsuchanadditionalterm(s)asCityManagerandCouncilmutuallydeemappropriate,asevidencedbyawritingsignedbybothparties.2
 
3.3TerminationbyCityCouncil.TheCityCouncilmayterminatethisAgreementatanytimewithorwithoutcause,withoutnoticetoCityManager.Additionally,CityManagermayterminatethisAgreementatanytimewithorwithoutcause,providedheprovidesCityCouncilwithatleastthirty(30)days'advancewrittennoticepriortotheeffectivedateoftermination,unlessashorterperiodisacceptabletotheCityCouncil.CityManagerexpresslyagreesthatheshallnotbeentitledtoanyseverancepayastheresultoftheterminationofthisAgreementinitiatedbyCityManager,butshallbeentitledtotheseveranceprovidedinSection4.1belowifinitiatedbytheCityCouncil,exceptinthecaseofterminationforcauseunderSection3.4below.3.4TerminationforCause.ShouldCityManagercommitanyillegalorunethicalactinvolvingpersonalgaintohim,gross(a)insubordination,(b)misfeasance,or(c)malfeasance,CitymayterminatethisAgreementandtheservicesofCityManagerhereunder,andshallhavenoobligationtopayseveranceasprovidedforinSection4.0below.
4.0SEVERANCE
4.1
SeverancePay.ExceptasprovidedinSections3.3and3.4,shouldCityelecttoterminatetheservicesofCityManagerhereunder,Cityshall,upontheeffectivedateofsuchtermination,paytoCityManagerseverancebasedonthefollowingschedule:(a)IfCityManageristerminatedwithinthefirstyearoftheTerm,thesumequaltosixty(60)daysofhisthen-applicableSalary(calculatedonaperdiembasis),excludingdeferredcompensationorthevalueofanyotherbenefits;or(b)IfCityManageristerminatedafterthefirstanniversaryfollowingtheEffectiveDate,thesumequaltosix(6)monthsofhisthen-applicableSalary(calculatedonaperdiembasis),excludingdeferredcompensationorthevalueofanyotherbenefits.Notwithstandingtheforegoing,shouldsuchseverancepaymentexceedtheamountauthorizedtobepaidunderGovernmentCodeSection53260,theamountpaidtoCityManagershallbereducedintheamountnecessarytocomplywithsame.4.2SoleRights.TheseverancerightsprovidedinthisSection4.0shallconstitutethesoleandonlyentitlementofCityManagerwithrespecttoseverancepayintheeventofthetermination,otherthanforcause,andCityManagerexpresslywaivesanyandallotherrightswithrespecttoseverancepayexceptasprovidedherein.Anyandallseverancerightsareconditioneduponexecutionofthe"AgreementofSeparation,SeveranceandGeneralRelease"attachedheretoasExhibit

5.0PERFORMANCEEVALUATIONS
5.1Purpose.TheperformancereviewandevaluationprocesssetforthhereinisintendedtoprovidereviewandfeedbacktoCityManagersoastofacilitateamoreeffectivemanagementoftheCity.NothinghereinshallbedeemedtoalterorchangetheemploymentstatusofCityManager(assetforthinSection1.3above),norshallthisSection5.0beconstruedasrequiring"cause"toterminatethisAgreement,ortheservicesofCityManagerhereunder.3
