3MuchliketheinsufficientallegationsintheirFAC,Plaintiffs'oppositionislitteredwith4rhetoric,hyperbole,andmisstatementsoffact,thesumofwhichcannotsavePlaintiffs'deficiently5pleadedclaimsforfraudulentconcealment,promissoryfraudandconversion.Ashasbeen6demonstrated,thislitigationisnothingmorethananattemptbyPlaintiffstoturnasimple7contractualaccountingclaim-forwhichPlaintiffsreluctantlyacknowledgetheyhavebeenpaid8infull-intoatortcasewiththe
interrorem
specterofpunitivedamages.Notwithstanding9Plaintiffs'conclusoryallegationsofbedfaithconduct,theFACdoesnot-andcouldnot-10adequatelypleadtheelementsofPlaintiffs'tortclaims.

Despitebeinggivenampletimetoamend,theFACfailstoaddressanyofthedeficienciesinthefraudulentconcealment,promissoryfraudandconversionclaimsthatledtotheCourtsustainingDefendants'priordemurrer.TheOppositionconcedesasmuchanddoesnotattempttoargueotherwise.Instead,facedwithalmostcertaindismissaloftheseclaims,Plaintiffsmakeonefinalattempttosavetheirfraudulentconcealmentandpromissoryfraudclaimsbyarguingthat-ifgivenfurtherleavetoamend-theywouldallegeanentirelynewanddifferentclaim,onewhichtheyarguecouldpotentiallymeetthepleadingrequirements.Plaintiffs'"new"claim,however,suffersfromthesamedefectsastheirpriortwoattempts-ittailstosufficientlyallege

Tothecontrary,theonlyrealindiciaofbadfaithinthiscaseliesinPlaintiffs'continuedmaintenanceoffraudclaimsforwhichthereisnofactualbasis.Plaintiffs'fraudclaimsareallpremisedontheallegationthattheywere
never
providedroyaltypaymentsanddistributionstatements.DiscoveryconductedtodatehasestablishedbeyonddisputethatPlaintiffsactuallybeganreceivingroyaltypaymentsanddistributionstatementsfromParamountin1976;accordingly,Plaintiffs'fraudclaimsshouldneverhavebeenpledinthefirstinstance,muchless(asPlaintiffspropose)in
three
separatepleadings.Withtheexerciseofevenminimaldiligence,PlaintiffsshouldhavebeenweI!awareofthisfactpriortothefilingoftheComplaintandthe
